GUIDELINES SELECTION AND EMPLOYMENT
OF CONSULTANTS BY WORLD BANK BORROWERS

FOREWORD

i. These Guidelines: Selection and Employment of Consultants by World Bank Borrowers (January 1997) replace the 1981 Guidelines: Use of Consultants by World Bank Borrowers and the World Bank as Executing Agency. They take into account the following important developments, among others:

(a) diversification of Bank lending to new sectors and the need to address the specific issues that apply to the use of consultants in these new areas;

(b) Bankžs continuing policy to promote the development and use of consultants in Borrower countries;

(c) worldwide increased use of cost as a factor in the selection of consultants, in both the public and the private sectors;

(d) increased emphasis on transparency in the selection process;

(e) need for simplification of the selection and review process; and

(f) the Bankžs policy of entrusting the beneficiary with the selection of consultants funded by trust funds, with the Bank acting as executing agency only exceptionally.

ii. The basic principles underlying the procedures for selecting consultants financed under Bank operations remain the same: the overriding concern for quality of the services provided, with due attention to economy, efficiency, fair opportunity for all firms, and transparency of process.

I. INTRODUCTION

Purpose

1.1 The purpose of the Guidelines: Selection and Employment of Consultants by World Bank Borrowers (hereinafter referred to as »Guidelines«) is to define the procedures for selecting, contracting, and monitoring consultants required for projects that are financed in whole or in party by loans from the International Bank for Reconstruction and Development (IBRD), credits from the International Development Association (IDA), 1 or grants from the Bank or trust funds2 administered by the Bank and executed by the beneficiary.

1.2 The Loan Agreement governs the legal relationships between the Borrower and the Bank, and the Guidelines apply to the selection and employment of consultants for the project as provided in the Agreement. The rights and obligations of the Borrower3 and the Consultant are governed by the specific Request for Proposals (RFP) issued by the Borrower and by the contract signed by the Borrower with the Consultant, and not by these Guidelines or the Loan Agreement. No party other than the parties to the Loan Agreement shall derive any rights therefrom or have any claim to loan proceeds.

1.3 For the purpose of these Guidelines, the term consultants includes a wide variety of private and public entities, including consulting firms, engineering firms, construction managers, management firms, procurement agents, inspection agents, auditors, United Nations (UN) agencies and other multinational organizations, investment and merchant banks, universities, research institutions, government agencies, nongovernmental organizations (NGOs), and individuals.4 Bank Borrowers use these organizations as consultants to help in a wide range of activities - such as policy advice; institutional reforms; management; engineering services; construction supervision; financial services; procurement services; social and environmental studies; and identification, preparation, and implementation of projects - to complement Borrowersž capabilities in these areas.

General Considerations

1.4 The Borrower is responsible for preparing and implementing the project, and therefore for selecting the Consultant, and awarding and subsequently administering the contract. While the specific rules and procedures to be followed for employing consultants depend on the circumstances of the particular case, five main considerations guide the Bankžs policy on the selection process:

(a) the need for high-quality services,

(b) the need for economy and efficiency,

(c) the need to give qualified consultants from all eligible countries an opportunity to compete in providing the services financed by the Bank,

(d) the Bankžs interest in encouraging the development and use of national consultants in its developing member countries, and

(e) the importance of transparency in the selection process.

1.5 The Bank considers that, in the majority of cases, these considerations can best be addressed through competition among qualified short-listed firms in which the selection is based both on the quality of the proposal and on the cost of the services to be provided. (Quality-and Cost-Based Selection ŠQCBSĆ). Section II of these Guidelines describes the procedures for QCBS. However there are cases when QCBS is not the most appropriate method of selection. For complex or highly specialized assignments which invite innovations, selection based on the quality of the proposal alone (Quality-Based Selection (QBS)), as described in Section III, would be more appropriate. In addition, Section III describes other methods of selection and the circumstances in wicht they are appropriate.

1.6 The particular methods to be followed for the selection of consultants for any given project shall be selected by the Borrower in accordance with the criteria outlined in these Guidelines and agreed upon by the Bank and shall be specified in the Bankžs project documentation and the Loan Agreement for such project.

Applicability of Guidelines

1.7 The consulting services to which these Guidelines apply are of an intellectual and advisory nature. These Guidelines do not apply to other types of services in which the physical aspects of the activity predominate (for example, construction of works, manufacutre of goods, operation and maintenance of facilities or plant, surveys, exploratory drilling, aerial photography, and satellite imagery).5

1.8 The procedures outlined in these Guidelines apply to all contracts for consulting services financed in whole or in part from Bank loans or grants or trust funds6 implemented by the beneficiary. In procuring consulting services not financed from such sources, the Borrower may adopt other procedures. In such cases, the Bank shall satisfy itself that (a) the procudures to be used will result in the selection of consultants who have the necessary professional qualifications, (b) the selected Consultant will carry out the assignment in accordance with the agreed schedule, and (c) the scope of the services is consistent with the needs of the project.

Conflict of Interest

1.9 Bank policy requires that consultants provide professional, objective, and impartial advice and at all times hold the clientžs interests paramount, without any consideration for future work, and strictly avoid conflicts with other assignments or their own corporate interests. Consultants shall not be hired for any assignment that would be in conflict with their prior or current obligations to other clients, or that may place them in a position of not being able to carry out the assignment in the best interest of the Borrower. Withour limitation on the generality of this rule, consultants shall not be hired under the circumstances set forth below;

(a) A firm which has been engaged by the Borrower to provide goods or works for a project, and any of its affiliates, shall be disqualified from providing consulting services for same project. Conversely, a firm hired to provide consulting services for the preparation or implementation of a project, and any of its affiliates, shall be disqualified from subsequently providing goods or works or services related to the initial assignment (other than a continuation of the firmžs earlier consulting services as further described in paragraph 3.10) for the same project. This provision does not apply to the various firms (consultants, contractors, or suppliers) that together are performing the contractoržs obligations under a turnkey or design-and-build contract.

(b) consultants or any of their affiliates shall not be hired for any assignement which, by its nautre, may be in conflict with another assignment of the consultants. As an example, consultants hired to prepare engineering design for an infrastructure project shall not be engaged to prepare an independent environmental assessment for the same project, and consultants assisting a client in the privatization of public assets shall not purchase, nor advise purchasers of, such assets.

Eligibility

1.10 Only firms that are registered or incorporated in, and individuals and personnel who are nationals of, Bank member countries7 are eligible to compete for Bank-financed consulting services. However,

(a) Consultants from a member country may be excluded if (i) as a matter of law or official regulations, the Borroweržs country prohibits commercial relations with that country, provided that the Bank is satisfied that such exclusion does not preclude effective competition for the procurement of the consulting services required, or (ii) by an act of compliance with a decision of the United Nations Security Council taken under Chapter VII of the Charter of the United Nations, the Borroweržs country prohibits any payments to persons or entities in that country.

(b) Government-owned enterprises ih the Borroweržs country may participate only if they can establish that they (i) are legally and financially autonomous, and (ii) operate under commercial law. No dependent agency of the Borrower or Sub-Borrower of the procject or their employees shall be permitted to submit or participate in a proposal for the provison of consulting services under the project.

Advance Contracting and Retroactive Financing

1.11 In certain circumstances, such as to accelerate project implementation, the Borrower may, with the Bankžs agreement, wish to proceed with the selection of consultants before the related Bank loan is signed. This process is referred to as advance contracting. In such cases, the selection procedures shall be in accordance with these Guidelines, and the Bankžs normal review process shall be followed. A Borrower undertakes such advance contracting at its own risk, and any »no objection« issued by the Bank with regard to the procedures, documentation, or proposal for award does not commit the Bank to make a loan for the project in question. If the contract is signed, reimbursement by the Bank of any payments made by the Borrower under the contract prior to loan signing is referred to as retroactive financing and is only permitted within the limits specified in the Loan Agreement.

Associations Between Consultants

1.12 Consultants may associate with each other to complement their respective areas of expertise, or for other reasons. Such an association may be for the long term (independent of any particular assignment) or for a specific assignment. The »asociation« may take the form of a joint venture or of a subconsultancy. In case of a joint venture, all members of the joint venture shall sign the contract and shall be jointly and severally liable for the entire assignment. Once the short list is finalized, and Requests for Proposals (RFPs) are issued, any association in the form of joint venture or subconsultancy among short-listed firms shall be permissible only with the approval of the Borrower. Borrowers shall not require consultants to form associations with any specific firm or group of firms, but may encourage association with qualified national firms.

Bank Review, Assistance, and Monitoring

1.13 The Bank reviews the Borroweržs hiring of consultants to satisfy itself that the selection process is carried out in accordance with the provisions of the Loan Agreement. (The review procedures are described in Appendix 1).

1.14 Under special circumstances, the Bank may assist the Borrower in any or all the various steps of the selection process, such as the provision of short lists8 or long lists.9 In response to a written request from a Borrower, the Bank will furnish a short or long list of firms that it expects to be capalbe of undertaking the assignment. The provision of the list does not represent an endorsement of the consultants. The Borrower may delete or add other names as it wishes; however, the final short list shall be submitted to the Bank for its approval before issue of the RFP.

1.15 The Bank maintains an information system on consultants - Data on CONsultants (DACON). Registration in DACON is not mandatory to be considered for a Bank-financed assignment, nor is DACON a list of preapproved consultants. When firms register DACON, they provide information that may be useful to Borrowers and the Bank in the preparation of short lists and review of qualifications of firms proposed by Borrowers. The Bank does not verify of endorse the information provided. The Bank provides this information to member governments, UN agencies, and other public international bodies upon request, without any charge for the Borrowers and at a cost to others. The Bank may, with the consent of the firms, also provide nonconfidential information to other consultants interested in seeking associates or partners for assignments.

1.16 Borrowers are responsible for supervising the Consultantžs performance and ensuring that they carry out the assignment in accordance with the contract. Without assuming the responsibilities of the Borrower or the consultants, Bank staff shall monitor the work as necessary to satisfy themselves that it is being carried out according to appropriate standards, and is based on acceptable data. As appropriate, the Bank may take part in discussion between the Borrower and consultants and, if necessary, may help the Borrower in addressing issues related to the assignment. If a significant portion of project preparation work is being carried out in the consultantsžs home offices, Bank staff may, with the Borroweržs agreement, visit these offices to review the consultantžs work.

Reserved Consultant Services

1.17 If competitive process under these Guidelines would be the appropriate way of procuring certain consulting services, but the Borrower wishes to reserve these services for one or more specific firms, the Bank may accept such reserved selection only on condition that:

(a) the assignment is not eligible for financing out for the Bank loan; and

(b) it will not significantly affect the satisfactory project implementation in terms of cost, quality, and completion time.

Misprocurement

1.18 The Bank shall not finance expenditures for consulting services that have not been contracted in accordance with the agreed procedures in the Loan Agreement. In particular, the Bank will not finance a contract when the qualifications of the consultants or the terms and conditions of the contract are not satisfactory to the Bank. In such cases, the Bank will declare misprocurement, and it is the Bankžs policy to cancel that portion of the loan alocated to the services that have been misprocured. The Bank may, in addition, exercise other remedies under the Loan Agreement. Once the contract is awarded after obtaining a »no objection« from the Bank, the Bank may still declare misprocurement if it concludes that the »no objection« was issued on the basis of incomplete, inaccurate, or misleading information furnished by the Borrower.

References to the Bank

1.19 The Borrower shall use the following language10 when referring to the Bank in the RFP and contract documents:

»2Name of the Borrower3 has received 2or, žhas applied forž3 a loan from the International Bank for Reconstruction and Development (IBRD) in various currencies equivalent to US$…, toward the cost of 2name of project3, and intends to apply a portion of this loan to eligible payments under this Contract, Payments by IBRD will be made only at the request of 2name of Borrower or designate3 and upon approval by IBRD, and will be subject, in all respects, to the terms and conditions of the Loan Agreement. The Loan Agreement prohibits a withdrewal from the Loan Account for the purpose of any payment to persons or entities, or for any import of goods, if such payment or import, to the knowledge of the Bank, is prohibited by a decision of the United Nations Security Council taken under Chapter VII of the Charter of the United Nations. No party other than 2name of Borrower3 shall derive any rights from the Loan Agreement or have any claim to proceeds.«

Training or Transfer of Knowledge

1.20 If the assigment includes an important component for training or transfer of knowledge to Borrower staff or national consultants, the Terms of Reference (TOR) shall indicate the objectives, nature, scope, and goals of the training program, including details on trainers and trainees, skills to be transferred, time frame, and monitoring and evaluation arrangements. The cost for the training program shall be included in the consultantsž contract and in the budget for the assignment.

Language

1.21 The RFP and the proposal shall be prepared in either English, French, or Spanish at the choice of the Borrower. The text of the contract documents in that language shall govern.

1.22 The Borrower may, at its option and provided the national language is widely used, permit national consultants (excluding joint ventures between foreign and national firms), to submit their proposals and sign their contracts in the national language only, which shall then be the governing language for the contract. In such cases, the Bank shall be provided a translation of the firmžs proposal and the contract in the international language specified in the RFP for contracts subjects to prior review. Borrowers shall not ask firms to sign contracts both in a foreign and in the national language.

Evaluation of the Performance of Consultants

1.23 Consultants shall observe due diligence and prevailing standards in the performance of the assignment. The Bank shall evaluae the performance of consultants employed under Bank-financed contracts in a fair and confidential process. The performance ratings will be an input for future shortlisting. In the case of repeated poor performance, the firm will be notified and provided an opportunity to explain the reasons for it and the remedial action proposed. If poor performance persists, the Bank may exclude the firm from participation in Bank-financed assigments for a stated period.

1.24 Consultants shall be responsible for the accuracy and suitability of their work. Although Borrowers supervise and review the consultantžs work, no modifications shall be made in the final documents prepared by the consultant without mutual agreement. In the case of supervision of works, the Consultant may have more or less authority to supervise, from full responsibility as an independent engineer, to that of advisor to the clinet with little authority to make decisions.11

Fraud and Corruption

1.25 It is the Bankžs policy to require that Borrowers (including beneficiaries of Bank loans), as well as consultants under Bank-financed contracts, observe the highest standard of ethics during the selection and execution of such contracts. On pursuance of this policy, the Bank:

(a) defines, for the purposes of this provision, the terms set forth below as follows:

(i) »corrupt practice« means the offering, giving, receiving, or soliciting of any thing of value to influence the action of a public official in the selection process or in contract execution; and

(ii) »fraudulent practice« menas a misrepresentation of facts in order to influence a selection process or the execution of a contract to the detriment of the Borrower, and includes collusive practices among consultants (prior to or after submission of proposals) designed to establish prices at artificial, noncompetitive levels and to deprive the Borrower of the benefits of free and open compatition;

(b) will reject a proposal for award if it determines that the Consultant recommended for award has engaged in corrupt or fraudulent activities in competing for the contract in question;

(c) will cancel the portion of the loan allocated to the Consultantžs contract if it at any time determines that corrupt or fraudulent practices were engaged in by representatives for the Borrower or of a beneficiary of the loan during the selection process or the execution of that contract, without the Borrower having taken timely and appropriate action satisfactory to the Bank to remedy the situation;

(d) will declare a firm (or individual consultant) ineligible, either indefinitely or for a stated period of time, to be awarded a Bank-financed contract if it at any time determines that the firm (or the individual consultant) has engage in corrupt or fraudulent practices in competing for, or in executing, a Bank-financed contract; and

(e) will have the right to require that, in contracts financed by a Bank loan, a provision be included requiring consultants, suppliers, and contractors to permit the Bank to inspect their accounts and records relating to the performance of the contract and to have them audited by auditors appointed by the Bank.

II. QUALITY-AND COST-BASED SELECTION (QCBS)

The Selection Process

2.1. QCBS uses a competitive process among short-listed firms that takes into account the quality of the proposal and the cost of the services in the selection of the successful firm. Cost as a factor of selection shall be used judiciously. The relative weight to be given to the quality and cost shall be determined for each case depending on the nature of the assignment.

2.2. The selection process shall include the following steps:

(a) prepration of TOR;

(b) preparation of cost estimate and the budget:

(c) advertising

(d) preparation of the short list of consultants;

(e) preparation and issuance of the RFP;

   (i) Letter of Invitation;

   (ii) Information to Consultants;

   (iii) proposed contract;

(f) receipt of proposals;

(g) evaluation of technical proposals; consideration of quality;

(h) evaluation of financial proposal;

(i) final evaluation of quality and cost; and

(j) negotiations and award of the contract to the selection firm.

Terms of Reference (TOR)

2.3. The Borrower shall be responsible for preparing the TOR for the assignment. TOR shall be prepared by a person(s) or a firm specialized in the area of the assignment. The scope of the services described in the TOR shall be compatible whith the available budget. TOR shall define clearly the objectives, goals, and scope of the assignment and provide background information (including a list of existing relevant studies and basic data) to facilitate the consultantsž preparation of their proposals. If transfer of knowledge or training is an objective, it should be specifically outlined along with details of number of staff to be trained, and so forth, to enable consultants to estimate the required resources. TOR shall list the services and surveys necessary to carry out the assignment and the expected outputs (for example, reports, data, maps, surveys). However, TOR should not be too detailed and inflexible, so that competing consultants may propose their own methodology and staffing. Firms shall be encouraged to comment on the TOR in their proposals. The Borroweržs and consultantsž respective responsibilities should be clearly defined in the TOR.

Cost Estimate (Budget)

2.4 Preparation of a well-thought-through cost estimate is essential if realistic budgetary resources are to be earmarked. The cost estimate shall be based on the Borroweržs assessment of the resources needed to carry out the assignment staff time, logistical support, and physical inputs (for example, vehicles, laboratory equipment). Costs shall be divided into two broad categories; (a) fee or remuneration (according to the type of contract used) and (b) reimbursables, and further divided into foreign and local costs. The cost of staff time shall be estimated on a realistic basis for foreign and national personnel.

Preparation and Issuance of Request for Proposals (RFP)

2.5 The RFP shall include (a) a Letter of Invitation, (b) Information to Consultants, (c) the TOR, and (d) the proposed contract Whenever possible, Borrowers shall use one of the standard RFPs issued by the Bank, and shall list all the documents included in the RFP.

Letter of Invitation (LOI)

2.6 The LOI shall state the intention of the Borrower to enter into a contract for the provision of consulting services, the source of funds, the details of the client and the date, time, and address for submission of proposals.

Information to Consultants (ITC)

2.7 The ITC shall contain all necessary iformation that would help consultants prepare responsive proposals, and shall bring as much transparency as possible to the selection procedure by providing information on the evaluation process and by indicating the evaluation criteria and factors and their respective weights and the minimum passing quality score. The ITC shall not indicate the budget (since cost is a selection criterion), but shall indicate the expected input of key professionals (staff time). Consultants, however, shall be free to prepare their own estimates of staff time necessary to carry out the assignment. The ITC shall specify the proposal validity period (normally 60-90 days). A detailed list of the information that should be included in the ITC is given in Appendix 2.

Contract

2.8 Section IV of these Guidelines briefly discusses the most common types of contracts. Borrowers shall use the appropriate Standard Form of Contract issued by the Bank with minimum changes, acceptable to the Bank, as necessary to address specific conutry and project issues. Any such changes shall be introduced only through Contract Data Sheets or through Special Conditions of Contract and not by introducing changes in the wording of the General Conditions of Contract included in the Bankžs Standard Form. These forms of contracts cover the majority of consulting services. When these forms are not appropriate (for example, for preshipment inspection, procurement services, training of students in universities, advertising activities in privatization, or twinning), Borrowers shall use other contract forms acceptable to the Bank.

Short list of Consultants

2.9 The Borrower is responsible for preparation of the short list. To obtain expressions of interest, the Borrower shall include a list of expected consulting assignments in the General Procurement Notice.12

In addition, it shall also advertise large-value contracts in a local newspaper and in Development Business (UNDB) and optionally in an international newspaper or a tehcnical magazine, seeking »expression of interest.« The Borrower may also contact embassies, professional organizations, or firms that it knows or that are registered in DACON.13 The information requested shal be the minimum required to make a judgment on the firmžs suitability and not be so complex as to discourage consultants from expressing interest. The Borrower shall give first consideration to those firms expressing interest which possess the relevant qualifications. Short lists shall comprise three to six firms with a wide geographic spread, with no more than two firms from any one country and at least one firm from a developing country, unless qualified firms from developing countries are not identifiable. For the purpose of establishing the short list, the nationality of a firm is that of the country in which it is registered or incorporated. The Bank may ask the Borrower to expand or reduce a short list; however, once the Bank has issued a »no objection« to a short list, the Borrower shall not add or delete names without the Bankžs concurrence.

2.10 The short list may comprise entirely national consultants (firms with majority national ownership and registered or incorporated in the country), if the assignment is small, a sufficient number of qualified firms (at least three) are available at competitive costs, and competition including foreign consultants is prima facie not justified.

Receipt of Proposals

2.11 The Borrower shall allow enough time for the consultants to prepare their proposals. The time allowed shall depend on the assignment, but normally shall not be less than four weeks or more than three months (for example, for assignments, requiring establishment of a sophisticated methodology, preparation of a multidisciplinary master plan). During this interval, the firms may request clarifications about the information provided in the RFP. The Borrower shall provide these clarifications in writing and copy them to all firms on the short list (who intend to submit proposals). If necessary, the Borrower shall extend the deadline for submission of proposals. The technical and financial proposals shall be submitted at the same time. No amendments to the technical or financial proposal shall be accepted after the deadline. To safeguard the integrity of the process, the technical and financial proposals shall be submitted in separate sealed envelopes. The technical envelopes shall be opened immediately by a committee of officials drawn from the relevant departments (technical, finance, legal, as appropriate), after the closing time for submission of proposals. The financial proposals shall remain sealed and shall be deposited with a reputable public auditor or independent authority until they are opened publicly. Any proposal recived after the closing time for submission of proposals shall be returned unopened.

Evaluation of Proposals: Consideration of Quality and Cost

2.12 The evaluation of the proposals shall be carried out in two stages: first the quality, and then the cost. Evaluators of technical proposals shall not have access to the financial proposals until the technical evaluation, including any Bank reviews and clearance, is concluded. Financial proposals shall be opened only thereafter. The evaluation shall be carried out in full conformity with the provisions of the RFP.

Evaluation of the Quality

2.13 The Borrower shall evaluate each technical proposal (using an evaluation committee of three or more specialists in the sector), taking into account several criteria: (a) the Consultantžs relevant experience for the assignment, (b) the quality of the methodology proposed, (c) the qualifications of the key staff proposed, (d) transfer of knowledge, and (e) the extent of participation by nationals among key staff in the performance of the assignment. Each criterion shall be marked on a scale of 1 to 100. Then the marks shall be weighted to become scores. The following weights are indicative, and may be adjusted for specific circumstances. The proposed weights shall be disclosed in the RFP.

Consultantžs specific 5 to 10 points

experience:

Methodology: 20 to 50 points

Key personnel: 30 to 60 points

Transfer of 0 to 10 points

knowledge:14

Local participation:15 0 to 10 points

Total: 100 points

2.14 The Borrower shall normally divide these criteria into subcriteria. For example, subcriteria under methodology might be innovation and level of detail. However, the number of subcriteria should be kept to the essential. The Bank recommends against the use of exceedingly detailed lists of subcriteria that may render the evaluation a mechanical exercise more than a professional assessment of the proposals.

2.15 The weight given to experience can be relatively modest, since this criterion has already been taken into account when short-listing the Consultant. More weight shall be given to the methodology in the case of more complex assignments (for example, multidisciplinary feasibility or management studies).

2.16 Evaluation of only the key personnel is recommended. Since key personnel ultimately determine the quality of performance, more weight shall be assigned to this criterion if the proposed assignment is complex. The Borrower shall review the qualifications and experience of proposed key personnel in their curricula vitae, which must be accurate, complete, and signed by an authorized official of the Consultant and the individual proposed. When the assignment depends critically on the performance of key staff, such as a Project Manager in a large team of specified individuals, it may be desirable to conduct interviews. The individuals shall be rated in the following three subcriteria, as relevant to the task:

(a) general qualifications: general education and training, length of experience, positions held time with the consulting firm, experience in developing countries, and so forth;

(b) adequacy for the assignment: education, training, and experience in the specific sector, field, subject, and so forth, relevant to the particular assignment; and

(c) experience in the region: knowledge of the local language, culture, administrative system, government organization, and so forth.

2.17 Borrowers shall evaluate each proposal on the basis of its responsiveness to the TOR. A proposal shall be considered unsuitable and shall be rejected at this stage if it does not respond to important aspects of the TOR or it fails to achieve a minimum technical score specified in the RFP.

2.18 At the end of the process, the Borrower shall prepare an evaluation report of the »quality« of the proposals. The report shall substantiate the results of the evaluation and describe the relative strengths and weaknesses of the proposals. All records relating to the evaluation, such as individual mark sheets, shall be retained until completion of the project.

Evaluation of Cost

2.19 After the evaluation of quality is completed, the Borrower shall notify those consultants whose proposals did not meet the minimum qualifying mark or were considered nonresponsive to the RFP and TOR, indicating that their financial proposals will be returned unopened after completing the selection process. The Borrower shall simultaneously notify the consultants that have secured the minimum qualifying mark, and indicate the date and time set for opening the financial proposals. The opening date shall not be sonner than two weeks after the notification date. The financial proposals shall be opened publicly in the presence of representatives of the consultants who choose to attend. The name of the consultant, the quality scores, and the proposed prices shall be read aloud and recorded when the financial proposals are opened, and a copy of this record shall be promptly sent to the Bank. The Borrower shall prepare the minutes of the public opening.

2.20 The Borrower shall then review the financial proposals. If there are any arithmetical errors, they shall be corrected. For the purpose of comparing proposals, the costs shall be converted to a single currency selected by the Borrower (local currency or fully convertible foreign currency) as stated in the RFP. The Borrower shall make this conversion by using the selling (exchange) rates for those currencies quoted by an official source (such as the Central Bank), or by a commercial bank, or by an internationally circulated newspaper for similar transactions. The RFP shall specify the source of the exchange rate to be used, and the date of that exchange rate, provided that the date shall not be earlier than four weeks prior to the deadline for submission of proposals, nor later than the original date of expiration of the period of validity of the proposal.

2.21 For the purpose of evaluation, »cost« shall exclude local taxes, but shall include other reimbursable expenses, such as travel, translation, report printing, or secretarial-expenses. The proposal with the lowest cost may be given a financial score of 100 and other proposals given financial scores that are inversely proportional to their prices. Alternatively, a directly proportional linear methodology may be used in allocating the marks for the cost. The methodology to be used shall be described in the RFP.

Combined Quality and Cost Evaluation

2.22 The total score shall be obtained by weighting the quality and cost scores and adding them. The weight for the »cost« shall be chosen, taking into account the complexity of the assignment and the relative importance of quality. Except for the type of services specified in Section III, cost shall not account for more than 30 points or less than 10 points out of a total score of 100. The proposed weightings for quality and cost shall be specified in the RFP. The firm obtaining the highest total score shall be invited for negotiations.

Negotiations and Award of Contract

2.23 Negotiations shall include discussions of the TOR, the methodology, staffing, Borroweržs inputs, and special conditions of the contract. These discussions shall not substantially alter the original TOR or the terms of the contract, lest the quality of the final product, its cost, and the relevance of the initial evaluation be affected. Major reductions in work inputs should not be made solely to meet the budget. The final TOR and the agreed methodology shall be incorporated in »Description of Services«, which shall form part of the contract.

2.24 The selected firm should not be allowed to substitute key staff, unless both parties agree that undue delay in the selection process makes such substitution unavoidable or that such changes are critical to meet the objectives of the assignment.16 If this is not the case and if it is established that key staff were offered in the proposal without confirming their availability, the firm may be disqualified and the process continued with the next ranked firm. The key staff proposed for substitution shall have qualifications equal to or better than the key staff initially proposed.

2.25 Financial negotiations shall include clarification of the consultantsž tax liability in the Borroweržs country (if any), and how this tax liability has been or would be reflected in the contract. Proposed unit rates for staff-months and reimbursables shall not be negotiated, since these have already been a factor of selection in the cost of the proposal, unless there are exceptional reasons.

2.26 If the negotiations fail to result in an acceptable contract, the Borrower shall terminate the negotiations and invite the next ranked firm for negotiations. The Borrower shall consult with the Bank prior to taking this step. The Consultant shall be informed of the reasons for termination of the negotiations. Once negotiations are commenced with the next ranked firm, the Borrower shall not reopen the earlier negotiations. After negotiations are successfully completed, the Borrower shall notify other firms on the short list that they were unsuccessful.

Rejection of All Proposals, and Reinvitation

2.27 The Borrower will be justified in rejecting all proposals only if all proposals are nonresponsive and unsuitable either because they present major deficiencies in complying with the TOR, or because they involve costs substantially higher than the original estimate. In the latter case, the feasibility of increasing the budget, or scaling down the scope of services in the negotiations with the winning firm should be investigated in consultation with the Bank. Before all the proposals are rejected and new proposals are invited, the Borrower shall notify the Bank, indicating the reasons for rejection of all proposals, and shall obtain the Bankžs »no objection« before proceeding with the rejection and the new process. The new process may include revising the RFP (including the short list) and the budget. These revisions shall be agreed upon with the Bank.

Confidentiality

2.28 Information relating to evaluation of proposals and recommundations concerning awards shall not be disclosed to the consultants who submitted the proposals or to other persons not officially concerned with the process, until the award of contract is notified to the successful firm.

III. OTHER METHODS OF SELECTION

General

3.1 In some circumstances, QCBS is not the most appropriate method for selecting consultants, and other methods are more appropriate. The particular selection methods and the type of services to which they apply are determined by agreement between the Bank and the Borrower and are specified in the Loan Agreement. This section describes other selection methods and the circumstances under which they are generally appropriate.

Quality-Based Selection (QBS)

3.2 QBS is appropriate for the following types assignments:

(a) complex or highly specialized assignments for which it is difficult to define precise TOR and the required input from the consultants, and for which the client expects the consultants to demonstrate innovation in their proposals (for example, country economic or sector studies, multisectoral feasibility studies, design of a hazardous waste remediation plant or of an urban master plan, financial sector reforms);

(b) assignments that have a high downstream impact and in which the objective is to have the best experts (for example, feasibility and structural engineering design of such major infrastructure as large dams, policy studies of national significance, management studies of large government agencies); and

(c) assignments that can be carried out in substantially different ways, such that proposals will not be comparable (for example, management advice, and sector and policy studies in which the value of the services depends on the quality of the analysis).

3.3. In QBS, the RFP shall request submission of a technical proposal only (without the financial proposal). The RFP shall not provide the estimated budget, but it may provide the estimated number of key staff time, specifying that this information is given as an indication only, and that consultants shall be free to propose their own estimates.

3.4 After evaluating the technical proposals using the same methodology, as in QCBS (paragraphs 2.13-2.18), the Borrower shall ask the Consultant with the highest ranked technical proposal to submit a detailed financial proposal. The Borrower and the Consultant shall then negotiate the financial proposal and the contract. All other aspects of the selection process shall be identical to those of QCBS. If, however, consultants are requested to provide financial proposals initially together with technical proposals, safeguards shall be built in as in QCBS (paragraph 2.11) to ensure that the price envelope of only the selected proposal is opened and the rest returned unopened, after the negotiations are successfully concluded.

Selection under a Fixed Budget

3.5 This method is appropriate only when the assignment is simple and can be precisely defined and when the budget is fixed. The RFP shall indicate the available budget and request the consultants to provide their best technical and financial proposals in separate envelopes, within the budget. TOR should be particulary well prepared to make sure that the budget is sufficient for the consultants to perform the expected tasks. Evaluation of all technical proposals shall be carried out first as in the QCBS method. The price envelopes shall be then opened in public. Proposals that exceed the indicated budget shall be rejected. The Consultant who has submitted the highest ranked technical proposal among the rest shall be selected and invited to negotiate a contract (paragraphs 2.13-2.19 and 2.23-2.25).

Least-Cost Selection

3.6 This method is more appropriate to selection of consultants for assignments of a standard or routine nature (audits, engineering design of noncomplex works, and so forth) where well-established practices and standards exist, and in which contract amount is small. Under this method, a »minimum« qualifying mark for the »guality« is established. Proposals to be submitted in two envelopes are invited from a short list. Technical envelopes are opened first and evaluated. Those securing less than the minimum are rejected and the financial envelopes of the rest are opened. The firm with the lowest price shall then be selected. Under this method, the qualifying minimum mark shall be established, keeping in view that all proposals above the minimum compete only on »cost«. The minimum mark shall be stated in the RFP.

Selection Based on Consultantsž Qualifications without Formal Proposal

3.7 This method may be used for very small assignments for which the cost of preparing and evaluating the proposals is not justified. In such cases, the Borrower shall prepare the TOR, request expressions of interest and information on the consultantsž experience and competence relevant to the assignment, establish a short list, and select the firm with the most appropriate qualifications and references. The selected firm should be asked to submit a combined technical-financial proposal and then be invited to negotiate the contract.

Single-Source Selection

3.8 Single-source selection of consultants does not provide the benefits of competition in regard to quality and cost and lacks transparency in selection, and could encourage unacceptable practices. Therefore, singlesource selection shall be used only in exceptional cases. The justification for single-source selection should be examined in the context of the overall interests of the client and the project, and the Bankžs responsibility to ensure economy and efficiency and provide opportunity to consultants from all member countries to the extent possible.

3.9 Single-source selection may be appropriate only if it presents a clear advantage over competition (a) for tasks that represent a natural continuation of previous work carried out by the firm (see next paragraph), (b) where a rapid selection is essential (for example, in an emergency operation), (c) for very small assignments, or (d) when only one firm is gualified or has experience of exceptional worth for the assignment.

3.10 When continuity for downstream work is essential, the initial RFP shall outline this prospect and, if practical, the factors used for the selection of the initial Consultant should take the likelihood of continuation into account. Continuity in the technical approach, experience acquired, and continued professional liability of the same Consultant may make continuation with the initial Consultant preferable to a new competition subject to satisfactory performance in the initial assignment. For such downstream assignments, the Borrower shall ask the initially selected Consultant to prepare technical and financial proposals on the basis of TOR furnished by Borrower, which shall then be negotiated.

3.11 If the initial assignment was not awarded on a competitive basis or was awarded under tied financing or reserved procurement or if the dowstream assignment is substantially larger in value, a competitive process acceptable to the Bank shall normally be followed in which the Consultant carrying out the initial work is not excluded. The Bank will consider exceptions to this rule only under special circumstances and only when a new competitive process is not practicable.

3.12 Commercial Practices. In the case of loans onlent by a financial intermediary to beneficiaries, such as private sector enterprises or autonomous commercial enterprises in the public sector, the Sub-Borrower may follow well-established private sector or commercial practices acceptable to the Bank. Consideration should also be given to the use of procedures outlined earlier, particularly for large assignments.

Selection of Particular Types of Consultants

3.13 Selection of UN Agencies Consultants. Un agencies may be hired as Consultant, where they are qualified to provide technical assistance and advice in their area of expertise. However, they shall not receive any preferential treatment in a competitive selection process, except that Borrowers may accept the privileges and immunities granted to UN agencies and their staff under existing international conventions and may agree with UN agencies on special payment arrangements required according to the agencyžs charter, provided these are acceptable to the Bank. Such privileges, as well as other advantages such as tax exemption and other facilities, and special payment provision, shall be evaluated and neutralized in the cost comparison. UN agencies may be hired on single source if the criteria outlined in Section 3.9 are fulfilled.

3.14 Use of Nongovernmental Organizations (NGOs). NGOs are voluntary nonprofit organizations that may be uniquely qualified to assist in the preparation, management, and implementation of projects, essentially because of their involvement and knowledge of local issues, community needs, and/or participatory approaches. NGOs may be included in the short list if they express interest and provided that the Borrower and the Bank are satisfied with their qualifications. For assignments that emphasize participation and considerable local knowledge, the short list may comprise entirely NGOs. If so, the QCBS procedure shall be followed, and the evaluation criteria shall reflect the unique qualifications of NGOs, such as voluntarism, nonprofit status, local knowledge, scale of operation, and reputation. Borrowers may select the NGO on a single-source basis, provided the criteria outlined in Section 3.9 are fulfilled.

3.15 Procurement Agents (PAs). When a Borrower lacks the necessary organization, resources, and experience, it may be efficient and effective for it to employ, as its agent, a firm that specializes in handling the procurement. PAs are generally paid a percentage of the value of the procurements handled, or a combination of such a percentage and a fixed fee. Such PAs shall be selected using QCBS prcedures with cost being given a weight up to 50 percent. The standard contract form17 applicable for procurement agencies, with payments based on a percentage of the total procurements and/or staff-month rates, shall be used. When PAs provide only advisory services for procurement and do not act as »agents« and are not paid a percentage fee at all, they shall be selected following the appropriate procuderes as for other consulting assignments, specified in these Guidelines.

3.16 Inspection Agents. Borrowers may wish to employ inspection agencies to inspect and certify goods prior to shipment or on arrival in the Borrower country. The inspection by such agencies usually covers the quality and quantity of the goods concerned and reasonableness of price. Inspection agencies shall be selected using QCBS procedures giving cost a weight up to 50 percent and using a contract format with payments based on a percentage of the value of goods inspected and certified.

3.17 Banks. Investment and commercial banks, financial firms, and fund managers hired by Borrowers for the sale of assets, issuance of financial instruments, and other corporate financial transactions, notably in the context of privatization operations, shall be selected under QCBS. The RFP shall specify selection criteria relevant to the activity-for example, experience in similar assignments or network of potential purchasers - and the cost of the services. In addition to the conventional remuneration (called a »retainer fee«), the compensation includes a »success fee«; this fee can be fixed, but is usually expressed as a percentage of the value of the assets or other financial instruments to be sold. The RFP shall indicate that the cost evaluation will take into account the success fee, either in combination with the retainer fee or alone. If alone, a standard retainer fee shall be prescribed for all short-listed consultants and indicated in the RFP, and the financial scores shall be based on the success fee as a percentage of a predisclosed notional value of the assets. For the combined evaluation (notably for large contracts), cost may be accorded a weight higher than recommended in paragraph 2.22 or the selection may be based on cost alone among those who secure a minimum passing mark for the quality of the proposal. The RFP shall specify clearly how proposals will be presented and how they will be compared.

3.18 Auditors. Auditors typically carry out auditing tasks under well-defined TOR and professional standards. They shall be selected according to QCBS, with cost as a substantial selection factor (40-50 points), or by the »Least-Cost Selestion« outlined in paragraph 3.6.

3.19 »Service Delivery Contractors.« Projects in the social sectors in particular may involve hiring of large numbers of individuals who deliver services on a contract basis (for example, social workers, such as nurses and paramedics). The job descriptions, minimum qualifications, terms of employment, selection procedures, and the extent of Bank review of these procedures and documents shall be described in the project documentation and the Loan agreement.

IV. TYPES OF CONTRACTS AND
IMPORTANT PROVISIONS

Types of Contracts

4.1. Lump Sum (Firm Fixed Price) Contract.18 Lump sum contracts are used mainly for assignments in which the content and the duration of the services and the required output of the consultants are clearly defined. They are widely used for simple planning and feasibility studies, environmental studies, detailed design of standard or common structures, preparation of data processing systems, and so forth. Payments are linked to outputs (deliverables), such as reports, drawings, bills of quantities, bidding documents, and software programs. Lump sum contracts are easy to administer because payments are due on clearly specified outputs.

4.2. Time-based Contract.19 This type of contract is appropriate when it is difficult to define the scope and the length of services, either because the services are related to activities by other for which the completion period may vary, or because the input of the consultants required to attain the objectives of the assignment is difficult to assess. This type of contract is widely used for complex studies, supervision of construction, advisory services, and most training assignments. Payments are based on agreed hourly, daily, weekly, or monthly rates for staff (who are normally named in the contract) and on reimbursable items using actual expenses and/or agreed unit prices. The rates for staff include salary, social costs, overhead, fee (or profit), and, where appropriate, special allowances. This type of contract shall include a maximum amount of total payments to be made to the consultants. This ceiling amount should include a contingency allowance for unforeseen work and duration, and provision for price adjustments, where appropriate. Time-based contracts need to be closely monitored and administered by the client to ensure that assignment is progressing satisfactorily, and payments claimed by the consultants are appropriate.

4.3 Retainer and/or Contingency (Success) Fee Contract. Retainer and contingency fee contracts are widely used when consultants (banks or financial firms) are preparing companies for sales or mergers of firms, notably in privatization operations. The remuneration of the Consultant includes a retainer and a success fee, the latter being normally expressed as a percentage of the sale price of the assets.

4.4. Percentage Contract. These contracts are commonly used for architectural services. They may be also used for procurement and inspection agents. Percentage contracts directly relate the fees paid to the Consultant to the estimated or actual project construction cost, or the cost of the goods procured or inspected. The contracts are negotiated on the basis of market norms for the services and/or estimated staff-month costs for the services, or competitively bid. It should be borne in mind that in the case of architectural or engineering services, percentage contracts implicitly lack incentive for economic design and are hence discouraged. Therefore, the use of such a contract for architectural services is recommended only if it is base on a fixed target cost and covers precisely defined services (for example, not works supervision).

4.5. Indefinite Delivery (Price Agreements). These contracts are used when Borrowers need to have »on call« specialized services to provide advice on a particular activity, the extent and timing of which cannot be defined in advance. These are commonly used to retain »advisers« for implementation of complex projects (for example, dam panel), expert adjudicators for dispute resolution panels, institutional reforms, procurement advice, technical troubleshooting, and so forth, normally for a period of a year or more. The Borrower and the firm agree on the unit rates to be paid for the experts, and payments are made on the basis of the time actually used.

Important Provisions

4.6 Currency. RFPs shall clearly state that firms may express the price for their services, in the currency of any bank member country, or in ECUs.20 If the consultants wish to express the price as a sum of amounts in different foreign currencies, they may do so, provided the proposal includes no more than three foreign currencies. The Borrower may require consultants to state the portion of the price representing local costs in the currency of the Borroweržs country. Payment under the contract shall be made in the currency or currencies in which the price is expressed in the proposal.

4.7 Price Adjustment. To adjust the remuneration for foreign and/or local inflation, a price adjustment provision shall be included in the contract if its duration is expected to exceed 18 months. Exceptionally, contracts of shorter duration may include a provision for price adjustment when local or foreign inflation is expected to be high and unpredictable.

4.8 Payment Provisions. Payment provisions, including amounts to be paid, schedule of payments, and payment procedures,21 shall be agreed upon during negotiations. Payments may be made at regular intervals (as under time-based contracts) or for agreed outputs (as under lump sum contracts). Payments for advances (for example, for mobilization costs) exceeding 10 percent of the contract amount must normally be backed by advance payment securities.

4.9 Payments shall be made promptly in accordance with the contract provisions. To that end,

(a) consultants can be paid directly by the Bank at the request of the Borrower or exceptionally through a Letter of Credit (see Appendix 3);

(b) only disputed amounts shall be withheld, with the remainder of the invoice paid in accordance with the contract; and

(c) the contract shall provide for the payment of financing charges if payment is delayed due to the clientžs fault beyond the time allowed in the contract; the rate of charges shall be specified in the contract.

4.10 Bid and Performance Securities. Bid and performance securities are not recommended for consultantsž services. Their enforcement is often subject to judgment calls, they can be easily abused, and they tend to increase the costs to the consulting industry without evident benefits, which are eventually passed on to the Borrower.

4.11 Borroweržs Contribution. The Borrower normally assigns members of its own professional staff to the assignment in different capacities.The contract between the Borrower and the Consultant shall give the details governing such staff, known as counterpart staff, as well as facilities that shall be provided by the Borrower, such as housing, office space, secretarial support, utilities, materials, and vehicles. The contract shall indicate measures the Consultant can take if some of the items cannot be provided or have to be withdrawn during the assignment, and the compensation the Consultant will receive in such a case.

4.12 Conflict of Interest. Firms shall not receive any remuneration in connection with the assignment except as provided in their contract. They and their affiliates shall not engage in consulting activities that conflict with the interest of the client under the contract, and shall be excluded from downstream supply of goods or construction of works or purchase of any asset or provision of any other service related to the initial assignment other than a continuation of the »Services« under the ongoing contract.

4.13 Professional Liability. Consultants are expected to carry out their assignment with due diligence, and in accordance with prevailing standards of the profession. As the consultantsž liability to the Borrower will be governed by the applicable law, the contract need not deal with this matter unless the parties wish to limit this liability. If they do so, they should ensure that (a) there must be no such limitation in case of the consultantsž gross negligence or willful misconduct; (b) the consultantsž liability to the Borrower may in no case be limited to less than the total payments expected to be made under the Consultantžs contract, or the proceeds the consultant is entitled to receive under their insurance, whichever is higher;22 and (c) any such limitation may deal only with the consultantsž liability toward the client and not with the consultantsž liability toward third parties.

4.14 Staff Substitution. During an assignment, if substitution is necessary (for example, because of ill health or because a staff member proves to be unsuitable), the Consultant shall propose other staff of at least the same level of qualifications for approval by the Borrower.

4.15 Applicable Law and Settlement of Disputes. The contract shall include provisions dealing with the applicable law and the forum for the settlement of disputes. International commercial arbitration may have practical advantages over other methods for the settlement of disputes. Borrowers are, therefore, encouraged to provide for this type of arbitration. The Bank shall not be named an arbitrator or be asked to name an arbitrator.23

V. SELECTION OF INDIVIDUAL

CONSULTANTS

5.1 Individual consultants are normally employed on assignments for which (a) teams of personnel are not required, (b) no additional outside (home office) profesional support is required, and (c) the experience and qualifications of the individual are the paramount requirement. When coordination, administration, and collective responsibility become difficult because of the number of individuals, it would be advisable to employ a firm.

5.2 Individual consultants are selected on the basis qualifications for the assignment. They may be selected on the basis of references or through comparison of qualifications among those expressing interest in the assignment in response to an advertisement or approached directly by the Borrower. Individuals employed by Borrowers shall meet all relevant qualifications and shall be fully capable of carrying out the assignment. Capability is judged on the basis of academic background, experience and, as appropriate, knowledge of the local conditions, such as local language, culture, administrative system, and government organization.

5.3 From time to time, permanent staff or associates of a consulting firm may be available as individual consultatns. In such cases, the conflict of interest provisions described in these Guidelines shall apply to the parent firm.

Appendix 1

REVIEW BY THE BANK OF THE SELECTION OF CONSULTANTS

Scheduling the Selection Process

1. The Bank shall review the selection process for the hiring of consultants proposed by the Borrower, including the contract packaging, applicable procedures, the short list, selection criteria, and so forth for its conformity with these Guidelines and the proposed implementation program and disbursement schedule. The Borrower shall promptly inform the Bank of any delay, or other changes in the scheduling of the hiring process, which could significantly affect the timely and successful implementation of the project, and agreee with the Bank on corrective measures.

Prior Review

2. With respect to all contracts which, in accordance with the Loan Agreement, are made subject to the Bankžs prior review:

(a) Before inviting proposals, the Borrower shall furnish to the Bank for its review the short list and the proposed RFP and shall make such modifications to the short list and the documents as the Bank shall reasonably request. Any further modification shall require the Bankžs »no objection« before the RFP is issued to the short-listed consultants.

After the technical proposals have been evaluated, the Borrower shall furnish to the Bank, in sufficient time for its review, a technical evaluation report (prepared, if the Bank shall so request, by experts acceptable to the Bank) and a copy of the proposals, if requested by the Bank. If the Bank determines that the technical evaluation is inconsistent with the provisions of the RFP, it shall promptly inform the Borrower and state the reasons for its determination. The Borrower shall request the Bankžs »no objection« in case of rejection of all proposals.

For smaller-value contracts below the threshold specified in the Loan Agreement, the Borrower will merely notify the Bank of the results of the technical evaluation prior to opening the financial proposals.

(b) After receiving the Bankžs »no objection« to the technical evaluation, the Borrower shall proceed with opening of the financial envelopes and then with the financial evaluation in accordance with the provisions of the RFP. In the case of selection using the QCBS, the Borrower shall furnish to the Bank, in sufficient time for its review, the final evaluation report along with is proposed selection of the winning firm. If the Bank determines that the evaluation and proposed selection are incosistent with the provisions of the RFP, it shall promptly inform the Borrower and state the reasons for its determinations. If not, the Bank shall advise its »no objection« to the proposed selection.

(c) After negotiations with the selected firm are completed, the Borrower shall furnish to the Bank the final draft of the contract, highlighting any substitution of key staff or changes in the TOR and contract on which proposals were invited. The terms and conditions of the contract shall not, without the Bankžs »no objection«, substantially differ from those on which proposals were invited. The Borrower shall award the contract only after receiving the »no objection« from the Bank.

(d) Upon signing of the contract, the Borrower shall furnish to the Bank a copy of the final contract prior to the first application for disbursement in respect of such contract.

Modifications of Contract

3. Before granting a substantial extension of the stipulated time for performance of a contract, agreeing to any substantial modification of the scope of the services, substituting key staff, waiving the conditions of a contract, or making any changes in the contract that would in aggregate increase the original amount of the contract by more than 15 percent, the Borrower shall inform the Bank of the proposed extension, modification, substitution, waiver, or change, and the reasons therefor. If the Bank determines that the proposal would be inconsistent with the provisions of the Loan Agreement, it shall promptly inform the Borrower and state the reasons for its determination. A copy of all amendments to the contract shall be furnished to the Bank for its record.

Post Review

4. With respect to each contract not governed by paragraphs 2 and 3, the Borrower shall furnish to the Bank, promptly after its signing and prior to delivery to the Bank of the first application for withdrawal of funds from the Loan Account in respect of such contract, one conformed copy of such contract, together with the analysis of the respective proposals, recommendations for award, and such other information as the Bank shall reasonable request. Where payments for the contract are to be made out of a Special Account,24 a copy of the contract, together with the other information required to be furnished to the Bank, shall be furnished to the Bank prior to delivery to the Bank of the first replenishment application in respect of such contract. The Bank shall, if it determines that the award of the contract or the contract itself is not consistent with the Loan Agreement, promptly inform the Borrower and state the reasons for such determination.These provisions shall not apply to contracts on account of withdrawals from the loan are to be made on the basis of Statements of Expenditures,25 for which case all such documents shall be retained by the Borrower for subsequent examination by independent auditors or by the Bankžs supervision missions.

Translations

5. If a contract, subject to prior review, is awarded to a national consultant and is to be written in the national language, a certified translation of the draft contract in either English, French, or Spanish shall be furnished to the bank for facilitating the review. Such certified translation shall also be furnished to the Bank for any subsequent modifications of such contracts.

Appendix 2

INFORMATION TO CONSULTANTS (ITC)

These Guidelines specify that whenever possible, the Borrower shall use the standard RFPs issued by the Bank, which inslude the ITC, covering the majority of assignments. If under exceptional circumstances, the Borrower needs to amend the standard ITC, it should do so through the technical data sheet and not by amending the main text. The ITC shall include adequate information on the following aspects of the assignment:

(a) a very brief description of the assignment;

(b) standard formats for the technical and financial proposals;

(c) the names of officials to whom clarifications shall be addressed and with whom the consultantsž representative shall meet, if necessary;

(d) details of the selection procedure to be followed, including (i) a description of the two-stage process, if appropriate; and (ii) a listing of the technical evaluation criteria and weights given to each criterion; (iii) the details of the financial evaluation; (iv) the relative weights for quality and cost in the case of QCBS; (v) the minimum pass score for quality; and (vi) the details on the public opening of financial proposals;

(e) an estimate of the level of key staff inputs (in staff-months) required of the consultants; and indication of minimum experience, academic achievement, and so forth, expected or the total budget, if a given figure cannot be exceeded;

(f) details and status of any relevant external financing;

(g) information on negotiations; and financial and other information that shall be required of the selected firm furing negotiation of the contract;

(h) the deadline for submission of proposals;

(i) currency(ies) in which the costs of services shall be expressed, compared, and paid;

(j) reference to any local laws that may be particularly relevant to the proposed consultantsž contract;

(k) a statement that the firm and any of its affiliates shall be disqualified from providing downstream goods, works, or services under the project if, in the Bankžs judgment, such activities constitute a conflict of interest with the services provided under the assignment;

(l) the method in which the proposal shall be submitted, including the requirement that the technical proposals and price proposals be sealed and submitted separately in a manner that shall ensure that the technical evaluation is not influenced by price;

(m) a request that the invited firm (i) acknowledges receipt of the RFP, and (ii) informs the Borrower whether or not it will be submitting a proposal;

(n) the short list of consultants being invited to submit proposals, and whether or not associations between short-listed consultants are acceptable;

(o) the period for which the consultantsž proposals shall be held valid (normally 60-90 days) and during which the consultants shall undertake to maintain, without change, the proposed key staff, and shall hold to both the rates and total price proposed; in case of extension of the proposal validity period, the right of the consultants not to maintain their proposal;

(p) the anticipated date on which the consultants shall be expected to commence the assignment;

(q) a statement indicating (i) whether or not the Consultantžs contract and personnel shall be tax-free or not; if not, (ii) what the likely tax burden will be or where this information might be obtained, and a statement requiring that the Consultant shall include in its financial proposal a separate amount clearly identified, to cover taxes;

(r) if not included in the TOR or in the draft contract, details of the services, facilities, equipment, and staff to be provided by the Borrower;

(s) phasing of the assignment, if appropriate; and likelihood of follow-up assignments;

(t) the procedure to handle clarifications about the information given in the RFP; and

Appendix 3

DISBURSEMENTS

1. The responsibility for the implementation of the project, and therefore for the payment of consulting services under the project, rests solely with the Borrower. The Bank, for its part, is required by its Articles of Agreement to ensure that funds are paid from a Bank loan only as expenditures are incurred. Disbursements of the proceeds of a loan or a grant are made only at the Borroweržs request. Supporting evidence taht the funds are used in accordance with the Loan Agreement (or the Trust Fund Agreement) shall be submitted with the Borroweržs withdrawal application. Payments may be made (a) to reimburse the Borrower for payments already made from its own resources, (b) directly to a third party (to the Consultant), or (c) to a commercial bank for expenditures against a World Bank Special Commitment covering a commercial bankžs letter of credit (a procedure that is exceptional in the case of consultants).

2. When disbursement documentation26 would otherwise be cumbersome or voluminous (for example, payments against small consultant cotracts or purchase orders), Borrowers may be reimbursed upon presentation of Statements of Expenditures (SOEs), using a simple form with details of the expenditures, and retain the actual supporting documentation in the field for subsequent examination by the Bankžs independent auditors and the Bankžs supervision missions.

3. Special Accounts (SAs) are revolving accounts funded with an advance from a Bank loan for use by the Borrower exclusively to cover the Bankžs share of eligible expenses in both local and foreign currencies. The primary objective of the SA is to help the Borrower overcome cash flow problems and speed disbursements. The Borrower makes payments from the account to consultants and others when the payments are due. The Bank replenishes the SA regularly upon receipt of a withdrawal application with appropriate supporting documentation from the Borrower. Towards the end of loan disbursements, the Bank initiates a recovery procedure to obtain full documentation for the amount of the outstanding advance.

4. The Loan Agreement and the disbursement letter outline the disbursement procedures to be folowed for the loan, including retroactive financing provisions, items eligible for disbursement under the SOE procedure, requirements for the operation of an SA, and a minimum application value. The minimum application value varies among loans, depending on the size of the loan and the nature of the project. When there is an SA, the minimum value is generally between 10 percent27 and 33 percent of the total advanced to the SA. The method of payment specified in the RFP shall take into account the disbursement procedures applicable to the loan.

Appendix 4

GUIDANCE TO CONSULTANTS

Purpose

1. This appendix provides guidance to consultants wishing to provide consulting and professional services financed by the Bank or trust funds.

Responsibility for Selection of Consultants

2. As emphasized in paragraph 1.4 of these Guidelines, the Borrower is respondible for the selection and employment of consultants. It invites, receives, and evaluates proposals and awards the contract. The contract is between the Borrower and the Consultant. The Bank is not a party to the contract.

Bankžs Role

3. As stated in these Guidelines (Appendix 1) the Bank reviews the RFP, the evaluation of proposals, award recommendations, and contract to ensure that the process ins carried out in accordance with agreed procedures, as required in the Loan Agreement. Except for small contracts (below dollar thresholds specified in each Loan Agreement), the Bank reviews the documents before they are issued, as described in Appendix 1. Also, if at any time the selection process (even after the award of contract) the Bank concludes that the agreed procedures were not followed in any substantial respect, the Bank may declare misprocurement, as described in paragraph 1.18. However, if a Borrower has awarded a contract after obtaining the Bankžs »no objection«, the Bank will declare misprocurement only if the »no objection« was issued on the basis of incomplete, inaccurate, or misleading information furnished by the Borrower. Furthermore, if the Bank determines that corrupt or fraudulent practices were engaged in by representatives of the Borrower or of the Consultant, the Bank may impose the applicable sanctions set forth in paragraph 1.25 of the Guidelines.

4. The Bank publishes standard RFPs and contracts for different types of consulting services. As stated in paragraphs 2.5 and 2.8 of these Guidelines, it is mandatory for the Borrower to use these documents, with minimum changes to address country- and project-specific issues. The Borrower finalizes and issues these documents as part of the RFP.

Information to Consultants

5. Information on consultant services, including a brief description of the nature of services, timing, estimated cost, staff-mont, and so forth, will be, in the first instance, included in the Project Information Document (PID) which describes projects under preparation. At the same time, similar information will also be included in the description of each project in the Monthly Operational Summary (MOS). Such information will be continuously updated. Each project requires the publication of a General Procurement Notice in the United Nations Development Business (UNDB),28 which will include a more detailed description of the required services, the client agency, and the budgeted cost. In the case of large value contracts, this will be followed by a specific notice seeking »expression of interest« in the local press and UNDB. The loan documentation will provide yet more detailed information.

6. The PID and MOS are available on the Internet and from the Public Information Center (PIC)29 in the Bank. The Staff Appraisal Report (SAR) is available after the loan is approved. The UNDB, which includes the MOS, is available on subscription.

Consultantsž Role

7. When consultants receive the RFP, and if they can meet the requirements of the TOR, and the commercial and contractual conditions, they should make the arrangements necessary to prepare a responsive proposal (for example, visiting the country of the assignment, seeking associations, collecting documentation, setting up the preparation team). If the consultants find in the RFP documents - especially in the selection procedure and evaluation criteria - any ambiguity, omission or internal contradiction, or any feature that is unclear or that appears discriminatory or restrictive, they should seek clarification from the Borrower, in writhing, within the period specified in the RFP for seeking clarifications.

8. In this connection, it should be emphasized that the specific RFP issued by the Borrower governs each selection, as stated in paragraph 1.2 of these Guidelines. If consultants feel that any of the provisions in the RFP are inconsistent with the Guidelines, they should also raise this issue with the Borrower.

9. Consultants should ensure that they submit a fully responsive proposal including all the supporting documents requested in the RFP. It is essential to ensure accuracy in the curricula vitae of key staff submitted with the proposals. The curricula vitae shall be signed by the consultants and the individual and dated. Noncompliance with important requirements will result in rejection of the proposal. Once technical proposals are received and opened, consultants shall not be required nor permitted to change the substance, the key staff, and so forth. Similarly, once financial proposals are received, consultants shall not be required or permitted to change the quoted fee and so forth, except at the time of negotiations carried out in accordance with the provisions of the RFP.

Confidentiality

10. As stated in paragraph 2.27, the process of proposal evaluation shall be confidential until the contract award is notified to the succesful firm. Confidentiality enables the Borrower and the Bankžs reviewers to avoid either the reality or perception of improper interference. If, during the evaluation process, consultants wish to bring additional information to the notice of the Borrower, the Bank, or both, they should so in writing.

Action by the Bank

11. If consultants wish to raise issues or questions about the selection process, they may send the Bank copies of their communications with the Borrower, or they may write to the Bank directly when the Borrower does not respond promptly or when the communication is a complaint against the Borrower. All such communications should be addressed to the chief of the division for the relevant sector for the borrowing country, with a copy to the Regional procurement adviser.

12. References received by the Bank from short-listed consultants prior to the closing date for submission of the proposal shall be, if appropriate, referred to the Borrower with the Bankžs comments and advice, for action or response.

13. Communications that the Bank receives from consultants after the opening of the technical proposals shall be handled as follows. In the case of contracts not subject to prior review by the Bank, any communication shall be sent to the Borrower for due consideration and appropriate action. The Borroweržs response shall be reviewed during subsequent supervision of the project by the Bank staff. In the case of contracts subject to prior review, the Bank shall examine the communication, in consultation with the Borrower, and if it needs additional information, shall request it from the Borrower. If additional information or clarification is required from the Consultant, the Bank shall ask the Borrower to obtain it and comment on or incorporate it, as appropriate, in the evaluation report. The Bankžs review will not be completed until the communication is fully examined and considered.

14. Besides acknowledging receipt of communications, the Bank shall not enter into discussion or correspondence with any consultant during the selection and review process, until award of the contract is notified.

Debriefing

  1. If after notification of award, a Consultant wishes to ascertain the grounds on which its proposal was not selected, it should address its request to the Borrower. If the Consultant is not satisfied with the explanation given and wishes to seek a meeting with the Bank, it may address the Regional Procurement Adviser for the borrowing country, who will arrange a meeting at the appropriate level and with the relevant staff. In this discussion, only the Consultantžs proposal can be discussed and not the proposals of competitors.

i. Ove Smjernice: Izbor i zapošljavanje savjetnika od strane zajmoprimaca Svjetske banke (siječanj 1997.) nadomještaju Smjernice iz 1981.: Korištenje savjetnika od strane zajmoprimaca i Svjetske banke kao izvršne agencije. Između ostalog uzimaju u obzir slijedeće važne razvojne situacije:

(a) raznolikost Banke koja pozajmljuje novim sektorima te potreba naslovljavanja specifičnih zaključaka koji se mogu primijeniti na korištenje savjetnika na tim novim područjima;

(b) stalnu politiku Banke glede promičbe razvoja i uporabe savjetnika u zemljama zajmoprimaca;

(c) svjetski proširenu uporabu troška kao faktora kod izbora savjetnika, kako u javnom tako i u privatnom sektoru;

(d) povećani naglasak na preglednost izbornog postupka;

(e) potrebu za pojednostavljenjem vršenja izbornog i preglednog postupka; te

(f) politiku Banke glede povjeravanja izbora savjetnika korisniku, a koja se temelji na zakladama pri kojima Banka djeluje kao izvršna agencija samo u posebnim slučajevima.

UVOD

Svrha

1.1 Svrha ovih Smjernica o izboru i zapošljavanju savjetnika od strane zajmoprimaca Svjetske banke (u daljnjem tekstu: Smjernice) jest definirati postupke izbora, ugovaranja i nadgledanja savjetnika potrebnih za projekte koji se financiraju, djelomično ili u cijelosti, zajmovima Međunarodne banke za obnovu i razvoj (IBRD), kreditima Međunarodne agencije za razvoj (IDA)1 ili darovnice od strane Banke ili zaklada2 kojima upravlja Banka dok kao izvršna stranka nastupa korisnik.

1.2 Ugovor o zajmu uređuje pravne odnose između Zajmoprimca i Banke, a Smjernice se primjenjuju na izbor i zapošljavanje savjetnika za projekt kako je to određeno Ugovorom o zajmu. Prava i obveze Zajmoprimca3 i savjetnika uređeni su posebnim odredbama iz natječaja (Request for Proposals ­ RFP) i ugovorom potpisanim između Zajmodavca i savjetnika, a ne rukovode se ovim Smjernicama ili Ugovorom o zajmu. Niti jedna druga stranka osim stranaka iz Ugovora o zajmu ne može imati nikakva prava u odnosu na isti Ugovor, niti potraživanja iz zajmovnih postupaka.

1.3 U smislu ovih Smjernica, izraz "Savjetnik" obuhvaća veliku raznolikost privatnih i javnih pravnih osoba, uključujući savjetodavne tvrtke, inžinjerske tvrtke, građevinske poduzetnike, upravljačke tvrtke, posrednika za nabavu, posrednike za nadgledanje, revizore, agencije Ujedinjenih naroda (UN) i drugih multinacionalnih organizacija, investicijskih i trgovačkih banaka, sveučilišta, istraživačkih institucija, vladinih agencija, nevladinih agencija (NGO) i pojedinaca4. Banke Zajmodavci rabe te organizacije kao savjetnike radi pomoći u nizu aktivnosti ­ kao što su savjetodavnost u provođenju politike; institucijske reforme; upravljanje; inžinjerske usluge; građevinsko nadgledanje; financijske usluge; usluge nabave; društvena proučavanja i proučavanja okoliša; te identifikacija, priprema i provedba projekata ­ kako bi se nadopunile sposobnosti Zajmoprimca na tim područjima.

Opći principi

1.4 Zajmoprimac je odgovoran za pripremu i provedbu projekta te time i za izbor savjetnika kao i za dodjelu i, s tim u svezi, upravljanje ugovorom. Dok posebne odredbe i postupci koji se moraju slijediti pri zapošljavanju savjetnika ovise o svakom pojedinom slučaju, pet je glavnih razmatranja koja vode Banku pri politici izbornog postupka:

(a) potreba za visokokvalitetnim uslugama,

(b) potreba za ekonomičnošću i učinkovitošću,

(c) potreba da se svi kvalificirani savjetnici iz svih odgovarajućih zemalja mogu natjecati kako bi dobili priliku za davanje usluga koje financira banka,

(d) interes Banke za ohrabenjem razvoja i uporabe domaćih savjetnika u razvojnim zemaljama članicama, i

(e) važnost preglednosti izbornog postupka.

1.5 Banka smatra da se, u većini slučajeva, ovim principima treba prići putem natječaja između kvalificiranih tvrtki s užeg popisa kod kojih se izbor temelji kako na kvaliteti ponuda tako i na trošku koji usluge zahtijevaju (Izbor na temelju kvalitete i troška ­ QBCS). Dio II ovih Smjernica opisuje QBCS postupak. No, postoje i slučajevi kod kojih QBCS metoda nije i najbolja metoda izbora, na primjer kada se radi o visoko kvalificiranim zadacima koji zahtijevaju novine bolje bi bilo uporabiti izbor koji se isključivo temelji na kvaliteti ponuda (Izbor koji se temelji na kvaliteti) kako je to opisano u Dijelu III. Osim toga, Dio III opisuje i druge izborne metode kao i okolnosti u kojima ih preporučuju.

1.6 Određene metode koje se primjenjuju kod izbora savjetnika za bilo koji dani projekt izabrat će Zajmoprimac u skladu s kriterijima koji su prikazani u ovim Smjernicama i s kojima se Banka složila te će se pobliže odrediti u Bančinoj projektnoj dokumentaciji i Ugovoru o zajmu koji je za takav projekt zatražen.

Primjenjivost Smjernica

1.7 Savjetodavne usluge o kojima Smjernice govore su intelektualne i savjetodavne prirode. Ove se Smjernice ne odnose na druge vrste usluga kod kojih prevladava fizički vid djelatnosti (npr. građevinski radovi, proizvodnja robe, rad i održavanje postrojenja ili uređaja, pregledi, istraživačko bušenje, slike iz zraka i satelitske slike).5

1.8 Postupci zacrtani u ovim Smjernicama primjenjuju se na sve ugovore o savjetodavnim uslugama, koje financira, djelomično ili u cijelosti, Banka iz zajma, darovnice ili zaklada,6 a što provodi korisnik. Prilikom nabave savjetodavnih usluga koje nisu nabavljene iz spomenutih izvora, Banka mora biti zadovoljna ispunjenjem slijedećih uvjeta (a) da će postupci prilikom izbora osigurati prihvat onih savjetnika koji raspolažu potrebnim stručnim kvalifikacijama, (b) da će izabrani savjetnik provoditi radne zadaće u skladu s dogovorenim planom i (c) da će djelokrug usluga biti u skladu s potrebama projekta.

Sukob interesa

1.9 Politika Banke zahtijeva od savjetnika profesionalni, objektivni i nepristrani savjet s time da je u svako doba najvažniji interes stranke, bez uzimanja u obzir bilo kakvu vrstu budućeg rada. Savjetnik je obvezan strogo izbjegavati sukobe s drugim mu povjerenim poslovima i ne smije prihvatiti ikakvu zadaću koja bi bila u suprotnosti s njegovim sadašnjim ili bivšim obvezama u odnosu na druge stranke odnosno koje bi ga mogle staviti u poziciju da ne može izvršiti povjerenu zadaću u skladu s najboljim interesima Zajmoprimca. Bez ograničenja u smislu općenitosti ove odredbe, savjetnicima se posao neće povjeriti ukoliko nastupe slijedeće okolnosti:

(a) Ukoliko je tvrtka koju je zaposlio Zajmoprimac za nabavu robe ili usluga ili bilo koja od njenih združenih tvrtki diskvalificirana za nabavu savjetodavnih usuga za projekt o kojemu se radi. S tim u svezi, tvrtka kojoj je povjerena nabava savjetodavnih usluga za pripremu ili provedbu projekta ili bilo koje od njenih združenih poduzeća bit će diskvalificirana radi naknadne nabave robe, radova ili usluga u svezi s početnom zadaćom za projekt o kojemu se radi (ukoliko se ne radi o nastavljanju ranijih savjetodavnih usluga tvrtke kako je to opisano u odjeljku 3.10). Ova se odredba neće primijeniti na razne tvrtke (savjetnici, poduzetnici ili nabavljači) koje skupa predstavljaju obvezu poduzetnika u skladu s ključ­u­ruke ili građevinskim i dizajnskim ugovorom.

(b) Savjetnici ili bilo koja njihova združena poduzeća ne smiju se unajmiti za vršenje bilo kakve zadaće koja je u sukobu sa nekom drugom savjetnik povjerenom djelatnosti Primjer: Savjetnik kojemu je povjerena zadaća inžinjeringa dizajna za neki projekt infrastrukture ne smije se zaposliti na pripremi neke neovisne procjene okoliša za isti projekt, a savjetnici koji pomažu stranci pri privatizaciji javne imovine ne smiju kupovati ili savjetovati prilikom kupnje takve imovine.

Ispunjavanje uvjeta

1.10 Za savjetodavne usluge koje financira Banka ispunjavaju uvjete i mogu se natjecati samo one tvrtke koje su registrirane ili inkorporirane u zemljama članicama Banke, odnosno pojedinci i osoblje koji su državljani rečenih zemalja članica.7 No, usprkos gore navedenomu,

(a) savjetnici zemlje članice mogu biti isključeni (i) ukoliko to zahtijeva zakon ili zakonska odredba, ako zemlja Zajmoprimca zabranjuje trgovačke odnose sa zemljom koja je u pitanju, pod uvjetom da je Banka uvjerena kako takvo isključenje ne sprečava učinkovitu konkurenciju za nabavu zahtijevanih savjetodavnih usluga, ili (ii) ako donesenim propisom koji je u skladu s Odlukom Vijeća sigurnosti Ujedinjenih naroda, objavljenom u Poglavlju VII Povelje Ujedinjenih naroda, zemlja Zajmoprimca zabranjuje isplatu pravnoj ili fizičkoj osobi u rečenoj zemlji.

(b) poduzeća koja se nalaze u vlasništvu države u zemlji Zajmoprimca mogu sudjelovati jedino u slučaju ako dokažu da su (i) u pravnom i financijskom smislu autonomna i (ii) ako djeluju u skladu s trgovačkim pravom. Niti jednoj agenciji koja ovisi o Zajmoprimcu ili Podzajmoprimcu iz projekta neće biti dozvoljeno da podnose zamolbu ili da sudjeluje u natječaju za nabavu savjetodavnih usluga za rečeni projekt.

Unaprijed izvršeno ugovaranje i retroaktivno
financiranje

1.11 Pod određenim okolnostima, recimo za potrebe ubrzanja provedbe projekta, Zajmoprimac može uz suglasnost Banke izraziti želju za provedbom izbora savjetnika i prije nego što je zajam potpisan. U takvim slučajevima postupci izbora će se provesti u skladu s ovim Smjernicama i slijedit će normalne postupke pregleda od strane Banke. Zajmoprimac će poduzeti takvo ugovaranje unaprijed na vlastiti rizik, a izraz "bez prigovora" koji je Banka stavila na sam postupak, dokumentaciju ili ponuda za dodjelu ugovora ne znači i obvezu Banke za osiguranjem zajma za projekt o kojemu se radi. Ukoliko je ugovor potpisan, naknada od strane Banke glede bilo kakvih plaćanja koje je izvršio Zajmoprimac u skladu s ugovorom sklopljenim prije potpisivanja zajma, smatra se retroaktivnim financiranjem koje je dozvoljeno jedino unutar granica posebno određenih Ugovorom o zajmu.

Suradnja među savjetnicima

1.12 Savjetnici mogu međusobno surađivati u nadopunjavanju svojih područja stručnosti ili iz drugih razloga. Takva povezivanja mogu biti na dulji rok (neovisno od bilo kakve određene zadaće) ili mogu biti u svezi s određenim ciljem. "Povezivanje" može biti u obliku zajedničkog poduzeća ili podsavjetodavnog tijela. U slučaju zajedničkog poduzeća, svi članovi tog poduzeća potpisat će ugovor i bit će, zajednički i pojedinačno, odgovorni za cijeli posao. Kad je jedanput uži izbor okončan i natječaj (RFP) izdan bilo koje povezivaje u obliku združenog poduzeća ili podsavjetodavnog tijela između tvrtke u užem izboru dozvoljeno je samo uz suglasnost Zajmoprimca. Zajmoprimac neće zahtijevati od savjetnika da oblikuje sveze s bilo kojom određenom tvrtkom ili skupinom tvrtki, ali može poticati suradnju s, u tom smislu kvalificiranim, domaćim tvrtkama.

Pregled, pomoć i kontrola od strane Banke

1.13 Banka će pregledati način zapošljavanja savjetnika od strane Zajmoprimca kako bi se uvjerila da je izborni postupak protekao u skladu s odredbama iz Ugovora o zajmu. (Način vršenja pregleda opisan je u Dodatku 1).

1.14 U slučaju nastupa posebnih okolnosti Banka može pomoći Zajmoprimcu prilikom poduzimanja različitih koraka pri izbornom postupku, kao što je to nabava popisa užeg izbora ili popisa šireg izbora tvrtki. Ukoliko Zajmoprimac postavi takav zahtjev u pisanom obliku, Banka će mu poslati uži ili širi popis tvrtki za koje očekuje da su sposobne provesti zahtijevani posao. Nabava popisne liste ne znači i ovlaštenje za savjetnike. Zajmoprimac ima pravo brisati i dodati druga imena prema vlastitoj želji; konačni popis mora se svakako podnijeti Banci radi izdavanja suglasnosti prije dodjele natječaja (RFP).

1.15. Banka posjeduje informacijski sustav za savjetnike - DACON. Registracija savjetnika u DACON-u ne znači njihovo obvezno uzimanje u obzir za obavljanja posla koji Banka financira, niti se DACON treba smatrati popisom savjetnika s predsuglasnošću. Registracija tvrtke u DACON-u znači da Banka posjeduje obavijesti koje bi Zajmoprimcu i Banci mogle biti korisne pri pripremi popisa užeg izbora i pregleda kvalifikacija tvrtki koje Zajmoprimac predlaže. Banka niti potvrđuje niti odobrava danu obavijest. Banka daje obavijest o kojoj se radi članovima vlade, UN agencijama te drugim međunarodnim tijelima na njihov zahtjev. Troškovi se ne zaračunavaju Zajmoprimcu već drugima. Banka može, uz suglasnost tvrtki, dati i nepovjerljive obavijesti drugim savjetnicima koji su zainteresirani za udruživanje ili traže partnera za obavljanje povjerenog posla.

1.16 Zajmoprimci snose odgovornost spram nadgledanja rada savjetnika i njihova je stvar osigurati da se posao obavlja u skladu s ugovorom. Bez preuzimanja odgovornosti koje snosi Zajmoprimac ili savjetnici, osoblje Banke će nadgledati sav rad kako bi se Banka uvjerila da se isti obavlja u skladu s odgovarajućim standardima, te da se temelji na prihvatljivim podacima. Prema nahođenju, Banka može sudjelovati u razgovorima između Zajmoprimca i savjetnika te, ukoliko to bude potrebno, pomoći Zajmoprimcu pri pripremi zaključaka u svezi s rečenim poslom. Ukoliko se značajniji dio rada u svezi s projektom provodi u sjedištu savjetnika osoblje Banke može uz prethodnu suglasnost Zajmoprimca posjetiti urede u rečenom sjedištu kako bi pregledali rad savjetnika.

Rezervacija savjetodavnih usluga

1.17 Ukoliko se natječajni postupak za nabavu određenih savjetodavnih usluga provede u skladu sa Smjernicama, ali Zajmoprimac želi rezervirati te usluge za jednu ili više određenih tvrtki, Banka može prihvatiti takav izbor s rezervacijom pod slijedećim uvjetima:

(a) da posao nije prihvatljiv za financiranje iz Bančinog zajma; i

(b) da neće u znatnijoj mjeri utjecati na zadovoljavajuću provedbu projekta u smislu troškova, kvalitete i pravodobnog izvršenja.

Kriva nabava

1.18 Banka neće financirati troškove savjetodavnih usluga koje nisu ugovarane u skladu s postupcima dogovorenim Ugovorom o zajmu. Banka pogotovo neće financirati ugovor u slučaju ako ne ocijeni zadovoljavajućim kvalifikacije savjetnika ili uvjete ugovora. U takvim slučajevima Banka će proglasiti slučaj krive nabave i politika je Banke poništiti onaj dio zajma koja se odnosi na rečene krivo nabavljene usluge. Osim toga, Banka ima pravo poduzeti i druge korake u skladu s Ugovorom u zajmu. Ukoliko je ugovor sklopljen uz napomenu "bez prigovora" od strane Banke, Banka ipak ima pravo proglašenja slučaja krive nabave ukoliko dođe do zaključka da je napomena "bez prigovora" dana na temelju nepotpunih, netočnih ili krivih obavijesti od strane Zajmoprimca.

Izrazi koji se odnose na Banku

1.19 Kada se misli na Banku, u svim RFP i ugovornim ispravama, Zajmoprimac će rabiti slijedeće izraze:

"(Ime Zajmoprimca) primio je (ili "podnio zamolbu") za zajam Međunarodnoj banci za obnovu i razvoj (IBRD), u različitim valutama koje odgovaraju iznosu od US$ ------- radi snašanja troškova (ime projekta) te namjerava utrošiti dio rečenog zajma na isplate koje odgovaraju ovom ugovoru. Isplate od strane IBRD izvršit će se samo na zahtjev (ime Zajmoprimca ili od njega imenovane osobe) i uz suglasnost IBRD te u svakom pogledu moraju odgovarati odredbama i uvjetima Ugovora o zajmu. Ugovor o zajmu zabranjuje skidanje iznosa s računa radi bilo kakvih plaćanja osobama ili pravnim osobama za bilo kakav uvoz robe ukoliko je, prema saznanjima Banke, plaćanje ili uvoz takve robe zabranjen odlukom Vijeća sigirnosti Ujedinjenih naroda, kako je to navedeno u Poglavlju VII Povelje Ujedinjenih naroda. Niti jedna stranka osim (ime Zajmodavca) nema nikakvih prava iz Ugovora o zajmu niti bilo kakvih potraživanja iz postupaka u tom smislu."

Poduka odnosno prijenos znanja

1.20 Ukoliko zadaća sadrži jednu važnu sastavnicu koja zahtijeva poduku odnosno prijenos znanja Zajmoprimcu ili domaćim savjetnicima, odgovarajući uvjeti preporuke (TOR) moraju ukazivati na objekt, prirodu, djelokrug i ciljeve programa poduke, uključujući i detalje o osoblju koje daje poduku i onom koje se podučuje, vještine koje se trebaju podučiti, vremenski okvir, te kontrolni i procjenjeni dogovor. Troškovi programa školovanja moraju biti uključeni u ugovor koji se sklapa sa savjetnikom te u proračun posla koji se obavlja.

Jezik

1.21 RFP i ponuda moraju biti na engleskom, francuskom ili španjolskom jeziku, već prema izboru Zajmoprimca. Tekst ugovorne isprave koja je sačinjena na tom jeziku smatrat će se glavnim tekstom.

1.22 Zajmoprimac može prema svom nahođenju i pod uvjetom da je jezik općenito u uporabi dozvoliti domaćim savjetnicima (uključujući združene tvrtke domaćih i stranih tvrtki) predati svoje ponude i potpisivati ugovore koji su sačinjeni samo na domaćem jeziku koji će se tada smatrati glavnim jezikom ugovora. U takvom slučaju Banci će se prije potpisa dostaviti za pregled prijevod ponude i ugovora na međunarodnom jeziku, koji je RFP pobliže odredio. Zajmoprimci neće zahtijevati od tvrtki da potpisuju ugovore i na stranom i na domaćem jeziku.

Procjena rada savjetnika

1.23 Savjetnici će rad obavljati marljivo i u skladu s glavnim standardima koje zadaća zahtijeva. Banka će procijeniti rad savjetnika koji su zaposleni u skladu s ugovorima koje Banka financira nepristranom i povjerljivom metodom. Ocjena rada smatrat će se unosom za slijedeće uže izbore. U slučaju ponovljenog loše obavljenog rada, tvrtka će se u tom smislu obavijestiti, pružit će joj priliku da objasni razloge takvog lošeg obavljanja posla i predložiti načine ispravka. Ukoliko se loš način rada i nadalje održava Banka ima pravo isključiti tvrku tijekom određenog vremenskog razoblja iz sudjelovanja u programima koje Banka financira.

1.24 Savjetnici su odgovorni za točnost i pravilnost svog rada. Iako Zajmoprimci nadgledaju i pregledavaju njihov rad, u konačnim ispravama koje su savjetnici sačinili ne smiju se raditi nikakve izmjene bez obostrane suglasnosti. U slučaju nadgledanja radova savjetnik može imati veće ili manje ovlasti za nadgled od pune odgovornosti u svojstvu inžinjera do vršenja savjetodave uloge s malo ovlasti pri donošenju odluka.

Prijevara i mito

1.25 Politika Banke je da zahtijeva od Zajmoprimca (uključujući i korisnike Bančinih zajmova) kao i od savjetnika koji rade u skladu s ugovorima koje Banka financira da se drži najviših etičkih standarda tijekom izbora i vršenja takovih ugovora. U skladu s tom politikom Banka:

(a) definira, u svrhu ove odredbe, izraze kako slijedi:

(i) pod izrazom "praksa uzimanja mita" smatra se ponuda, davanje, primanje ili poticanje na davanje, primanje ili nuđenje bilo kakve stvari od vrijednosti koja bi mogla utjecati na rad javnog djelatnika u izbornom postupku; i

(ii) "prijevarni rad" označava krivo tumačenje činjenica kako bi se time utjecalo na izborni postupak ili izvršenje ugovora na štetu Zajmoprimca i uključuje namještanja kod savjetnika (prije ili poslije podnošenja ponuda) s namjerom da se ustanove cijene na nestvarnoj konkurentskoj razini te da se na taj način onemogući Zajmoprimcu pravo na slobodni i otvoreni natječaj;

(b) odbacit će se ponuda za dodjelu ugovora ukoliko se zaključi da bi savjetnik predložen za dodjelu posla bio angažiran u prijevarnim djelatnostima ili mitu za natjecanje za dodjelu rečenog posla;

(c) otkazat će onaj dio zajma koji se odnosi na ugovor sa savjetnikom ukoliko se u bilo koje doba ustanovi primanje mita ili prijevarne radnje u čemu su sudjelovali predstavnici Zajmoprimca ili korisnika zajma tijekom izvršenja rečenog ugovora, a da Zajmoprimac nije poduzeo pravovremenu i odgovarajuću akciju koju Banka smatra zadovoljvajućom i koja bi ispravila situaciju;

(d) proglasit će tvrtku (ili pojedinačnog savjetnika) nepodesnom za dobivanje ugovora koji Banka financira, stalno ili tijekom određenog vremenskog razdoblja, ukoliko se u bilo koje doba ustanovi da se tvrtka (ili pojedinačni savjetnik) angažirala u primanju mita ili prijevarnim radnjama prilikom natjecanja za ili tijekom izvršenja ugovora koji je Banka financirala; i

(e) imat će pravo zahtijevati da se, kad se radi o ugovorima koji se financiraju iz Bančinog zajma, mora uključiti odredba kojom se zahtijeva od savjetnika, dobavljača i poduzetnika dozvolu prema kojoj Banka može nadgledati njihove račune i dokumentaciju u svezi s izvedbom ugovornih radnji i predati ih revizijskom pregledu revizorima koje imenuje Banka.

II. IZBOR TEMELJEM KVALITETE I TROŠKOVA (QBSC)

Izborni postupak

2.1 QBCS rabi postupak natječaja između tvrtki koje se nađu u užem izboru, pri čemu se uzima u obzir vrsta ponude i trošak usluge. Trošak kao faktor izbora mora se razumno procijeniti. Relativna težina se treba staviti na kvalitetu, a trošak će se određivati prema svakom slučaju ovisno o prirodi zadaće.

2.2 Izborni postupak mora uključivati slijedeće korake:

(a) TOR pripremu

(b) Pripremu troškovnika i proračuna

(c) Reklamiranje

(d) Pripremu popisa užeg izbora savjetnika

(e) RFP pripremu i izdavanje natječaja

   (i) Pozivno pismo

   (ii) Obavijesti za savjetnike

   (iii) Predloženi ugovor

(f) Prihvat ponude

(g) Procjenu tehničkih ponuda s obzirom na kvalitetu

(h) Procjenu financijske ponude

(i) Konačnu procjenu kvalitete i troškova; i

(j) Pregovore i dodjelu ugovora izabranoj tvrtki.

Uvjeti preporuke (TOR)

2.3 Zajmoprimac će biti odgovoran za TOR pripremu u smislu ove zadaće. TOR priprema/ju osoba/be ili tvrtka koja je specijalizirana za područje radne zadaće. Djelokrug usluga opisanih u TOR-u mora biti u skladu s proračunom koji stoji na raspolaganju. TOR mora jasno definirati predmet, ciljeve i djelokrug radne zadaće i dati pozadinsku obavijest (uključujući i popis postojećih određenih studija i temeljnih podataka) kako bi se savjetniku olakšala priprema ponude. Ukoliko je potrebno školovanje ili prijenos znanja, to se treba posebno navesti, zajedno s detaljima o broju osoblja koje se treba školovati itd. kako bi se savjetniku omogućilo procijeniti potrebne izvore. TOR mora navesti usluge i preglede koji su potrebni kako bi se provela radna zadaća i očekivani proizvodi (npr. izvješća, podaci, karte, pregledi). No, TOR ne treba opet biti predetaljan i nefleksibilan kako bi savjetnici koji se natječu mogli predložiti i svoje osobne metodologije i sustav osoblja. Tvrtke bi se trebalo ohrabriti na komentiranja TOR-a u svojim ponudama. Odgovornosti savjetnika i Zajmoprimca TOR mora jasno odrediti.

Troškovnik (proračun)

2.4 Priprema dobro promišljenog troškovnika je temeljna stvar ukoliko se želi ukazati na realistične izvore za proračun. Troškovnik se temelji na Zajmoprimčevoj procjeni izvora koji su potrebni za izvedbu zadaće: vrijeme za osoblje, logistička potpora i fizički unosi (npr. vozila, laboratorijska oprema). Troškovi se moraju odijeliti u dvije široke kategorije: (a) naknade ili plaćanja (prema vrsti ugovora koji je u uporabi), i (b) pokriveni troškovi koji se dalje dijele na strane i domaće troškove. Troškovi za vrijeme osoblja procjenjuju se u skladu s realističnim temeljem za strano i domaće osoblje.

Priprema i izdavanje natječaja (RFP)

2.5 RFP uključuje (a) pozivno pismo, (b) obavijest savjetnicima, (c) TOR i (d) predloženi ugovor. Zajmoprimci će rabiti jedan od standardnih RFP-a koje izdaje Banka i navest će sve isprave koje su u RFP-u naznačene.

Pozivno pismo (LOI)

2.6 LOI mora navesti Zajmoprimčevu namjeru sklapanja ugovora o proviziji za savjetodavne usluge, izvore financiranja, detalje o stranci, te nadnevak, vrijeme i adresu na koju se šalju podnesene ponude.

Obavijest savjetnicima (ITC)

2.7 ITC treba sadržati sve potrebne obavijesti koje bi pomogle savjetnicima za pripremu odgovarajućih ponuda i pridonijeti što je to više moguće preglednosti izbornog postupka davanjem obavijesti o postupku procjene i ukazujući na procjembeni kriterij i procjembene faktore te odgovarajuća težišta i minimalnu ocjenu za prolaznu kvalitetu. ITC ne smije ukazivati na proračun (s obzirom na to da je trošak jedan od procjembenih kriterija) ali mora ukazati na unos ključnih stručnjaka (vrijeme osoblja). Savjetnici su na svaki način slobodni pripremiti vlastite procjene vremena za osoblje koje bi bilo potrebno za provedbu radne zadaće. ITC će specificirati predloženo vremensko razdoblje važenja (obično 60-90 dana). Detaljni popis svih obavijesti koje se trebaju uključiti u ITC dan je u Dodatku 2.

Ugovor

2.8 Dio IV ovih Smjernica daje kratki prikaz najuobičajenih vrsta ugovora. Zajmoprimci će uporabiti odgovarajuću vrstu Standardnog ugovornog formulara koje izdaje Banka uz dozvoljene minimalne promjene koje Banka mora odobriti, a koje su potrebne radi adresiranja određene zemlje ili rezultata projekta. Svaka od takvih promjena može se uvesti samo kroz Listove ugovornih podataka (Contract Data Sheets) ili preko Posebnih ugovornih uvjeta (Special Conditions of Contract) a ne uvođenjem promjena sadržaja Općih ugovornih uvjeta (General Conditions of Contract) koje su uključene u standardne formulare Banke. Ovi formulari ugovora pokrivaju većinu savjetodavnih usluga. Ukoliko formulari ne odgovaraju (npr. kada se radi o kontroli ranije izvršenih isporuka, nabavnim uslugama, školovanju studenata na sveučilištima, reklamiranju djelatnosti privatizacije ili granjanja (twining), Zajmoprimci će uporabiti druge ugovorne formulare koje odobri Banka.

Uži izbor savjetnika

2.9 Zajmoprimac je odgovoran za pripremu popisa užeg izbora. Kako bi dobio izraz interesa, Zajmoprimac će uključiti popis savjetodavnih zadaća koje se očekuju u Napomeni o općim potrebama (General Procurement Notice)8.

Osim toga, mora se objaviti i ugovor velike vrijednosti u domaćim novinama kao i u Development Business (UNDB) i, prema nahođenju, u jednom međunarodnom ili tehničkom časopisu u kojem se traži "izraz interesa". Zajmoprimac može stupiti u kontakt s veleposlanstvima, strukovnim udrugama ili tvrtkama koje poznaje ili koje su registrirane u DACON-u9. Zatražena obavijest mora sadržati minimum koji se zahtijeva za stvaranje prosudbe o odgovaranju tvrtke u tom smislu, a ne biti složena u tolikoj mjeri da obeshrabri savjetnike pri izražavanju svojih interesa. Zajmoprimac će u prvom redu uzeti u obzir one tvrtke koje izraze interes i imaju odgovarajuće kvalifikacije. Popis tvrtki užeg izbora mora sadržavati 3 do 6 tvrtki širokog zemljopisnog dometa, time da ne smije biti više od dvije tvrtke iz jedne zemlje i najmanje jedna tvrtka iz zemalja u razvoju, osim u slučaju kad se takve tvrtke ne mogu ustanoviti u zemljama u razvoju. Glede uspostave užeg popisa domaća tvrtka se prosuđuje prema zemlji u kojoj je registrirana ili inkorporirana. Banka može zahtijevati od Zajmoprimca da proširi ili smanji popis užeg izbora no kada Banka jedanput izda suglasnost pod nazivom "bez prigovora" (no objection) za bilo koji popis užeg izbora Zajmoprimac ne smije dodavati ili brisati imena s tog popisa bez da prije toga ima suglasnot Banke u tom smislu.

2.10 Uži popis mora sadržavati isključivo domaće savjetnike (tvrtke koje su u većinskom domaćem vlasništvu i registrirane ili inkorporirane u zemlji) ukoliko se radi o radnoj zadaći manjeg obima, te ukoliko je na raspolaganju dovoljan broj kvalificiranih tvrtki (najmanje 3) koje imaju konkurentne cijene, dok natječaj koji uključuje strane savjetnike prima facie nije opravdan.

Primitak ponude

2.11 Zajmoprimac mora savjetnicima dati dovoljno vremena da pripreme svoje ponude. Ovo vrijeme ovisi o radnoj zadaći ali pod normalnim okolnostima ne smije biti manje od četiri tjedna ili dulje od tri mjeseca (na primjer za radne zadaće koje zahtijevaju uspostavu istančane metodologije ili pripremu multidisciplinarnog glavnog plana). Tijekom tog vremenskog perioda tvrtke mogu zahtijevati pojašnjenja obavijesti koje su objavljen u RFP-u. Zajmoprimac će dati takova pojašnjenja u pisanom obliku i poslati ih, u obliku preslike, svim tvrtkama koje su na popisu užeg izbora (a koje namjeravaju podnijeti ponude). Ukoliko je to potrebno, Zajmoprimac može produljiti krajnji rok podnošenja ponuda. Tehničke i financijske ponude podnose se u isto vrijeme. Nakon istijeka krajnjeg roka, ne smiju se primati nikakve tehničke ili finacijske ponude. Glede očuvanja integriteta postupka, tehničke i financijske ponude podnose se u posebnim omotnicama. Tehničke omotnice otvara odbor koji je uspostavljen od određenih odjela (tehničkih, financijskih, pravnih - prema potrebi) odmah nakon zatvaranja roka za podnošenje ponuda. Financijske ponude ostaju zatvorene i deponiraju se pri javnom bilježniku koji je na dobrom glasu ili pri jednom neovisnom tijelu sve dok se javno ne otvaraju. Svaka ponuda koja pristigne nakon roka za podnošenje ponuda, vratit će se neotvorena.

Procjena ponuda: Razmatranje kvalitete i troškova

2.12 Procjena ponuda provest će se u dva stupnja: prvi stupanj uzima u obzir kvalitetu, a drugi trošak. Procjena tehničkih ponuda neće imati pristup financijskim ponudama sve dok tehnička procjena, uključujući sve preglede koje vrši Banka, ne bude dovršena. Procjena će se provesti u cijelosti u skladu s RFP odredbama.

Procjena kvalitete

2.13 Zajmoprimac će procijeniti svaku tehničku ponudu (preko procjembenog odbora od tri ili više stručnjaka iz određenog područja rada), uzimajući u obzir slijedeće kriterije: (a) određeno iskustvo savjetnika u radnoj zadaći, (b) kvalitetu predložene metodologije, (c) kvalifikaciju ključnog predloženog osoblja, (d) prijenos znanja i (e) domet učešća domaćeg osoblja u ključnom osoblju koje obavlja radnu zadaću. Svaki kriterij se bilježi oznakom od 1 do 100. Nakon toga se oznaka važe kako bi postala bodom. Slijedeća odvagnuća se ubilježuju u RFP.

Specifičnost iskustva savjetnika: 5 do 10 bodova

Metodologija: 20 do 50 bodova

Ključno osoblje: 30 do 60 bodova

Prijenos znanja10: 0 do 10 bodova

2.14 Zajmoprimac će u normalnim okolnostima podijeliti rečene kriterije na podkriterije. Na primjer, kao podkriterij u smislu metodologije mogu se smatrati novine i razine detalja. No, broj podkriterija mora se svesti na najosnovnije. Banka predlaže da se, kako ne bi došlo do previše detaljnog popisa podkriterija koji se rabe u procjeni, rabi prije mehanička procjena nego stručna procjena ponuda.

2.15 Težina koja se daje iskustvu je relativno mala, jer je taj kriterij već uzet u obzir prilikom uspostavljanja popisa užeg izbora savjetnika. Pritom se više težine treba dati metodologiji u slučaju kada se radi o složenijoj radnoj zadaći (na primjer, mogućnost multidisciplinarne provedbe ili proučavanje upravljanja).

2.16 Preporuča se procjena samo ključnog osoblja, s obzirom na to da ključno osoblje u krajnjoj liniji određuje kvalitetu rada, pa se taj dio procjene treba više bodovati ukoliko je predložena radna zadaća složenija. Zajmoprimac će pregledati kvalifikaciju i iskustvo predloženog ključnog osoblja putem njihovih životopisa, koji moraju bti točni, cjeloviti i potpisani od strane u tom pogledu ovlaštenog službenika savjetnika i osobe koja je predložena. U slučaju kad radna zadaća na kritičan način ovisi o radu ključnog osoblja, kao što je to upravljač projekta u većoj grupi određenih osoba poželjno je te osobe intervjuirati. U smislu važnosti, pojedinci se ocjenjuju u slijedeća tri podkriterija:

(a) opće kvalifikacije: opće i stručno školovanje, vrijeme iskustva, pozicija u kojoj se nalazi, vrijeme provedeno sa savjetničkom tvrtkom, iskustvo u zemljama u razvoju itd.

(b) primjerenost za radnu zadaću: školovanje, stručno školovanje i iskustvo na određenom području, polju rada itd. koje je važno za radnu zadaću; i

(c) iskustvo na mjestu rada: znanje jezika koji se rabi na lokaciji, poznavanje kulture, administrativnog sustava, državnog uređenja itd.

2.17 Zajmoprimac će procijeniti svaku pojedinu ponudu na temelju njezine prilagodbe na TOR. Ponuda će se smatrati neprikladnom i odbaciti u ovom stupnju ukoliko ne odgovara važnim gledištima TOR-a ili ne može ispuniti minimalni tehnički djelokrug kako je pobliže određen u RFP-u.

2.18 Na kraju postupka, Zajmoprimac će pripremiti procjembeno izvješće o "kvaliteti" ponuda. Izvješćem će potkrijepiti rezultate procjene i opisati relativnu snagu i slabosti ponuda. Svi podaci koji se odnose na procjenu kao što su su liste pojedinačnih ocjena zadržat će se sve do dovršenja projekta.

Procjena troškova

2.19 Nakon što je dovršena procjene kvalitete, Zajmoprimac će obavijestiti one savjetnike čije ponude nisu bile u skladu s minimalnom kvalifikacijskom ocjenom ili nisu ocijenjene sukladnim RFP-u i TOR-u, s napomenom da će se njihove financijske ponude vratiti neotvorene po dovršetku izbornog postupka. Zajmoprimac će istovremeno obavijestiti savjetnike koji su ispunili minimum zahtjeva te ih obavijestiti o danu i vremenu koje je određeno za otvaranje financijskih ponuda. Financijske ponude će se otvoriti javno, uz prisutnost predstavnika savjetnika koji to žele. Ime savjetnika, ocjena kvalitete i predložene cijene čitat će se na glas i zabilježiti prilikom otvaranja financijskih ponuda, a preslika tog izvješća će se odmah poslati Banci. Pripremu zapisnika s javnog otvaranja obavlja Zajmoprimac.

2.20 Zajmoprimac će potom pregledati financijske ponude. Ukoliko postoje bilo kakve aritmetičke pogreške, treba ih ispraviti. Radi lakše usporedbe ponuda, troškovi će se iskazati u jednoj jedinstvenoj valuti koju izabere Zajmoprimac (domaća valuta ili u potpunosti konvertibilna strana valuta), kako je to navedeno u RFP-u. Zajmoprimac će provesti konverziju valute uporabom prodajnog tečaja rečene valute koja se citira iz pouzdanog izvora (kao što je centralna banka), od strane komercijalne banke ili međunarodno priznatih novina za slične transakcije. RFP će odrediti izvor i tečaj koji će se rabiti, kao i nadnevak na koji će se provesti pretvorba valute pod uvjetom da taj nadnevak ne smije biti više od četiri tjedna prije krajnjeg roka predaje ponuda, niti kasniji od izvornog nadnevka istijeka važnosti ponuda.

2.21 U svrhu procjene izraz "trošak" neće uključiti i lokalne poreze, ali će uključiti ostale nadoknadive troškove kao što su putovanje, prijevod, tiskanje izvješća ili troškove tajnika. Ponuda koji sadrži najniži iznos troškova dobiva financijsku ocjenu 100, a ostali dobivaju financijske ocjene koje su obrnuto proporcionalne cijenama. Alternativno, upravno proprcionalna linearna metodologija može se rabiti prilikom dodjele ocjena za troškove. Metodologija koja se ima uporabiti opisana je u RFP-u.

Kombinirana procjena kvalitete i troškova

2.22 Ukupni broj bodova dobije se vaganjem kvalitete i troškova i njihovim konačnim zbrojem. Težina "troška" se bira uzimajući u obzir složenost radne zadaće i određenu važnost kvalitete. Osim ako se radi o vrsti usluga koje su pobliže određene u Dijelu III, trošak neće dobiti više od 30 niti manje od 10 bodova od sveukupnog broja bodova od 100. Tvrtka koja dobije najveći broj bodova bit će pozvana na pregovore.

Pregovori i dodjela ugovora

2.23 Pregovori uključuju TOR, metodologiju, biranje osoblja, unose Zajmoprimca i posebne uvjete ugovora. Ovi razgovori neće u bitnoj mjeri izmijeniti izvorni TOR ili uvjete ugovora, osim ako utječu na kvalitetu konačnog proizvoda, trošak i važnost početne procjene. Glavna smanjenja radnog proizvoda ne smiju se ispostaviti isključivo radi toga da se sačuva proračun. Konačni TOR i metodologija koja se ugovorila mora biti sadržana u "Opisu usluga" koji je sastavni dio ugovora.

2.24 Izabranoj tvrtki ne smije se dozvoliti promjena ključnog osoblja, osim ako se obje strane slože s time da će uslijed toga doći do nepotrebnog produljenja u postupku izbora, te da je promjena stoga neizbježna ili da su promjene kritično potrebne glede dovršenja radne zadaće.12 Ukoliko to nije slučaj i ustanovi se da je ključno osoblje uključeno u ponudu bez da se prije toga provjerilo može li to osoblje biti na raspolaganju, tvrtka može biti diskvalificirana i cijeli se postupak ponavlja sa slijedećom tvrtkom na ljestvici. Ključno osoblje koje je predloženo za zamjenu mora imati kvalifikaciju koja je jednaka ili bolja od kvalifikacije početno predloženog osoblja.

2.25 Financijski pregovori uključuju i pojašnjenja o savjetodavnim plaćanjima pristojbi u zemlji Zajmoprimca (ukoliko takve postoje) te način na koji će se obveza plaćanja pristojbi odraziti na ugovor. Predložene jedinične stope za osoblje mjesečno i nadonadivi troškovi neće biti predmetom pregovora, jer su isti uzeti u obzir kao faktor izbora kod ponuda troškova osim ako se radi o prihvatljivim razlozima.

2.26 Ukoliko pregovori ne završe prihvatljivim ugovorom, Zajmoprimac će završiti pregovore i pozvati na razgovor slijedeću tvrtku na ljestvici procjene. Prije nego što poduzme taj korak Zajmoprimac će se savjetovati s Bankom. Savjetnika će se obavijestiti o razlozima prekidanja pregovora. Kad se pregovori počnu voditi sa tvrtkom koja stoji slijedeća na ljestvici procjene, Zajmopromac neće više ponovno stupiti u pregovore s prvom tvrtkom. Po dovršetku pregovora Zajmoprimac će obavijestiti ostale tvrtke s popisa užeg izbora kako nisu bile uspješne.

Odbijanje svih ponuda i ponovno otvaranje natječaja

2.27 Zajmoprimac ima pravo odbijanja svih ponuda i ponovnog otvaranja natječaja ukoliko su svi odgovori neprikladni ili su prisutne veće manjkavosti pri usklađivanju s TOR-om ili ukoliko su troškovi znatno viši od predviđenih. U zadnjem slučaju treba u dogovoru s Bankom istražiti mogućnost povečanja proračuna ili smanjiti djelokrug usluga pobjedničke tvrtke. Prije nego što će sve ponude odbiti, Zajmoprimac će o tome obavijestiti Banku navodeći razloge odbijanja ponuda i dobiti Bančin odgovor pod oznakom "bez prigovora" prije nego što nastavi s potupkom odbijanja i započinjanja iznova. Novi postupak može uključiti revizije RFP-a (uključujući i popis užeg izbora) i proračuna, koje mora odobriti Banka.

Tajnost

2.28 Obavijesti koje se tiču procjene ponuda i preporuke koje se odnose na dodjele ugovora neće se priopćiti savjetnicima koji podnose ponude niti trećim osobama koje nisu službeno u svezi s postupkom, sve dok se dodjela radne zadaće ne priopći pobjedničkoj tvrtki.

III. OSTALE METODE IZBORA

Općenito

3.1 U slučaju nastupa nekih okolnosti QCBS neće se smatrati najprikladnijom metodom izbora savjetnika, već će se primijeniti ostale metode. Izbor metoda i vrstr usluga za koje će se primijeniti dogovorit će se između Banke i Zajmoprimca i pobliže odrediti u Ugovoru o zajmu. Ovaj Dio opisuje druge vrste izbornih metoda kao i okolnosti pod kojima će se primjenjivati.

Izbor temeljen na kvaliteti (QBS)

3.2 QBS se smatra prikladnom metodom kod slijedećih vrsta radnih zadaća:

(a) složene ili visoko specijalizirane radne zadaće za koje je teško precizno pobliže odrediti TOR i koje zahtijevaju unos od strane savjetnika a za koje stranka očekuje od savjetnika da demonstrira novinu koju je naveo u ponudi (npr. gospodarstvena ili sektorska proučavanja u zemlji, multisektorska proučavanja izvršivosti, dizajn postrojenja s opasnim otpadom ili gradski glavni plan, sektorske financijske reforme);

(b) radne zadaće s jakim učinkom kod kojih je glavni objekt imati najbolje stručnjake (npr. dizajn za izvršivost i strukturalni inžinjering infrastrukture kao što su velike brane, političke studije od nacionalne važnosti i upravljačka proučavanja velikih vladinih agencija); i

(c) zadaće koje se mogu provesti na nekoliko osnovnih načina, tako da se ponude ne mogu uspoređivati (npr. savjetovanje u upravljanju i sektoralne političke studije kod kojih vrijednost usluge ovisi o kvaliteti analize).

3.3 Kod QBS metode RFP će zahtijevati podnošenje samo tehničke ponude (bez financijske). RFP neće nabaviti troškovnik proračuna, ali može imati procjenjeni broj vremena ključnog osoblja uz specifikaciju obavijesti koja se daje isključivo u smislu pokazatelja, dok će savjetnici biti slobodni sačiniti svoje osobne troškovnike.

3.4 Nakon procjene tehničkih ponuda, uporabom iste metode kako je navedena u QBCS-u (odjeljak 2.13-2.18), Zajmoprimac će zatražiti od savjetnika s najviše ocijenjenom ponudom da podnese detaljnu financijsku ponuda. Zajmoprimac i savjetnik će tada pregovarati o financijskoj ponudi i ugovoru. Sva druga gledišta izbornog postupka identična su postupku QCNS-a. No, ukoliko se od savjetnika zahtijeva financijska ponuda odmah s tehničkom ponudom, u QBCS se trebaju ugraditi sigurnosne mjere (odjeljak 2.11) koje će osigurati da budu otvorene isključivo omotnice s cijenama izabrane ponude, dok se ostalo vraća neotvoreno nakon uspješnog okončanja pregovora.

Izbor uz fiksni proračun

3.5 Ova metode je prikladna jedino u slučaju kad se radi o jednostavnoj radnoj zadaći koja se može precizno definirati i u slučaju kada je proračun fiksiran. RFO će ukazati na proračun koji stoji na raspolaganju i zatražiti od savjetnika da daju svoje najbolje tehničke i fiancijske ponude u posebnim omotnicama unutar iznosa proračuna. U tom će se slučaju posebice precizno pripremiti TOR kako bi se osiguralo da iznos proračuna odgovara u dovoljnoj mjeri savjetnicima za izvršenje zadanih radnih zadaća. Procjena svih tehničkih ponuda provest će se najprije QCBS metodom. Omotnice koje sadrže cijene otvaraju se javno. Odbit će se ponude koje premašuju iznos proračuna koji je ukazan. Izabrat će se i pozvati na pregovore o ugovoru savjetnici koji su podnijeli najviše ocijenjene tehničke ponude (odjeljak 2.13-2.19 i 2.23-2.25).

Izbor najnižeg troška

3.6 Ova je metoda najprikladnija kod izbora savjetnika za obavljanje zadaća koje su standardne ili rutinske prirode (nadzor, inžinjerski dizajn nesloženih radova itd.), gdje već postoje uhodane prakse ili standardi rada i kod kojih se radi o malom ugovornom iznosu. Kod te metode se utvrđuje "minimalna" oznaka kvalifikacije u smislu "kvalitete". Ponude se predaju u dvije omotnice i sazivaju se iz užeg izbora. Omotnice s tehničkim ponudama otvaraju se i procjenjuju prve. One koje sadrže manje od zahtijevanog minimuma odbacuju se i tek tada se otvaraju financijske omotnice ostalih. Odabire se tvrtka koja je predložila najniži iznos. Kad se koristi ova metoda, potrebno je ustanoviti najnižu kvalifikacijsku oznaku, imajući na umu činjenicu da se sve ponude koje se nalaze iznad minimuma natječu isključivo u smislu "troška". Minimalna oznaka se mora navesti u RFP-u.

Izbor temeljen na kvalifikaciji savjetnika bez formalne ponude

3.7 Ova se metoda može uporabiti kod vrlo malih radnih zadaća za koje trošak priprave i procjene ponuda nije opravdan. U takvim slučajevima, Zajmoprimac će pripremiti TOR, zahtijevati iskaz savjetnika o njegovom interesu, iskustvu i kompetenciji koja je važna za radnu zadaću, uspostavit će popis užeg izbora i izabrati tvrtku s najprikladnijim kvalifikacijama i preporukama. Izabrana tvrtka bit će pozvana podnijeti kombiniranu tehničko-financijsku ponudu te će se potom pozvati na pregovore za sklapanje ugovora.

Izbor jedinstvenog izvora

3.8 Izbor jedinog izvora savjetnika nema prednost natječaja po pitanju kvalitete i troškova, a toj metodi nedostaje i preglednost kod izbora te se time mogu ohrabriti neprihvatljive prakse. Stoga se ta metoda može rabiti samo u vrlo specijalnim slučajevima. Opravdanje za izbor gore navedene metode mora se preispitati u smislu općeg interesa, kako interesa stranke, tako i projekta, a odgovornost Banke jest osigurati ekonomičnost i priliku savjetnicima svih zemalja članica u najvećoj mogućoj mjeri.

3.9 Izbor jedinog izvora smatrat će se prikladnim jedino u slučaju kad predstavlja jasnu prednost nad metodom natječaja (a) glede zadaća koje predstavljaju prirodni nastavak prethodnog rada koji je tvrtka obavljala (vidi slijedeći odjeljak), (b) u slučajevima kad je temeljna stvar brzi izbor (npr ako se radi o hitnom radu), (c) kod vrlo malih radnih zadaća ili (d) ako je samo jedna tvrtka kvalificirana u tom smislu ili posjeduje iskustvo od posebne vrijednosti za rečnu radnu zadaću.

3.10 Ukoliko je bitno zadržati kontinuitet u radu inicijativni RFP će zacrtati ponudu ukoliko se smatra praktično vrijednim faktori koji su bili važni za izbor prvog savjetnika uzet će u obzir vjerovatnost nastavka radova. Kontinuitet u tehničkom pristupu, za dobiveno iskustvo i kontinuirana profesionalna odgovornost istog savjetnika mogu biti činjenice koje će prevagnuti nad raspisivanjem novog natječaja uz uvjet uspješnog obavljanja dosadašnje radne zadaće. Kod ovakvih radnih zadaća, Zajmoprimac će zatražiti od prvotno odabranog savjetnika da pripremi tehničke i financijske ponude koje se temelje na TOR-u Zajmoprimca, o čemu će se kasnije voditi pregovori.

3.11 Ukoliko početni radni zadatak nije dodijeljen, ili je dodijeljen prema vezanoj financijskoj ili rezerviranoj nabavi, ili ako je radna zadaća veće vrijednosti normalno će se slijediti natječajni postupak koji je za Banku prihvatljiv, pričem se neće isključiti savjetnik koji je provodio početne radove. Banka će razmotriti iznimke od ovog pravila samo ako se radi o posebnim okolnostima i jedino u slučaju da otvaranje novog natječaja nije praktično.

3.12 Komercijalna praksa. Ukoliko se zajam proslijeđuje preko financijskog posrednika korisnicima kao što su to poduzeća privatnog sektora ili autonomna komercijalna poduzeća iz javnog sektora, Podzajmoprimac može slijediti već uhodanu komercijalnu praksu koja je za Banku prihvatljiva. U obzir treba isto tako uzeti i uporabu postupka koji su već ranije opisani, potogovo kada se radi o većim radnim zadaćama.

Izbor određene vrste savjetnika

3.13 Izbor UN agencija u svojstvu savjetnika. UN agencije se mogu unajmiti u svojstvu savjetnika u slučaju kada su kvalificirane za davanje određenih usluga tehničke pomoći u svojim stručnim područjima. No, tim se agencijama ne treba dati prednost u natječajnom postupku, osim što Zajmoprimac može prihvatiti privilegije i imunitet koji se daju UN agencijama i njihovom osoblju u skladu s postojećim konvencijama te se mogu složiti s posebnim vrstama plaćanja koja se mogu zahtijevati u skladu s poveljom agencija, pod uvjetom da je isto prihvatljivo za Banku. Takve privilegije, i druge kao što su izuzeće od poreza i druge olakšice te posebne platne odredbe, procijenjuju se i neutraliziraju usporedbom troškova. UN agencije se mogu unajmiti na temelju jedinog izvora jedino u slučaju da su ispunjeni kriteriji navedeni u odjeljku 3.9.

3.14 Uporaba nevladinih organizacija (NGO). NGO su dobrovoljne neprofitne organizacije koje su na jedinstven način kvalificirane pružati pomoć pri pripremi, upravljanju i provedbi projekta uglavnom zbog njihove neupletenosti i poznavanja lokalnih ciljeva, potreba zajednice i/ili participatornog prilaza. NGO se mogu uključiti u uži izbor ukoliko izraze interes i pod uvjetom da su i Zajmoprimac i Banka zadovoljni s njihovom kvalifikacijom. Glede radnih zadaća koje naglašavaju učešće i prilično znanje o lokalnim prilikama uži izbor može sadržavati samo NGO. U takvim slučajevima slijedit će se QCBS postupak i kriterij procjene odrazit će jedinstvenu kvalifikaciju NGO kao što su dobrovoljnost, neprofitabilni status, poznavanje lokalnih prilika, domet operacija i dobar glas. Zajmoprimci mogu odabrati NGO temeljem metode jedinog izvora pod uvjetom da su ispunjeni kriteriji zacrtani u odjeljku 3.9.

3.15 Posrednici nabave (PA). Ukoliko Zajmoprimac ne raspolaže odgovarajućom organizacijom, izvorima i iskustvom, bilo bi učinkovitije kad bi zaposlio u smislu svog posrednika tvrtku koja je specijalizirana u toj vrsti posla. Tim posrednicima se obično plaća postotak vrijednosti njihove nabave ili kombinacija postotka i fiksne naknade. PA se bira uporabom QCBS metode s time da se trošku daje težina od najviše 50%. U tom će se slučaju uporabiti standardni ugovorni oblik13 koji se primjenjuje kod nabave takvih posrednika, kod kojih se isplata naknade temelji na postotku sveukupne nabave i/ili mjesečne naknade za osoblje. Ukoliko PA daje samo savjetodavne usluge, ne nastupa kao "posrednik" i ne dobiva naknadu u postocima izabrat će se odgovarajućim postupkom kao i za druge radne zadaće kako je to pobliže određeno ovim Smjernicama.

3.16 Inspekcijski posrednici. Zajmoprimci mogu izraziti želju za upošljavanjem posrednika koji bi pregledavali i ovjeravali robu prije njihove isporuke ili po ulasku u zemlju Zajmoprimca. Pregled koji provode takvi posrednici obično pokriva kvalitetu i količinu robe o kojoj se radi te razumnost njezine cijene. Posrednici se biraju QCBS metodom s time da se težište trošku daje do 50% i uz uporabu ugovornog formata kod kojeg je plaćanje temeljeno na postotku vrijednosti robe koja se ovjerava i pregledava.

3.17 Banke. Investicijske i komercijalne banke, finacijske tvrtke i upravljači fondova koje je unajmio Zajmoprimac za prodaju imovine, izdavanje financijskih isntrumenata te drugih korporalnih financijskih transakcija pogotovo u smislu privatizacije birat će se prema QCBS metodi. RFP će pobliže odrediti kriterije izbora koji su važni za određenu djelatnost - npr. iskustvo u sličnim radnim zadaćama ili mreže potencijalnih kupaca te troškove usluge. Uz dodatak uobičajene naknade (poznate pod nazivom "platna naknada" - "retainer fee"), kompenzacija će sadržavati i tzv. "naknadu uspjeha" koja se može fiksirati no obično se izražava u postocima od vrijednosti imovine i drugih financijskih isntrumenata koji se prodaju. RFP će ukazati na to da procjena troškova uključuje i naknadu za uspješnost, bilo u kombinaciji s platnom nagradom ili samu po sebi. Ukoliko se računa sama po sebi odredit će se standardna platna naknada za sve savjetnike iz užeg izbora i navesti je se u RFP-u, a financijski rezultati će se temeljiti na naknadi uspješnosti koja će se smatrati predočitovanom idejnom vrijednosti imetka. Glede kombinirane procjene (uglavnom kad se radi o većim ugovorima), trošku se može dati veće težište od onog koje je preporučeno u odjeljku 2.22 ili se izbor može temeljiti samo na trošku između agencija koje su postigle minimalnu prolaznu ocjenu kvalitete ponuda. RFP će jasno pobliže odrediti način prikaza ponuda te način njihove usporedbe.

3.18 Nadzornici. Nadzornici provode radne zadaće nadziranja u skladu s dobro određenim TOR-om i prema profesionalnim standardima. Bit će izabrani u skladu s QCBS-om, gdje je glavni faktor izbora trošak (40­50 bodova), ili izborom "najnižeg troška" kako je to zacrtano u odjeljku 3.6.

3.19 "Poduzetnici-dobavljači usluga". Projekti društvenog sektora posebno mogu uključivati unajmljivanje većeg broja osoba koje pružaju usluge na temelju ugovora (npr. socijalni radnici kao što su to medicinske sestre i priučeno medicinsko osoblje). Opisi poslova, minimalna kvalifikacija, uvjeti zapošljavanja, izborni postupci i domet pregleda od strane Banke spram samih postupaka i dokumentacije opisat će se u projektnoj dokumentaciji i Ugovoru o zajmu.

IV. VRSTE UGOVORA I VAŽNE ODREDBE

Vrste ugovora

4.1 Ugovor s paušalnim iznosom (čvrsto fiksna cijena)14. Paušalni ugovori se uglavnom koriste za radne zadaće kod kojih je sadržaj i vrijeme trajanja usluga i krajnji proizvod koji se zahtijeva od savjetnika točno definiran. Ovakvi ugovori su u širokoj uporabi kod jednostavnog planiranja i studija o izvršivosti, okolišu, detaljnog dizajna standardnih ili uobičajenih struktura, pripreme sustava obrade podataka itd. Plaćanja su vezana za proizvode (isporučive) kao što su to izvješća, crteži, računi kvantitete, licitacijske isprave i software programi. Ugovori s paušalnim iznosima lako se primjenjuju jer plaćanja dospijevaju uz točno određene proizvode.

4.2 Ugovor koji se temelji na roku.15 Ova vrst ugovora prikladna je u situacijama kada je teško utvrditi djelokrug i duljinu trajanja usluga bilo s razloga jer su usluge vezane uz djelatnost drugih osoba i za čiju cjelovitost može biti različito vremensko razdoblje, ili stoga što je unos savjetnika potreban za postizavanje ciljeva radne zadaće teško procijeniti. Ova vrst ugovora se naveliko rabi kod složenih studija, kontrole gradnje, savjetodavnih usluga i većine radnih zadaća koje uključuju školovanje. Plaćanja se ugovaraju prema satu, dnevnici, tjednoj isplati ili temeljem mjesečnih obroka za osoblje (koje se obično u ugovoru imenuje), te prema nadoknadivim točkama uporabom stvarnih troškova i/ili jediničnih cijena o kojima je postignut ugovor. Obroci za osoblje uključuju plaće, društvene troškove, naknadu (ili zaradu) i tamo gdje je to primjenjivo posebne nagrade. Ova vrst ugovora uključuje maksimalni iznos sveukupnih plaćanja koja se daju savjetnicima. Platni iznos uključuje kontingencijsko davanje za nepredvidive poslove i trajanje posla, te provizije za prilagodbu cijena, gdje se to smatra prikladnim. Vremenski ograničene ugovore stranka mora oštro nadgledati i administrirati kako bi se osiguralo da radna zadaća zadovoljavajuće napreduje, a plaćanja koja savjetnici zahtijevaju odgovaraju činjenicama.

4.3 Platna naknada i/ili ugovor o kontingencijskoj naknadi (naknadi za uspješnost). Sve vrste ugovora se u velikoj mjeri rabe u slučajevima kad savjetnici (banke ili financijske tvrtke) pripremaju tvrtke za prodaju ili spajanje, najčešće u operacijama privatizacije. Naknada za savjetnike uključuje platnu naknadu i naknadu za uspješnost, time da se ova zadnja naknada obično izražava u postocima od prodajne cijene imovine.

4.4 Postotni ugovor. Ovi se ugovori obično rabe kod arhitektskih usluga. Mogu se također uporabiti i za nabavne i inspekcijske posrednike. Postotni ugovori se izravno odnose na naknade koje se plaćaju savjetniku u smislu procijenjenog ili stvarnog troška izrade projekta odnosno troška za robu nabavljenu ili prekontroliranu. Ugovori se dogovaraju temeljem tržišnih normi za usluge i/ili procijenjenog mjesečnog troška za osoblje, ili se licitiraju na natječaju. Treba imati na umu da ukoliko se radi o inžinjerskim ili arhitektonskim uslugama postotnim ugovorima izrazito nedostaje ekonomični dizajn te ih se stoga ne ohrabruje ugovarati. Stoga se uporaba takvih ugovora, ako se radi o arhitektonskim uslugama, preporuča jedino ukoliko je temeljen na fiksnoj cijeni i pokriva precizno određene usluge (npr. ne sadrži rad nadglednika).

4.5 Nekonačna isporuka (ugovori o cijeni). Ovi ugovori rabe se u slučaju kad Zajmoprimac mora imati "na stalnom raspolaganju" specijalizirane savjetodavne usluge o određenoj vrsti aktivnosti čiji se domet i vrijeme ne može odrediti unaprijed. Rabe se obično za savjetnike kod provedbe složenih projekata (npr. panel brane), stručnu presudu kod spornih rezolucijskih panela, institucijskih reformi, savjetodavnost pri nabavi itd., obično na vrijeme od godine dana ili više. Zajmoprimac i tvrtka ugovorit će jedinične stope za plaćanje stučnjaka, a plaćanja se vrše temeljem stvarno utrošenog vremena.

Važne odredbe

4.6 Valuta. RFP će točno utvrditi da tvrtke mogu izraziti cijenu svojih usluga u valuti bilo koje zemlje-članice ili u ECU-ima.16 Ukoliko savjetnik želi izraziti cijenu kao zbroj iznosa u različitim stranim valutama to će moći učiniti pod uvjetom da ponuda uključuje najviše tri vrste strane valute. Zajmoprimac ima pravo zahtijevati od savjetnika da odrede dio cijene koja predstavlja lokalne troškove u valuti zemlje Zajmoprimca. Plaćanja iz ugovora izvršit će se u valuti ili valutama kako je to naznačeno u ponudi.

4.7 Prilagodba cijena. Kako bi se cijene prilagodile stranoj i/ili domaćoj inflaciji u ugovor se uključuje odredba o prilagodbi cijene ukoliko se procjenjuje da bi vrijeme trajanja ugovora moglo biti dulje od 18 mjeseci. Iznimno se to može uvrstiti i u ugovore kraćeg vijeka trajanja ukoliko se može očekivati visoka ili nepredvidiva strana ili domaća inflacija.

4.8 Uvjeti plaćanja. Uvjeti plaćanja, uključujući i iznose koji se plaćaju, plan isplata i platni postupak,17 ustanovit će se pregovorima. Plaćanja se mogu vršiti u redovitim intervalima (kao u ugovorima vezanim na rok) ili prema dogovorenim proizvodima (kao u paušalnim ugovorima). Plaćanja predujmova (npr. kod troškova mobilizacije) koja su veća od 10% vrijednosti ugovora, moraju se osigurati plaćanjem unaprijed.

4.9 Plaćanja se moraju vršiti pravovremeno i u skladu s odredbama ugovora. S tim u svezi

(a) savjetnicima se može plaćati izravno preko Banke na zahtjev Zajmoprimca ili iznimno kreditnim pismom (vidi Dodatak 3);

(b) zadržavat će se samo sporni iznosi dok će se ostatak računa isplatiti u skladu s ugovorom; i

(c) ugovor će odrediti plaćanje kazni za slučaj zakašnjenja u isplati koja je krivica stranke i nadilazi vrijeme predviđeno ugovorom; stopa kazne pobliže se određuje ugovorom.

4.10 Licitacija i osiguranje postupka. Licitacija i osiguranje postupka se ne preporučuju kada se radi o naknadi za savjetnike. Njihovo izvršenje vrlo često završava pred sudovima, lako se zlorabe i naginju povećanju troškova savjetodavne industrije bez povećanja koristi, što se obično prelama na Zajmoprimcu.

4.11 Doprinos Zajmoprimca. Zajmoprimac obično imenuje članove svog profesionalnog osoblja za radne zadaće različitog kapaciteta. Ugovor između Zajmoprimca i savjetnika detaljizirati će upravljanje tim osobljem poznatim kao osoblje suprotne stranke, kao i olakšice koje daje Zajmoprimac (stanovanje, urdeski prostor, tajničku potporu, opremu, materijale i vozila). U ugovoru će se navesti mjere koje savjetnik može poduzeti ukoliko nešto od dogovorenog nije dano na raspolaganje ili se moralo povući tijekom trajanja radne zadaće, kao i naknadu koju savjetnik u takvim slučajevima dobiva.

4.12 Sukob interesa. Tvrtke neće imati pravo ni na kakvu naknadu osim one koja je u svezi s obavljanjem radne zadaće izuzevši ako to nije predviđeno ugovorom. Tvrtke i s njima povezana poduzeća neće se upuštati u djelatnosti koje su u sukobu s interesom stranke iz ugovora te će se isključiti iz isporuke robe ili građevinskih radova ili kupnje bilo kakve imovine odnosno provizije iz bilo koje usluge u svezi s početnom radnom zadaćom koja nije nastavak "usluga" iz ugovora u tijeku.

4.13 Profesionalna odgovornost. Od savjetnika se očekuje da provode svoje radne zadaće s odgovarajućom marljivošću i u skladu sa standardima svoje profesije. Obzirom na to da odgovornost savjetnika prema Zajmoprimcu podliježe primjenjivom pravu ugovor ne treba sadržati odredbe s tim u svezi osim ako ugovorne strane žele ograničiti rečenu odgovornost. Ukoliko to učine treba se osigurati u slijedećem smislu (a) da nema ograničenja u slučaju grubog nemara ili namjernog kršenja odredbi od strane savjetnika; (b) da se odgovornost Zajmoprimcu ne može ograničiti na manje od sveukupnog iznosa plaćanja koja se vrše u skladu s ugovorom savjetnika ili postupka na koji savjetnik ima pravo u skladu sa svojim osiguranjem, u obzir dolazi stavka s većim iznosom; (c) svako od takvih ograničenja može biti samo u smislu savjetnikove odgovornosti prema stranci a ne u smislu njegove odgovornosti prema trećim osobama.

4.14 Zamjena osoblja. Tijekom trajanja radne zadaće, ukoliko zamjena osoblja bude potrebna (npr. uslijed slabog zdravlja ili ako se ustanovi da je jedan od članova osoblja neprikladan), savjetnik će predložiti Zajmoprimcu drugo osoblje koje će imati najmanje istu razinu stručnosti.

4.15 Primjenjivo pravo i rješavanje sporova. Ugovor mora sadržavati sve odredbe u svezi s pravom koje se primjenjuju i s forumom koji će rješavati sporove. Međunarodna komercijalna arbitraža je u praktičnoj prednosti nad drugim metodama rješavanja sporova. Zajmoprimci su ohrabreni uvesti tu vrstu arbitraže. Banka se neće imenovati arbitrom niti će se od nje zahtijevati da sama imenuje jednog arbitra18.

V. IZBOR POJEDINAČNIH SAVJETNIKA

5.1 Pojedinačni savjetnici zapošljavaju se na radnim zadaćama za koje (a) nije potreban timski rad, (b) nije potrebna vanjska profesionalna potpora i (c) glavni zahtjev koji se postavlja su iskustvo i kvalifikacija pojedinaca. U slučaju da koordinacija, administracija i kolektivna odgovornost postanu presloženi radi broja osoba, bilo bi uputno zaposliti tvrtku u tom smislu.

5.2 Pojedinačni savjetnici biraju se u skladu s njihovim kvalifikacijama za radne zadaće. Mogu se izabrati temeljem preporuka ili usporedbom između osoba koje izraze interes za radnu zadaću i odgovore na oglas ili im se Zajmoprimac izravno obrati. Pojedinci koje je zaposlio Zajmoprimac, moraju sve imati određene kvalifikacije i biti u potpunosti spremni na izvršenje radne zadaće. Sposobnost se prosuđuje temeljem akademskog stupnja školovanja, iskustva i poznavanja lokalnih prilika kao što su lokalni jezik, kultura, administrativni sustav i organizacija vlade.

5.3 S vremena na vrijeme, stalno se osoblje ili članovi savjetodavnih tvrtki mogu staviti na raspolaganje kao pojedinačni savjetnici. U takvim slučajevima, sukob interesa kako je to opisano u odredbama ovih Smjernica primjenjuje se na roditeljsku tvrtku.

Dodatak 1

BANČIN PREGLED PRI IZBORU
SAVJETNIKA

Program izbornog postupka

1. Banka ima pravo pregleda izbornog postupka za unajmljivanje savjetnika koje predlaže Zajmoprimac uključujući i paket ugovora, primjenjive postupke, popis užeg izbora, izborne kriterije itd. glede njihovog konformiteta s ovim Smjernicama, predloženog provedbenog programa i plana naknada. Zajmoprimac će bez odlaganja obavijestiti Banku o svakom zakašnjenju ili drugim promjenama u planu postupka unajmljivanja osoblja koja bi značajnije mogla utjecati na provedbu projekta i dogovorit će se s Bankom o korektivnim mjerama.

Predpregled

2. U odnosu na sve ugovore koji, u skladu s Ugovorom o zajmu, moraju biti predmetom predpregleda Banke:

(a) Prije sazivanja ponuda, Zajmoprimac će dati Banci na pregled popis užeg izbora kao i predloženi RFP te će poduzeti one izmjene u užem izboru i u dokumentaciji koje Banka u razumnoj mjeri zatraži. Svaka druga izmjena podliježe uvjetu Bančine napomene "bez prigovora" prije nego se izda RFP za savjetnike iz užeg izbora.

Nakon procjene tehničkih ponuda, Zajmoprimac će Banci predati pravodobno kako bi mogla izvršiti pregled izvješće o tehničkoj procjeni (koju će pripremiti, ukoliko to Banka zatraži, stručnjaci koji su prihvatljivi Banci) te presliku ponuda ukoliko ih Banka zatraži. Ukoliko Banka zaključi da tehnička procjena nije sukladna odredbama RFP-a, obavijestit će odmah o tome Zajmoprimca i objasniti razloge radi kojih je došla do takvih zaključaka. Zajmoprimac će zatražiti Bančinu napomenu "bez prigovora" ukoliko dođe do odbijanja svih ponuda.

U svezi s ugovorima manje vrijednosti koji su ispod praga pobliže određenog Ugovorom o zajmu Zajmoprimac će samo obavijestiti Banku o rezultatima svoje tehničke procjene prije otvaranja financijskih ponuda.

(b) Nakon prijema Bančine napomene "bez prigovora" za tehničku procjenu Zajmoprimac će nastaviti s otvaranjem financijskih omotnica te nakon toga s financijskom procjenom u skladu s RFP odredbama. U slučaju da se rabi QCBS metoda, Zajmoprimac će dostaviti Banci pravodobno kako bi mogla obaviti pregled izvješće o konačnoj procjeni skupa s ponudom tvrtke dobitnika. Ukoliko Banka dođe do zaključka da je procjena kao i predloženi izbor nije sukladna odredbama iz RFP-a, odmah će o tomu obavijestiti Zajmoprimca i izjaviti razloge za takav zaključak. Ukoliko to nije slučaj, Banka će za predloženi izbor dati svoju napomenu "bez primjedbi".

(c) Nakon provedenih pregovora s izabranom tvrtkom, Zajmoprimac će dostaviti Banci konačan nacrt ugovora ukazujući na svaku promjenu osoblja ili TOR-a odnosno ugovora za koji su natječaji raspisani. Uvjeti iz ugovora ne smiju se, osim ako se ne dobije Bančina napomena "bez prigovora", bitno razlikovati od onih na temelju kojih su ponude sazvane. Zajmoprimac smije dodijeliti ugovor samo nakon primitka Bančine napomene "bez prigovora".

(d) Nakon potpisa ugovora Zajmoprimac će dostaviti Banci presliku konačnog ugovora prije prve primjene plaćanja naknade u skladu s rečenim ugovorom.

Izmjene ugovora

3. Prije nego pristane na znatno proširenje predviđenog vremena za provedbu ugovora, znatnu izmjenu djelokruga usluga, izmjene ključnog osoblja, odricanja od uvjeta postavljenih ugovorom ili uspostavljanja izmjena u ugovoru koji bi sveukupno povećali izvorni iznos ugovora za više od 15% Zajmoprimac će o tome obavijestiti Banku i objasniti razloge. Ukoliko banka zaključi da predložene izmjene nisu sukladne odredbama iz Ugovora o zajmu o tome će odmah obavijestiti Zajmoprimca i navesti razloge zbog kojih je došla do rečenih zaključaka. Banci će se, za njezinu dokumentaciju, poslati preslika svake izmjene ugovora.

Naknadni pregled

4. U odnosu na svaki ugovor o kojem nije bilo riječi u točkama 2. i 3., Zajmoprimac će dostaviti Banci, pravovremeno nakon potpisa i prije prvog zahtjeva za povlačenjem iznosa iz Ugovora o zajmu koji je u svezi s rečenim ugovorom, jednu potvrđenu presliku takvog ugovora, skupa s analizom odnosnih ponuda, preporukom za dodjelu i drugim obavijestima koje Banka može u razumnom smislu zahtijevati. Na mjestima gdje se plaćanja vrše s posebnog računa,19 preslika ugovora, skupa s drugim obavijestima koje Banka zatraži, dostavit će se Banci prije dostave zahtjeva za prvu nadopunu iz takvog ugovora. Banka će, ukoliko dođe do zaključka da dodjela ugovora ili sam ugovor nisu u skladu s Ugovorom o zajmu, odmah o tome obavijestiti Zajmoprimca i navesti razloge za svoj takav zaključak. Ove odredbe se neće primjenjivati na ugovore u skladu s kojima se povlačenja iz zajma vrše temeljem Izjava o troškovima20, u kojim slučajevima će sve takve isprave zadržati Zajmoprimac za naknadnu kontrolu od strane nezavisnih revizora ili od strane Bančinih kontrolnih misija.

Prijevodi

5. Ukoliko se ugovor koji podliježe obvezi prethodnog pregleda dodjeljuje domaćem savjetniku i mora se napisati na domaćem jeziku, Banci se mora dostaviti ovjereni prijevod ugovora na engleskom, francuskom ili španjolskom jeziku, kako bi joj se olakšao pregled. Ovakvi ovjereni prijevodi dostavljaju se Banci i za svaku naknadnu izmjenu takvih ugovora.

Dodatak 2

OBAVIJEST SAVJETNICIMA (ITC)

Ove Smjernice pobliže uređuju da Zajmoprimac, gdje je to god moguće, rabi standardne RFP-e koje izdaje Banka, a koji uključuju i ITC, što pokriva većinu glavnih radnih zadaća. Ukoliko uslijed nastupa posebnih okolnosti Zajmoprimac mora izmijeniti standardni ITC, učinit će to preko liste tehničkih podataka a ne ispravljajući glavni tekst. ITC uključuje primjerenu obavijest o slijedećim gledištima radne zadaće:

(a) vrlo kratki opis radne zadaće;

(b) standardne formate tehničkih i financijskih ponuda;

(c) imena službenika kojima se upućuju pojašnjenja i s kojima će se prema potrebi savjetnik sastajati;

(d) detalje izbornog postupka koji će slijediti uključujući (i) opis drugostupanjskog postupka ukoliko je to potrebno; (ii) popis tehničkih procjembenih kriterija i težišta koja se daju svakom od kriterija; (iii) detalje financijske procjene; (iv) važna težišta u smislu kvalitete i troškova u slučaju QCBS-a; (v) minimalnu prolaznu ocjenu kvalitete; i (vi) detalje o javnom otvaranju financijskih ponuda;

(e) procjena razine unosa ključnog osoblja (u mjesecima osoblja) koji se zahtijeva od strane savjetnika i pokazatelj minimuma iskustva, akademskog obrazovanja itd. koji se očekuje ili sveukupni proračun ukoliko dani iznos nije prekoračen;

(f) detalje i status svakog važnog vanjskog financiranja;

(g) obavijest o pregovorima, te financijske i druge obavijesti koje će se zahtijevati od izabrane tvrtke tijekom pregovora o ugovoru;

(h) krajnji rok podnošenja ponuda;

(i) valuta/te u kojima se troškovi usluga izražavaju, uspoređuju i plaćaju;

(j) preporuke domaćeg zakona koji bi mogao biti od posebne važnosti za predloženi savjetnički ugovor;

(k) izjava da će tvrtka i sva njezina povezana poduzeća biti diskvalificirana trajno za nabavu robe, radova ili usluga iz projekta ukoliko, prema procjeni Banke, dolazi do sukoba interesa glede usluga koje se daju u skladu s radnom zadaćom;

(l) metoda prema kojoj se ponuda podnosi, uključujući zahtjev prema kojemu tehnička i financijska ponuda moraju biti zatvorene i predane posebno na način koji osigurava da se na tehničku procjenu ne može utjecati financijskim ponudom;

m) zahtjev prema kojemu pozvana tvrtka (i) potvrđuje prijem RFP-a i (ii) obavještava Zajmoprimca hoće li podnijeti ponudu ili ne;

(n) popis užeg izbora savjetnika pozvanih za podnošenje ponuda, s izjavom da li se suradnja između savjetnika iz popisa užeg izbora priznaje ili ne;

(o) vrijeme tijekom kojeg će se ponude savjetnika zadržati (uobičajeno vrijeme je 60 do 90 dana), a tijekom kojeg vremena će savjetnik zadržati, bez promjena, predloženo ključno osoblje, te će se držati kako obroka tako i ukupne predložene cijene; u slučaju produženja vremena važnosti, savjetnik ima pravo ne održavati svoju ponudu;

(p) dan za koji se pretpostavlja da će savjetnici započeti s radom na radnoj zadaći;

(q) izjava kojom se izjavljuje (i) hoće li ugovor za savjetnika i osoblje biti oslobođen pristojbi ili ne; ukoliko ne (ii) kolika će biti najvjerovatnija visina takvih pristojbi odnosno gdje se može dobiti obavijest o tome, te izjava kojom se od savjetnika zahtijeva da u svoju financijsku ponudu uključi posebni jasno određeni iznos potreban za pokriće rečenih pristojbi;

(r) ukoliko to nije uključeno u TOR-u ili u nacrtu ugovora detalje o uslugama, olakšicama, opremi i osoblju koje daje Zajmoprimac;

(s) razvrstavanje radne zadaće u stupnjeve ukoliko je to potrebno te vjerojatnost pojave uslijeđenih radnih zadaća;

(t) postupak kojim će se služiti za pojašnjenja obavijesti danih u RFP-u; i

(u) svaki uvjet iz podugovornog dijela radne zadaće.

Dodatak 2

POVLAČENJA

1. Odgovornost za provedbu projekta pa, prema tome i plaćanje savjetodavnih usluga iz projekta isključivo snosi Zajmoprimac. Banka je, sa svoje strane, dužna u skladu s člancima Ugovora o zajmu, osigurati da se sredstva koja se isplaćuju iz Bančinog zajma, smatraju troškovima. Predujmovi iz zajma ili darovnice isplaćuju se isključivo na zahtjev Zajmoprimca. Odgovarajući dokaz da se sredstva troše u skladu sa Ugovorom o zajmu (ili Ugovorom o zakladi), moraju se dostaviti skupa sa Zajmoprimčevim zahtjevom za povlačenjem iz zajma. Plaćanja se vrše (a) radi nadoknađivanja Zajmoprimcu troškova koje je već imao i platio iz vlastitih izvora, (b) izravno trećoj osobi (savjetniku) ili (c) komercijalnoj banci u smislu troškova radi posebne odgovornosti Svjetske banke glede pokrića bančinog kreditnog pisma (postupak koji je izniman u slučaju da se radi o savjetnicima).

2. Ukoliko je dokumentacija o naknadama21vrlo opsežna ili na neki drugi način nezgrapna (npr. isplate u smislu malih savjetničkih naloga ili naloga za kupnju), Zajmoprimcu se mogu nadoknaditi troškovi ukoliko predoči Izjavu o troškovima (SOE) uporabom jednostavnog formulara s detaljima troška dok stvarnu dokumentaciju zadržava kod sebe radi kasnijeg pregleda od strane neovisnih revizora Banke ili Bančinih kontrolnih misija.

3. Posebni računi (SA) su revolvni računi koji se osnivaju unaprijed iz Bančinog zajma i daju se isključivo na raspolaganje Zajmoprimcu kako bi ovaj mogao pokriti Bančin dio priznatih troškova kako u domaćoj tako i u stranoj valuti. Primarni objekt SA je pomoći Zajmoprimcu nadvladati probleme protijeka gotovine i ubrza plaćanja. Zajmoprimac vrši plaćanja savjetnicima s računa, a drugima kada isplata dospijeva. Banka će redovito puniti račune po primitku zamolbe za povlačenje, uz priloženu odgovarajuću dokumentaciju od strane Zajmoprimca. Prilikom kraja isplate predujma iz zajma Banka će započeti postupak povrata kako bi dobila sveukupnu dokumentaciju o iznosu preostalog predujma.

4. Ugovor o zajmu i pismo predujma zacrtavaju isplatne metode koje se moraju slijediti tijekom zajma, uključujući i retroaktivne financijske uvjete, točke kojima je priznata isplata u skladu sa SOE postupkom, zahtjevi koji se trebaju ispuniti prilikom rada SA i minimalna vrijednost zamolbe. Minimalna vrijednost zamolbe varira od zajma do zajma i ovisi o veličini zajma i prirodi projekta. Ukoliko postoji SA, minimalna vrijednost je obično između 10%22 i 33% sveukupnog iznosa uplaćenog na SA. Način plaćanja kako je pobliže određen u RFP-u uzima u obzir postupak isplate predujma koji se može primijeniti na zajam.

Dodatak 4

UPUTE SAVJETNICIMA

Svrha

1. Ovaj Dodatak predstavlja upute savjetnicima sa željom da im se dodijele savjetodavne i stručne usluge koje financiraju Banka ili zaklade.

Odgovornost za izbor savjetnika

2. Kako je to već naglašeno odjeljku 1.4 ovih Smjernica, Zajmoprimac je odgovoran za izbor i zapošljavanje savjetnika. On saziva, prima i procjenjuje ponude i dodjeljuje ugovor. Ugovor se sklapa između Zajmoprimca i savjetnika. Banka nije stranka iz tog ugovora.

Bančina uloga

3. Kako je to već navedeno u ovim Smjernicama (Dodatak 1), Banka pregledava RFP, procjenu ponuda, dodjeljuje preporuke i radi sve prema ugovoru kako bi osigurala provedbu postupka u skladu s ugovorenim procedurama i Ugovorom o zajmu. Osim kad se radi o malim ugovorima (ispod dolarskog praga koji je pobliže određen Ugovorom o zajmu) Banka će pregledati sve isprave prije nego što ih se izda, kako je to opisano u Dodatku 1. Isto tako, u bilo koje doba tijekom izbornog postupka (čak i nakon dodjele ugovora) Banka, dođe li zaključka da postupci nisu provedeni pravilno, može objaviti slučaj krive nabave, kako je to opisano u odjeljku 1.18. No, ukoliko je Zajmoprimac dodijelio ugovor nakon što je Banka poslala napomenu "bez prigovora", Banka može izjaviti sučaj krive nabave jedino ako je napomena "bez prigovora" dobivena temeljem nepotpunih, netočnih ili krivih obavijesti koje je poslao Zajmoprimac. štoviše, ukoliko Banka zaključi da se vršila prijevarna praksa i praksa davanja mita u kojoj su sudjelovali predstavnici Zajmoprimca ili savjetnika, ona može primijeniti odgovarajuće sankcije kako su navedene u odjeljku 1.25 Smjernica.

4. Banka objavljuje standardne RFP-e i ugovore za različite vrste savjetodavnih usluga. Kako je to navedeno u odjeljcima 2.5 i 2.8 ovih Smjernica, neophodno je potrebno da Zajmoprimac rabi baš te formulare, uz minimalne izmjene specifičnosti projekta ili zemlje. Zajmoprimac dovršava i daje rečene dokumente kao dio RFP-a.

Obavijesti savjetnicima

5. Obavijesti o uslugama savjetnika, uključujući i kratki opis prirode usluge, vremena, procjene troškova (troškovnik), osoblja na mjesec, u prvom će se stupnju uključiti u dokument projektne obavijesti (PID) koji opisuje projekt u pripremi. Istovremeno, slična obavijest uključuje se u opis svakog projekta u mjesečnom radnom sažetku (MOS). Sve se takve obavijesti stalno svode na trenutno stanje. Svaki od projekata treba biti objavljen u Općim obavijestima o nabavi u United Nations Development Business (UNDB)23, gdje se detaljnijo opisuju zahtijevane usluge, agencija stranke i proračunski troškovi. U slučajevima ugovora velike vrijednosti, isti će biti popraćeno posebnom napomenom kojom se traži "izraz interesa", a što će biti objavljeno u domaćim novinama i u UNDB-u. Dokumentacija zajma daje detaljniju obvijest u tom pogledu.

6. PID i MOS mogu se nabaviti putem Interneta i Centra Svjetske banke za obavještavanje javnosti (PIC).24 Izvješće o procjeni osoblja (SAE) može se dati na uvid tek nakon što je zajam odobren. UNDB, koji uključuje MOS, može se dobiti i pretplatom.

Uloga savjetnika

7. Kad savjetnik primi RFP te ukoliko ispunjava postavljene zahtjeve iz TOR-a kao i komercijalne i ugovorne uvjete, trebao bi započeti s dogovorima potrebnim za pripremu odgovarajućih ponuda (npr. posjetiti zemlju u kojoj će se obavljati radna zadaća, potražiti potrebnu suradnju, sakupiti dokumentaciju, osnovati pripremni tim). Ukoliko savjetnik nađe u dokumentima RFP-a, pogotovo onog dijela koji se tiče izbornog postupka i procjembenih kriterija, bilo kakvu dvosmislenost, propust ili internu kontradikciju, ili bilo kakav drugi dio koji nije jasan odnosno daje dojam diskriminacije ili ograničenja, treba odmah zatražiti Zajmoprimca pojašnjenje u tom smislu u pisanom obliku unutar roka koji je pobliže određen u RFP-u, a odnosi se na traženje pojašnjenja.

8. S tim u svezi trebalo bi naglasiti da detaljni RFP koji izdaje Zajmoprimac vlada svakim izborom kako je to određeno odjeljkom 1.2 ovih Smjernica. Ukoliko savjetnik ima osjećaj da bilo koja od odredbi nije sukladna Smjernicama treba o tome isto tako raspraviti sa Zajmoprimcem.

9. Savjetnik treba provjeriti da je li podnio u punom smislu odgovarajuću ponudu, uključujući i sve popratne dokumente koji se podnose s ponudom. Životopis moraju potpisati savjetnici i pojedinci i mora biti datiran. Nepridržavanje važnih zahtjeva u tom smislu rezultirat će odbijanjem ponuda. Kad su tehničke ponude jedanput otvorene i pregledane, od savjetnika se neće zahtijevati niti će im se dozvoliti izmjena bitnog, ključnog osoblja itd. Slično tome, kada su financijske ponude primljene, od savjetnika se neće zahtijevati niti će im biti dozvoljeno mijenjati navedenu cijenu itd., osim u vrijeme vođenja pregovora koji se provode u skladu s RFP odredbama.

Tajnost

10. Kako je to već navedeno u odjeljku 2.27, postupak procjene ponuda povjerljive je prirode sve dok se dodjela ugovora ne objavi najuspješnijoj tvrtki. Ukoliko, tijekom vršenja procjene savjetnik želi ukazati Zajmoprimcu, Banci ili oboma na dodatne obavijesti, treba to učiniti pismenim putem.

Djelatnost Banke

11. Ukoliko savjetnici žele postaviti pitanja o rezultatima izbornog postupka mogu poslati Banci preslike svoje razmjene pisama sa Zajmoprimcem ili se mogu pismeno izravno obratiti Banci ukoliko Zajmoprimac ne odgovori pravovremeno ili ukoliko komunikacija sa Zajmoprimcem predstavlja predmet žalbe savjetnika. Sva takva korespondencija mora biti naslovljena na voditelja određenog odjela zemlje koja uzima zajam, s preslikom koja se šalje Regionalnom savjetniku za nabavu.

12. Preporuke koje Banka primi od savjetnika na listi užeg izbora prije konačnog nadnevka podnošenja ponuda predat će se ukoliko se smatraju odgovarajućima Zajmoprimcu zajedno s komentarom Banke i njezinim savjetom o odgovoru ili poduzimanju odgovarajuće akcije.

13. Komunikacijama kojima se savjetnici obraćaju Banci nakon otvaranja tehničkih ponuda, postupit će se kako slijedi. U slučaju da se radi o ugovorima koji nisu bili poslani Banci na pregled, dobivena komunikacija poslat će se Zajmoprimcu kako bi je uzeo na znanje i poduzeo odgovarajuće korake. Zajmoprimčev odgovor pregledat će se tijekom naknadne kontrole projekta od strane osoblja Banke. U slučaju da se radi o ugovoru koji je bio podnesen na pregled, Banka će ispitati komunikaciju te će, u dogovoru sa Zajmoprimcem i ukoliko je potrebna bilo kakva daljnja obavijest, zatražiti istu od strane Zajmoprimca. Ukoliko je dodatna obavijest ili pojašnjenje potrebno od strane savjetnika, Banka će zamoliti Zajmoprimca da to ili komentira ili inkorporira, prema nahođenju, u procjembeno izvješće. Bankovni pregled se neće dovršiti sve dok se rečena komunikacija u cijelosti ne ispita i uzme u obzir.

14. Osim potvrde o prijemu komunikacije, Banka se neće upuštati u diskusiju ili korespondenciju s bilo kojim savjetnikom tijekom postupka pregleda i izbora, sve dok se ne objavi dodjela ugovora.

Izvještavanje

  1. Ukoliko nakon objave o dodjeli ugovora jedan od savjetnika zaželi saznati razloge zbog kojih njegova ponuda nije prihvaćena svoj će zahtjev za pojašnjenjem uputiti Zajmoprimcu. Ukoliko savjetnik nije zadovoljan s objašnjenjem koje mu je dano i želi sastanak s Bankom svoj će zahtjev uputiti Regionalnom savjetniku nabave u zemlji Zajmoprimca koji će dogovoriti sastanak na odgovarajućoj razini i s odgovarajućim osobljem. Na tom sastanku prodiskutirat će se isključivo ponuda savjetnika, a ne i ponude drugih natjecatelja.

1 zahtjevi koje postavljaju IBRD i IDA su jednaki. Preporuke u tim Smjernicama koje se odnose na zajmove uključuju kredite i darovnice; Ugovor o zajmu uključuje ugovore o razvojnim kreditima i projektne ugovore.
