Proglašavam Zakon o potvrđivanju Ugovora o izbjegavanju dvostrukog oporezivanja porezima na dohodak i na imovinu između Vlade Republike Hrvatske i Vlade Republike Poljske, koji je Zastupnički dom Sabora Republike Hrvatske donio na sjednici 13. prosinca 1995.

Prema Ustavu Republike Hrvatske, a uzimajući u obzir jedno od glavnih načela prava ignorantia iuris nocet (s latinskog nepoznavanje prava šteti - nitko se ne može ispričavati da nije znao da nešto zakonom nije bilo zabranjeno ili regulirano), prije nego što stupe na snagu zakoni i svi drugi propisi državnih tijela obvezno se objavljuju u Narodnim novinama. O POTVRĐIVANJU UGOVORA 0 IZBJEGAVANJU DVOSTRUKOG OPOREZIVANJA POREZIMA NA DOHODAK I NA IMOVINU, IZMEĐU VLADE REPUBLIKE HRVATSKE I VLADE REPUBLIKE POLJSKE

Članak 1.

Potvrđuje se Ugovor o izbjegavanju dvostrukog oporezivanja porezima na dohodak i na imovinu, između Vlade Republike Hrvatske-i Vlade Republike Poljske, koji je sklopljen u Varšavi, dana 19. listopada 1994. godine, u izvorniku na engleskom, poljskom i hrvatskom jeziku.

Članak 2.

Tekst Ugovora iz članka 1. ovoga Zakona na engleskom i hrvatskom jeziku glasi:

AGREEMENT

BETWEEN THE GOVERNMENT OF THE REPUBLIC OF CROATIA AND THE GOVERNMENT OF THE REPUBLIC OF POLAND FOR THE AVOIDANCE OF DOUBLE TAXATION WITH RESPECT TO TAXESON INCOME AND ON CAPITAL

The Republic of Croatia

and

the Republic of Poland

desiring to conclude an Agreement for the avoidance of double taxation with respect to taxes on income and on capital have agreed as follows:

Article 1

PERSONAL SCOPE

This Agreement shall apply to persons who are residents of one or both Contracting States.

Article 2

TAXES COVERED

1. This Agreement shall apply to taxes on income and on capital imposed on behalf of a Contracting State or of its local authorities, irrespective of the manner in whieh they ars Ievled.

2. There shall be regarded as taxes on income and on capital all taxes imposed on total income, on total capital, or on elements of income or of capital, including taxes on capital appre ciation and taxes on gains from the alienation of movable or immovable property, as well as taxes on the total amounts of wages or alaries paid by enterprises.

3. The existing taxes to which this Agreement shall apply are in particular:

a) in the Republic of Croatia:

(i) the profit tax,

(ii) the income tax;

(hereinafter referred to as "Croatian tax")

b) in the Republic of Poland:

(i) the personal income tax,

(ii) the income tax.

(hereinafter referred to as "Polish tax")

4. The Agreement shall apply also to any identical or substantially similar taxes which are imposed after the date of signature of the Agreement in addition to, or in place of, the existing taxes. At the end of each year, the competent authorities of the Contracting States shall notify each other of changes which have been made in their respective taxation laws.

Article 3

GENERAL DEFINITIONS

1. For the purposes of this Agreement, unless the context otherwise requires:

a) the term "Republic of Croatia" used in a geographical sense, means the territory of the Republic of Croatia within its international recognized borders, including any area beyond the territorial waters of the Republic of Croatia which, in accordance with international law and the laws of the Republic of Croatia, is an area within which the rights of the Republic of Croatia with respect to the sea-bed and sub-soil and their natural resources may be exercised;

b) the term "Republic of Poland" used in a geographical sense, means the territory of the Republic of Poland within its international recognized borders, including any area beyond the territorial waters of the Republic of Poland which, in accordance with international law and the laws of the Republic of Poland, is an area within which the rights of the Republic of Poland with respect to the sea-bed and sub-soil and their natural resources may be exercised;

c) the terms "a Contracting State" and "the other Contracting State" mean, as the context requires, the Republic of Croatia or the Republic of Poland;

d) the term "tax" means, as the context requires, a Croatian or Polish tax;

e) the term "person" includes an individual, a company and any other body of persons;

f) the term "company" means any body corporate or any entity which is treated as a body corporate for tax purposes; g) the terms "enterprise of a Contracting State" and "enterprise of the other Contracting State" mean respectively an enterprise carried on by a resident of a Contracting State and an enterprise carried on by a resident of the other Contracting State;

h) the term "international traffic" means any transport by a ship, aircraft or road transport vehicle operated by an enterprise which has its place of effective management in a Contracting State, except when the ship, aircraft or road transport vehicle is operated solely between places in the other Contracting State;

i) the term "national" means any individual possessing the nationality of a Contracting State and any legal person created or organized under the laws of that Contracting State, as well as any organization without legal personality treated for tax purposes as legal persons created or organized under the laws of that Contracting State;

j) the term "competent authority" means:

(i) in the case of the Republic of Croatia, the Minister of Finance or his authorized representative,

(ii) in the case of the Republic of Poland, the Minister of Finance or his authorized representative.

2. As regards the application of the Agreement by a Coritracting State any term not defined therein shall, unless the context otherwise requires, have the meaning which it has under the law of the State concerning the taxes to which the Agreement applies.

Article 4

RESIDENT

1. For the purposes of this Agreement, the term "resident of a Contracting State" means any person who, under the laws of that State, is liable to tax therein by reasons of his domicile, residence, place of management, place of registration or any other criterion of a similar nature. But this term does not include any person who is liable to tax in that State in respect only of income from sources in that State or capital situated therein.

2. Where by reason of the provisions of the paragraph 1 an individual is a resident of both Contracting States, then his status shall be determined as follows:

a) he shall be deemed to be a resident of the State in which he has a permanent home available to him; if he has a permanent home available to him in both States, he shall be deemed to be a resident of the State with which his personal and economic relations are closer (center of vital interests);

b) if the State in which he has his center of vital interests cannot be determined, or if he has not a permanent home available to him in either State, he shall be deemed to be a resident of the State in which he has an habitual abode;

c) if he has an habitual abode in both States or in neither of them, he shall be deemed to be a resident of the State of which he is a national;

d) if he is a national of both States or of neither of them, the competent authorities of the Contracting States shall seittle the question by mutual agreement.

3. Where by reason of the provisions of paragraph 1 a person other than an individual is a resident of both Contracting States, then it shall be deemed to be a resident of the State in which its place of effective management is situated.

Article 5

PERMANENT ESTABLISHMENT

1. For the purposes of this Agreement, the term "permanent establishment" means a fixed place of business through which the business of an enterprise is wholly or partly carried on.

2. The term "permanent establishment" includes especial

a) a place of management;

b) a branch;

c) an office;

d) a factory;

e) a workshop, and

f) a mine, an oil or gas well, a quarry or any other place of extraction of natural resources.

3. The term "permanent establishment" likewise encompasses:

a) a building site or construction, assembly or installationproject or supervisory activities in connection therewith, but on.ly where they last more than 12 months;

b) the furnishing of services, including consultant services by an enterprise of a Contracting State through employees or other engaged personnel in the other Contracting State, provided that such activities continue for the same project or a connected project for the period or periods aggregating more than 12 months within any period;

4. Notwithstanding the preceding provisions of this Article, the term "permanent establishment" shall be deemed not to include:

a) the use of facilities solely for the purpose of storage, display or delivery of goods or merchandise belonging to the enterprise;

b) the maintenance of a stock of goods or merchandise belonging to the enterprise solely for the purpose of storage, display or delivery;

c) the maintenance of a stock of goods or merchandise belonging to the enterprise solely for the purpose of processing by another enterprise;

d) the maintenance of a fixed place of business solely for the purpose of purchasing goods or merchandise or of collecting information, for the enterprise;

e) the maintenance of a fixed place of business solely forthe purpose of carrying on, for the enterprise,-any other activity of a preparatory of auxiliary character;

f) the maintenance of a fixed place of business solely for any combination of activitles mentioned in sub-paragraphs a) to e), provided that the overall activity of the fixed place of business resulting from this combination is of a preparatory or auxiliary character.

5. Notwithstanding the provisions of paragraphs 1 and 2, vhere a person - other than an agent of an independent status to whom paragraph 6 applies - is acting on behalf of an enterprise and has, and habitually exercises, in a Contracting State an authority to conclude contracts in the name of the enterprise, that enterprise shall be deemed to have a permanent establishment in that State in respect of any activities which that person undertakes for the enterprise, unless the activities of such person are limited to those mentioned in paragraph 4 which, if exercised through a fixed place of business, would not make this fixed place of business a permanent establishment under the provisions of that paragraph.

6. An enterprise shall not be deemed to have a permanent establishment in a Contracting State merely because it carries on business in that State through a broker, general commission agent or any other agent of an in'dependent status, provided that such persons are acting in the ordinary course of their business.

7. The fact that a company which is a resident of a Contrac-_ ting State controls or is controlled by a company which is a resident of the other Contracting State, or which carries on business. In that other State (whether through a permanent establishment or otherwise), shall not of itself constitute either company a permanent establishment of the other.

Article 6

INCOME FROM IMMOVABLE PROPERTY

1. Income derived by a resident of a Contracting State from Immovable property (including income from agriculture or forestry) situated in the other Contracting State may be taxed in that other State.

2. The term "immovable property" shall have the meaning which it has under the law of the Contracting State in which the property in question is situated. The term shall in any casa include property accessory to immovable property, livestock and equlpment used in agriculture and forestry, rights to which the provisions of genera.l law respecting landed property apply, usufruet of immovable propenty and rights to variable or fixed payments as consideration for the working of, or the right to work, mineral deposits, sources and other natural resources. Ships, boats, aircraft and road transport vehicles shall not be regarded as immovable property.

3. The provisions of paragraph 1 shal apply to income derived from the direct use, letting, or use in any other form of immovable property and to profits from the allenation of such property.

4, The provisions of paragraphs 1 and 3 shall also apply to the income from immovabie property of an enterprise and to income from immovable property used for the performance of independent personal services.

Article 7

BUSINESS PROFITS

1. The profits of an enterprise of a Contracting State shall be taxable only in that State unless the enterprise carries on businsss in the other Cuntaactiug State through a permanent estalslishment situated therein. If the enterprise carries on business as aforesaid, the profits of the enterprise may be taxed in the other 5tate but only so much of them as is attributable to that permanent establishment.

2. Subject to provisions of paragraph 3, where an enterprise of a Contracting State carries on business in the other Contracting State through a permanent establishment situated therein, there shall in each Contracting State be attributed to that permanent establishment the profits which might be expected to make if it were a distinet and separate enterprise engaged in the same or similar activities under the same or similar conditions and dealing wholly independently with the enterprise of which it is a permanent establishment.

3. In determining the profits of a permanent establishment, there shall be allowed as deductions expenses which are incurređ for the purposes of the permanent establishment, including executive and general administrative expenses so incurred, whether in the State in which the permanent establishment is situated or elsewhere.

4. Insofar as it has been customary in a Contracting State to determine the profits to be attributed to a permanent establis.hment on the basis of an apportionment of the total pro6ts of the enterprise to its various parts, nothing in paragraph 2 shall preclude that Contracting State from determining the profits to be taxed by such an apportionment as may be customary; the method of apportionment adopted shall, however, be such that the result shall be in accordance with the principles contained in this Article.

5. No profits shall be attributed to a permanent establishment by reason of the mere purchase by that permanent establishment of goods or merchandise for the enterprise.

6. For the purposes of the preceding paragraphs, the profits to be attributed to the parmanent establishment shall be determined by the same method year by year unless there is good and sufficient reason to the contray.

7. Where profits include items of income which are dealt with separately in other Articles of this Agreement, then the provisions of those Articles shall not be affected by the provisions of this Article.

Article 8

INTERNATIONAL TRAFFIC

1. Profits from the operation of ships, aircraft or road transport vehicles in international traffic shall be taxable only in the Contracting State in which the place of effective management of the enterprise is situated.

2. Profits from the operation of boats engaged in inland waterways transport shall be taxable only in the Contracting State in which the place of effective management of the enterprise is situated.

3. If the place of effective management of a shipping enterprise or of an inland waterways transport enterprise is aboard a ship or boat, then it shall be deemed to be situated in the Contracting State in which the home harbor of the ship or boat is situated, or, if there is no such home harbor, in the Contracting State of which the operator of the ship or boat is a resident.

4. The provisions of paragraph 1 shall also apply to profits from the participation in a pool, a joint business or an international operating agency.

Article 9

ASSOCIATED ENTERPRISES

1. Where

a) an enterprise of a Contracting State participates directly or indirectly in the management, control or capital of an enterprise of the other Contracting State, or

b) the same persons participate directly or indirectly in the management, control or capital of an enterprise of a Contracting State and an enterprise of the other Contracting State, and in either case conditions are made or imposed between the two enterprises in their commercial or financial relations which differ from those which would be made between independent enterprised, then any profits which would, but for those conditions, have acerued to one of the enterprises, but, by reason of those conditions, have not so accrued, may be included in the profits of that enterprise and taxed accordingly.

2. Where a Contracting State includes in the profits of an enterprise of that State - and taxes accordingly - profits on which an enterprise of the other Contracting State has been charged to tax in that other State and the profits so included are profits which would have accrued to the enterprise of the first-mentioned State if the conditions made between the two enterprises had been those which would have been made between independent enterprises, then that other State shall make an appropriate adjustment to the amount of the tax charged therein on those profits. In determining souch adjustement, due regard shall be had to the other provisions of this Agreement and the competent autohoritles of the Contracting States shall if necessary consult each other.

Article 10

DIVIDENDS

1. Dividends paid by a company which is a resident Contracting State to a resident of the other Contracting State may be taxed in that other State.

2. However, such dividends may also be taxed in the contracting State of which the company paying the dividends is a resident and according to the laws of that State, but if the recipient is the beneficial owner of the dividends the dividends the tax so charged shall not exceed;

a) 5% of the gross amount of the dividends if the benefical owner is a company (other than a partnership) which holds directly at least 25 per cent of the capital of the company paying the devidends;

b) 15% of the gross amount of the dividends in all other cases.

The competent authorites of the Contracting States shall by mutual agreement settle the mode of application of these limitations.

This paragraph shall not affect the taxation of the company in respect of the profits out of which the dividends are paid.

3. The term "dividends" as used in this Article means inco

me from shares or other rights, not being debt-claims, participating in profits, as well as income from other corporate rights which is subjected to the same taxation treatment as income from shares by the of the State of which the company making the distribution is a resident.

4. The provisions of paragraphs 1 and 2 shall not apply if the beneficial owner of the dividends, being a resident of a Contracting State, carries on business in the other Contracting State of which the company paying the dividends is a resident, through a permanent establishment situated therein, or performs in that other State independent personal services from a fixed base situated therein, and the holding in respect of which the dividends are paid is effectively connected with such permanent"establishment or fixed base. In such case the provisions of Article 7 or Article 14, as tuc case may be, shall apply.

5. Where a company which is a resident of a Contracting State derives profits or income from the other Contracting State, that other State may not impose any tax on the dividends paid by the company, except insofar as such dividends are paid to a resident of that other State or insofar as the holding in respect of which the dividends are paid is effectively connected with a permanent establishment or a fixed base situated in that other State, nor subject the company's unidstributed profits to a tax on the company's undištributed profits, even if the dividends paid or the undistributed profits consist wholly or parly of profits or income arising in such other State.

Article 11

INTEREST

1. Interest arising in a Contracting State and paid to a resident of the other Contracting State may be taxed in that other State.

2. However, such interest may alsQ be taxed in the Contracting State in which it arises and according to the laws of the State, but if the recipient is the bene6cial owner of the interest the tax so charged shall not exceed 10 per cent of the gross amount of the interest.

The competent authorities of the Contracting States shall by mutual agreement settle the mode of application of this limitation.of

3. Notwithstanding the provisions of paragraph 2, interest arising in a Contracting State and derived by the Government of the other Contracting State, a local autohority and the Central Bank thereof or any 6nancial institution wholly owned by that Government, or by any resident of that other Contacting State with respect to debt-claims indirectly financed by the Government of that other Contracting State, a local authority, and the Central Bank thereof or any financial institution wholly owned by the Government, shall be exempt from tax in the first-mentioned State.

4. The term "interest" as used in this Article means income from debt-clalms of every kind, whether or not secured by mortgage and whether or not carrying a right to participate in the debtor's profits, and in particular, income from government securities and income from bonds or debentures, including permiums and prizes attaching to such securities, bond or debentures. Penalty charges for late payment shall not be regarded as interest for the purpose of this Article.

5. The provisions of paragraphs 1, 2 and 3 shall not apply if the beneficial owner of the interest, being a resident of a Contracting State, carries on business in the other Contracting State in which the interest arises, through a permanent establishment situated therein, or performs in that other State independent personal services from a fixed base situated therein, and the debt-claim in respect of which the interest is paid is effectively connected with such,permanent establishment or fixed base. In such case the provisions of Article 7 or Article l4, as the case may be, shall apply.

6. Interest shall be deemed to arise in a Contracting State when the payer is that State itself, a local authority or a resident of that State. Where, however, the person paying the interest, whether he is a resident of a Contracting State or not, has in a Contracting State a permanent establishment or a fixed base in connection with which the indebtedness on which the interest is paid was incurred, and such interest is borne by such permanent establishment or fixed base, then such interest shall be deemed to arise in the State in which the permanent establishment or fixed base is situated.

7. Where, by reason of a special relationship between the payer and the beneficial owner or between both of them and some other person, the amount of the interest, having regard to the debt-claim for which it is paid, exceeds the amount which would have been agreed upon by the payer and the beneficial owner in the absence of such relationship, the provisions of this Article shall apply only to the lastmentioned amount. In such case, the excess part of the payments shall remaln taxable according to the laws of each Contracting State, due regard being had to the other provisions of this Agreement.

Article 12

ROYALTIES

1. Royalties arising in a Contracting State and paid to a re

sident of the other Contracting State may be taxed in that other State.

2. However, such royalities may also be taxed in the Contracting State in which they arise, and according to the laws of that Contracting State, but if the recipient is the beneficial owner of the royalities, the tax so carged shall not exceed 10% of the gross amount of the royalties.

3. The term "royalties" as used in this Article means payments of any kind received as a consideration for the use of, or the right to use, any copyright of literary, artistic of scientific work including cinematographic films, any patent, knowhow, trade mark, design or model, plan, secret formula or process, or Industrial, commercial or scientific equipment, or for information concerning industrial, commercial of scientific experience.

4. The provisions of paragraphs 1 and 2 shall not apply if the beneficial owner of the royalties, being a resident of a Contracting State, carries on business in the other Contracting State in which the royalties arise, trough a permanent establisment situated therein, or performs in that other State independent personal services from a fixed base situated therein, and the right or property in respect of which the coyalties are paid is effectively connected with such permanent establisment of fixed base. In such case the provisions of Article 7 or Article 14, as the case may be, shall apply.

5. Royalties shall be deemed to arise in a Contracting State when the payer is the Government of the Contracting State, a local authority thereof or a resident of that Contracting State. Where, however, ihe person paying the royalties, whether he is a resident of a Contracting State or not, has in the Contracting State a permanent establishment or a 6xed base in connection with which the liability to pay the royalties was incurred, and such royalties are borne by such parmanent establishment or fixed base, then such royalties shall be deemed to arise in the Contracting State in which the permanent establishment or the fixed base is situated.

6. Where, by reason of a special relationship between the payer and the beneficial owner or between both of them and some other person, the amount of the royalties, having regard to the use, right or information for which they are paid, exceeds the amount which would have been agreed upon by the payer and the beneF~icial owner in the absence of such relationship, the provisions of this Article shall apply only to the last-mentioned amount. In such case, the excess part of the paymants shall remain taxable according to the laws of each Contracting State, due regard being had to the other provisions of this Agreement.

Article 13

CAPITAL GAINS

1. Gains derived by a resident of a Contracting State from the alienation of immovable property referred to in Article 6 and situated in the other Contracting State may be taxed in that other State.

2. Gains from the alienation of movable property forming part of the bUSiness property of a permanent establishment which an enterprise of a Contracting State has in the other Contracting State or of movable property pertaining to a fixed base available to a resident of a Contracting State in the other Contracting State for the purpose of performing independent personal services, Including such gains from the alienation of such a permanent establisment (alone or with the whole enterprise) or of such fixed base, may be taxed in that other State.

3. Gains from the alienation of ships or aircraft operated in international traffic, boats engaged in inland waterways transport or movable property pertaining to the operation of such ships, aircraft or boats, shall be taxable only in the Contracting State in which the place of effective management of the enterprise is situated.

4. Gains from the alienation of shares of the capital stock of a company the property of which consists directly or indirectly principally of immovable property situated in a Contracting State may be taxed in that Contracting State.

5. Gains from the alienation of any property other than that referred to in paragraphs 1 to 4, shall be taxable only in the Contracting State of which the alienator is a resident.

Article 14

INDEPENDENT PERSONAL SERVICE

1. Income derived by a resident of a Contracting State in respect of professional services of other activities of an Independent character shall be taxable only in that State except in one of the following circumstancs, when such income may also be taxed in the other Contracting State:

a) if he has a fixed base regularly available to him in the other Contracting State for the purpose of performing his activities. In that case only so much of the income as is attributable to that fixed base may be taxed in that other State.

b) if his stay int he other Contracting State is for a period or periods exceeding in the aggregate 183 days in the calendar year concerned. In that case only so much of the income as is derived from his activites perfomed in that other State may be taxed in that other State.

2. The term "professional services" includes especially independent scientific, literary, artistic, educational or teaching activities as well as the independent activities of physicians, lawyers, engineers, economists, architects, dentists and accountants.

Article 15

DEPENDENT PERSONAL SERVICES

1. Subject to the provisions of Articles 16, 18 and 19, salaries, wages and other similar remuneration derived by a resident of a Contracting State in respect of and employment shall be taxable only in that State uniess the employment is exercised in the other Contracting State. If the employment is so exercised, such remuneration as is derived therefrom may be taxed in that other State.

2. Notwithstanding the provisions of paragraph 1, remuneration derived by a resident of a Contracting State in respect of a employment exercised in the other Contracting State shall be taxable only in the first-mentioned State if:

a) the reciplent is present in the other State for a period or periods not exceeding in the aggregate 183 days in the calendar year concerned, and

b) the remunerationis paid by, or on behalf of, and employer who is not a resident of the other State, and

c) the remuneration is not borne by a permanent establisment or a fixed base which the employer has in the other State.

3. Notwithstanding the receding provisions of this Article, remuneration derived in respect of an employment exercised aboard a ship, aircraft or road transport vehicle operated in international traffic, or aboard a boat engaged in inland waterways transport, may be taxed in the Contracting State in which the place of effective management of the enterprise is situated.

Article 16

DIRECTORS' FEES

Director's fees and other similar payments derived by a re sident of a Contracting State in his capacity as a member of the I board of directors of a company which is a resident of the other Contracting State may, be taxed in that other State.

Article 17

ARTISTS AND SPORTSMEN

1. Notwithstanding the provisions of Articles 14 and 15, income derived by a resident of a Contracting State as a entertainer, such as a theatre, motion picture, radio or television artist, or a musician, or as a sportsman, from his personal activities as such exercised in the other Contracting State, may be taxed in that other State.

2. Where income in respect of personal activities exercised by an entertainer of a sportsman in his capacity as such accrues not to the entertainer or sportsman himself but to another person, that income may, notwithstanding the provisions of Articles 7, 14 and 15, be taxed in the Contracting State in which the activities of the entertainer or sportsman are exercised.

3. Notwithstanding the provisions of paragraphs 1 and 2 of this Article, income derived by entertainers or sportsmen who are residents of a Contracting State from the activities in the other C,ontracting State under a plan of curtular exchange between the Governments of both Contracting States shall be exempt from tax in thast other Contracting State.

Article 18

PENSIONS

1. Subject to the provisions of paragraph 2 of Article 19. pensions and other similar remuneration paid to a resident of a Contracting state in consideration of past employment shall be taxable only in that State.

2. Notwithstanding the provisions of paragraph 1, pension paid and other similar payments made by the Government of a Contracting State or a local authority thereof under a public welfare scheme of the social security system of that Contracting State shall be taxable only in that State.

Article

19 GOVERNMENT SERVICE

1. a) "remuneratin", other than a pension, paid by a Cnntracting State or a local auttiorify thereof to a individual in respect of services rendered to that State or local authority shall be taxable only in that State.

b) However, such remuneration shall be taxable only in the other Contracting State if the services are rendered in that State and the individual is a resident of that State who:

(i) is a national of that State; or

(ii) did not become a resident of that State solely for the purpose of rendering the services.

2. a) Any pension paid by, or out of funds created by, a Contracting State or a local authority thereof to an individual in respect of services rendered to that State or local authority shall be taxable only in that State.

b) However, such pension shall be taxable only in the other Contracting State if the individual is a resident of, and a national of, that State.

3. The provisions of Articles 15, 16 and 18 shall apply to remuneration and pensions in respect of services rendered in connection with business carried on by a Contracting State or a local authority thereof.

Article 20

PROFESSORS, TEACHERS, STUDENTS AND TRAINEES

1. Payments which a professor or teacher who is a resident of a Contracting State and who is present in the other Contracting State for a period not exceeding two years for the purpose of carrying out scientific study or research or for teaching at an accredited university, college, school or other educational institution, or a public research institution or other institution engaged in research for the public benef'it, shall be taxable only in the first-mentioned State. This Article shall not apply to income from research if such research is undertaken not in the public interest but primarily for the private benefit of a specific person or persons. The benefits provided in this paragraph shall not be granted to an individual who, during the immediately preceding period, enjoyed the benefits of paragraph 2, 3, or 4.

2. Paymenis other than compensation for personal services which a student of trainee who is or was immediately before visiting a Contracting State a resident of the other Contracting State and who is present in the first-mentioned State solely for the purpose of his education or training receives for the purpose of his maintenance, education or training shall not be taxed in that State, provided that such payments arise and are remitted from sources outside that State.

3. Payments other than compensation for personal services that a person who is or was immediately before visiting a Contracting State a resident of the other Contracting State receives as a grant, allowance, or award from a non-profit religious, charitable, scientific, literary or educational private organization or a comparable public institution shall not be taxed in the first-mentioned State.

4. A student or trainee within the meaning of paragraph 2, or a recipient of a grant, allowance, or award within the meaning of paragraph 3, who is present in a Contracting State for a period not exceeding 4 years shall not be taxed in that State on any income from dependent personal services, provided that such services are performed for the purpose of supplementing funds avallable otherwise for maintenance, education or training.

5. A resident of one of the Contracting States who is an employee of a government enterprise or of an organization or institution described in paragraph 3, and who is temporarily present in the other Contracting State for a period not exceeding one year solely to acquire technical, professional or business experience from any person other than such enterprise, organization or institution, shall be exempt from tax by that other State on compensation remitted from outside that other State for services wherever performed paid by such enterprise, organization or institution.

Article 21

OTHER INCOME

1. Items of income of a resident of a Contracting State, wherever arising, not dealt with in the foregoing Articles of this Agreement shall be taxable only in that State.

2. The provisions of paragraph 1 shall not apply to income, other than income from immovable property as defined in paragraph 2 of Article 6, if the recipient of such income, being a resident of a Contracting State, carries on business in the other Contracting State through a permanent establishment situated therein, or performs in that other State independent personal services from a fixed base situated therein, and the right or pro perty in respect of which the income is paid is effectively connected with such permanent establishment or fixed base. In such case the provisions of Article 7 or Article 14, as the case may be, shall apply.

Article 22

CAPITAL

1. Capital represented by immovable property referred to in Article 6, owned by a resident of oa Contracting State and situated in the other Contracting State, may be taxed in that other State.

2. Capital represented by movable property forming part of the business property of a permanent establishment which an enterprise of a Contracting State has in the other Contracting State or by movable property pertaining to a fixed base available to a resident of a Contracting State in the other Contracting State for the purpose of performing Independent personal services, may be taxed in that other State.

3. Capital represented by ships, aircraft and road transport vehicles operated in International traffic and by boats engaged in inland waterways transport, and by movable property pertaining to the operation of such ships, boats, aircraft and road transport vehicles, shall be taxable only in the Cđntracting State in which the place of effective management of the enterprise is situated.

4. All other elements of capital of a resident of a Contracting State shall be taxable only in that State.

Article 23

AVOIDANCE OF DOUBLE TAXATION

1. In the case of a resident of the Republic of Croatia, double taxation shall be avoided as follows:

Where a resident of the Republic of Croatia derives income of owns capital which, in accordance with the provisions of this Agreement, may be taxed in the Republic of Poland, the Republic of Croatia shall allow:

a) as a deduction from the tax on the income of that resident, an amount equal to the income tax paid in the Republic of Poland:

b) as a deduction from the tax on the capital of that resident, an amount equal to the capital tax paid in ...

Such deduction in either case shall not, however, exceed that part of the Income tax or capital tax, a computed before the deduction is given, which is attributable, as the case may be, rn the income or the capital which may be taxcd in... .

2. In the case of a resident of Poland, double taxation shall be avoided as follows:

a) Where a resident of Poland derives income or owns capital which, in accordance with the provisions of this Agreement, may be taxed in the Republic of Croatia, Poland shall, subject to the provisions of subparagraph b), exempt such income or capital from tax. Poland may in calculting the amount of tax on the remaining income or capital from tax. Poland may in calculating the amount of tax on the remaining income or capital of such resident apply the rate of tax which would have been applicable if the exempted income had not been so exempted.

b) Where a resident of Poland derives items of income which, in accordance with the provisioins of Articles 10, 11 and 12, may be taxed in the Republic of Croatia, Poland shall allow as a deduction from the tax on the income of that resident an amount equal to the income tax paid in the Republic of Croatia.

Such deduction shall not, however, exceed that part of the income tax, as computed before the deduction is given, which is attributable to such items of income derived from the Republic of Croatia.

3. Where in accordance with provision of the Agreement income derived of capital owned by a resident of a Contracting State is exempt from tax in that State, such State may nevertheless, in calculating the amount of tax on the remaining income or capital of such resident, take into accont the exempted income or capital.

Article 24

NON-DISCRIMINATION

1. Nationals of a Contracting State shall not be subjected in 'the other Ćontracting State to any taxation or any requirement connected therewith, which is other or more burdensome than the taxation and connected requirements to which nationals of that other State in the same circumstances, in particular with respect to residence, are or may be subjected. This provision shall, notwithstanding the provisions of Araticle 1, also apply to persons who are not residents of one or both of the Contracting States.

2. The taxation on a permanent establishment which an enterprise of a Contracting State has in the other Contracting State shall not be less favorable levied in that other State than the taxation levied on enterprises of that other State carrying on the same activities.

This provision shall not be construed as obliging a Contracting State to grant to residents of the other Contracting Stafe any personal allowances, reliefs and reductions for taxation purposes on account of civil status or family responsibilities which it grants to its own residents.

3. Except where the provisions of paragraph 1 of Article 9, paragraph 7 of Article I1, or paragraph 6 of Article 12, apply, interest, royalties and other disbursements paid by an enterprise of a Contracting State to a resident of the other Contracting State shall, for the purpose of determining the taxable profits of such enterprise, be deductible under the same conditions as if they had been paid to a resident of the first-mentioned State: Similarly, any debts of an enerprise of a Contracting State to a resident of the other Contracting State shall, for the purpose of determining the taxable capital of such enterprise be deductible under the same conditions as if they had been contracted to a resident of the first-mentioned State.

4. Enterprises of a Contracting State, the capital of which is wholly or partly owned or controlled, directly or indirectly, by one or more residents of the other Contracting State, shall not be subjected in the first-mentioned State to any taxation or any requirement connected therewith which is other or more burdensome than the taxation and connected requirements to which other similar enterprises of the first-mentioned State are or may be subjected.

5. The provisions of this Article shall, notwithstanding the provisions of Article 2, apply to taxes of every kind and description.

Article 25

MUTUAL AGREEMENT PROCEDURE

1. Where a person considers that the actions of one or both of the Contracting States result or will result for him in taxation not in accordance with the provisions of this Agreement, he may, irrespecive of the remedies provided by the domestic law of those States, present his case to the competent authority of the Contracting State of which he is resident or, if his case comes under paragraph 1 of Article 24, to that of the Contracting State of which he is a national. The case must be presented within three years from the first notification of the action resulting in taxation not in accordance with the provisions of the Agreement.

2. The competent authority shall endeavor, if the objećtion appears to it to be justified and if it is not itself able to arrive at a satisfactory solution, to resolve the case by mutual agreement with the competent authority of the other Contracting State, with a view to the avoidance of taxation which is not in accordance with the Agreement. Any agreement reached shall be implemented notwithstanding any time limits in the domestic law of the Contracting States.

3. The competent authorities of the Contracting States shallendeavor to resolve by mutual agreement any difficulties, or doubts arising as to the interpretation or application of the Agreement. They may also consult together for the elimination of double taxation in cases not provided for in the Agreement.

4. The competent authorities of the Contracting States may communicate with each other directly for the purpose of reaching an agreement in the sense of the preceding paragraphs. When it seems advisable in order to reach agreement to have an oral exchange of oppinlons, such exchange may take place through a Commission consisting of representatives of the competent authorities of the Contracting States.

Article 26

EXCHANGE OF INFORMATION

1. The competent authorities of the Contracting States shall exchange such information as is necessary for carrying out the provisions of this Agreement or of the domestic laws of the Contracting States concerning taxes covered by the Agreement insofar as the taxation thereunder is not contrary to the Agreement. The exchange of information is not restricted by Article 1. Any information received by a Contracting State shall be treated as secret in the same manner as information obtained under the domestic laws of that 5tate and shall be disclosed only to persons or authorities (including courts and administrative bodies) involved in the assessment or collection of, the enforcement or prosecution in respect of, or the determination of appeals in relation to, the taxes covered by the Agreement. Such persons or authorities shall use the information only for such purposes. They may disclose such information in public court proceedings or in judicial decisions.

2. In no case shall the provisions of paragraph I be construed so as to impose on a Contracting State the obligation:

a) to carry out administrative mesures at variance with thelaws and administrative practice of that or of the other Contracting State;

b) to supply information which is not obtainable under the laws or in the normal course of the administration of that or the other Contracting State;

c) to supply information which would disclose any trade, business, industrial, commercial or professional secret or trade process, or information, the disclosure of which would be contrary to public policy (ordre public).

Article 27

DIPLOMATIC AGENTS AND CONSULAR OFFICERS

Nothing in this Agreement shall affect the fiscal privileges of diplomatic agents or consular officers under the general rules of international law or under the provisions of special agreements.

Article 28

ENTRY INTO FORCE

This Agreement shall enter into force on the 30thj day after the date on which diplomatic notes indicating the completion of internal legal procedures necessary in each country for the entry into force of the Agreement have been exchanged. This Agreement shall have effect as respects income derived and capital owned during the taxable years beginning on or after the 15th day of January in the calendar year next following that in which this Agreement enters into force.

Article 29

TERMINATION

This Agreement shall remain in force indefinitely but either of the Contracting States may, on or before the 20th day of June in any calendar year beginning after the expiration of a period of five years from the date of its entry into force, give written notice of termination to the other Contracting State through diplomatic channels. In such event this Agreement shall cease to have effect as respects income derived and capital owned during the taxable years on or after the ls` day of January in the calendar year next following that in which the notice of termination is given.

In case of any divergence of interpretations of the Croatian and Polish texts, the English text shall prevail.

O IZBJEGAVANJU DVOSTRUKOG OPOREZIVANJA POREZIMA NA DOHODAK I NA IMOVINU, IZMEĐU VLADE REPUBLIKE HRVATSKE I VLADE REPUBLIKE POLJSKE

- želeći sklopiti Ugovor o izbjegavanju dvostrukog oporezivanja porezima na dohodak i na imovinu

utvrdile su kako slijedi u nastavku:

Članak 1.

OSOBE NA KOJE SE PRIMJENJUJE UGOVOR

Ovaj Ugovor primjenjuje se na osobe koje su rezidenti jedne ili obiju država ugovornica.

Članak 2.

POREZI NA KOJE SE PRIMJENJUJE UGOVOR

1. Ovaj se Ugovor primjenjuje na poreze na dohodak i imovinu, koje je uvela jedna od država ugovornica ili njena lokalna tijela, neovisno o načinu na koji se ubiru.

2. Porezima na dohodak i na imovinu smatraju se svi porezi uvedeni na ukupni dohodak, na ukupnu imovinu ili na dijelove dohotka ili imovine, uključujući poreze na porast imovine i po reze na dobitke od otuđenja pokretne ili nepokretne imovine te poreze na ukupne iznose plaća koje isplaćuju poduzeća.

3. Porezi na koje se primjenjuje ovaj Ugovor napose su:

a) u Republici Hrvatskoj:

(i) porez na dobit,

(ii) porea na dohodak;

(u daljnjem tekstu "hrvatski porez")

b) u Republici Poljskoj:

(i) osobni porez na dohodak,

(ii) porez na dohodak.

(u daljnjem tekstu "poljski porez")

4. Ovaj Ugovor primjenjuje se i na iste ili bitno slične poreze koji budu uvedeni nakon dana potpisivanja ovog Ugovora uz navedene poreze ili umjesto njih, Nadležna tijela država ugovornica priopćavat će jedna drugima bitne promjene u svojim poreznim zakonima na kraju svake godine.

Članak 3.

OPĆE DEFINICIJE

1. Za potrebe ovog Ugovora ako iz konteksta ne proizlazi drukčije:

a) izraz "Republika Hrvatska", kad se rabi u zemljopisnu smislu, znači cjelokupno područje Republike Hrvatske unutar njezinih međunarodno priznatih granica, uključujući svo područje izvan teritorijalnog mora Republike Hrvatske koje je, u skladu s međunarodnim pravom i zakonima Republike Hrvatske, područje unutar kojega se mogu provoditi prava Republike Hrvatske s obzirom na morsko dno i podmorje te njihova prirodna bogatstva;

b) izraz "Republika Poljska", kad se rabi u zemljopisnom smislu, znači cjelokupno područje Republike Poljske, uključujući svo područje izvan teritorijalnog mora Republike Poljske koje je, u skladu s međunarodnim pravom i zakonima Republike Poljske, područje unutar kojega se mogu provoditi prava Republike Poljske s obzirom na morsko dno i podmorje te njihova prirodna bogatstva;

c) izrazi "država ugovornica" i "druga državna ugovornica" označavaju Republiku Hrvatsku ili Republiku Poljsku, ovisno o kontekstu;

d) izraz "porez" znači hrvatski ili poljski porez, ovisno 0 lCOntekstu;

e) izraz "osoba" uključuje fizičku osobu, društvo i bilo koju drugu skupinu osoba;

f) izraz "društvo" označava svaku pravnu osobu ili osobu koja se u svrhe oporezivanja smatra pravnom osobom;

g) izrazi "poduzeće države ugovornice" i "poduzeće druge države ugovornice" označavaju na odgovarajući način poduzeće kojim upravlja rezident države ugovornice ili poduzeće kojim upravlja rezident druge države ugovornice;

h) izraz "međunarodni promet" označava svaki prijevoz !brodom, zrakoplovom ili cestovnim transportnim vozilom koji obavlja poduzeće sa sjedištem stvarne uprave u jednoj od država ugovornica, osim ako brod, zrakoplov ili cestovno transportno vozilo obavlja prijevoz samo između mjesta u drugoj državi ugovornici;

i) izraz "državljanin" označava sve fizičke osobe koje imaju državljanstyo jedne od država ugovornica i sve pravne osobe osnovane ili organizirane prema zakonima koji vrijede u toj državi ugovornici te sve organizacije koje nemaju pravnu osobnost, ali s kojima se iz poreznih razloga postupa kao s pravnim osobama osnovanim ili organiziranim prema zakonima koji vrijede u toj državi ugovornici;

j) izraz "nadležno tijelo" znači:

(i) u slučaju Republike Hrvatske, ministra financija ili njegova ovlaštenog predstavnika,

(ii) u slučaju Republike Poljske, ministra financija ili njegova ovlaštenog predstavnika.

2. Kada ovaj Ugovor primjenjuje država ugovornica, svaki izraz koji u njemu nije definiran, ima značenje prema zakonima te države što se odnose na poreze na koje se primjenjuje ovaj Ugovor, ako iz konteksta ne proizlazi nešto drugo.

Članak 4.

REZIDENT

1. U ovome Ugovoru izraz "rezident države ugovornice" označava svaku osobu, koja prema zakonima te države, u njoj podliježe oporezivanju na temelju svoga prebivališta, boravišta, mjesta uprave, mjesta registriranja ili nekoga drugog obilježja sličnoga značenja. Ali ovaj izraz ne obuhvaća osobu koja u toj državi podliježe oporezivanju, i to samo njezin dohodak iz izvora u toj državi ili imovina koja se nalazi u toj državi.

2. Ako je, prema odredbama stavka 1., fizička osoba rezident obiju država ugovornica, onda se njezin status odreduje na ovaj način:

a) smatra se rezidentom one države u kojoj ima stalno mjesto stanovanja, a ako ima stalno mjesto stanovanja u objema državama, smatrat će se da je rezident one države s kojom ima uže osobne i gospodarske odnose (središte životnih interesa);

b) ako se ne može odrediti u kojoj državi ima središte životnih interesa ili ako ni u jednoj državi nema stalno mjesto stanovanja, smatrat će se da je rezident države u kojoj ima uobičajeno boravište;

c) ako osoba ima uobičajeno boravište u objema državama ili ga nema ni u jednoj od njih, smatrat će se da je rezident države čiji je državljanin;

d) ako je osoba državljanin obiju država ili nije državljanin ni jedne od njih, nadležna tijela država ugovornica riješit će pitanje dogovorno.

3. Kad je zbog odredaba stavka 1. neka osoba koja nije fizička osoba rezident obiju država ugovornica, tada će se smatrati da je rezident one države ugovornice u kojoj se nalazi nježino mjesto stvarne uprave.

Članak 5.

STALNA POSLOVNA JEDINICA

1. Za svrhe ovog Ugovora izraz "stalna poslovna jedinica" označava stalno mjesto poslovanja preko kojega se poslovanje poduzeća obavlja u cijelosti ili djelomično.

2. izraz "stalna poslovna jedinica" napose uključuje:

a) sjedište uprave,

b) podružnicu,

c) ured,

d) tvornicu,

e) radionicu, i

f) rudnik, naftni ili plinski izvor, kamenolom ili drugo mjesto iskorištavanja prirodnih bogatstasa,

3. izraz "stalna poslovna jedinica" također uključuje:

a) gradilište ili gradevinski, montažni ili instalacijski projekt ili s tim povezanu aktivnost nadgledanja, i to samo ako traju dulje od 12 mjeseci,

b) pružanje usluga, uključujući konzultacijske usluge nekog poduzeća države ugovornice uz pomoć namještenika ili drugog zaposlenog osoblja u drugoj državi ugovornici, pod uvjetom da se takve djelatnosti nastavljaju za isti projekt ili za neki s time povezani projekt tijekom razdoblja koje zajedno prelazi 12 mjeseci unutar bilo kojega razdoblja,

4. Neovisno od predhodnih odredaba ovoga članka, pod izrazom "stalna poslovna jedinica" ne podrazumije se:

a) korištenje objekata isključivo za uskladištenje, izlaganje ili isporuku dobara ili robe koji pripadaju poduzeću;

b) održavanje zaliha dobara ili robe koje pripadaju poduzeću isključivo u svrhu uskladištenja, izlaganja ili isporuke;

c) održavanje zaliha dobara ili robe koje pripadaju poduzeću isključivo u svrhu prerade koje obavlja drugo poduzeće;

d) održavanje stalnog mjesta pošlovanja isključivo u svrhu kupnje dobara ili robe ili za prikupljanje obavijesti za poduzeće; e) održavanje stalnog mjesta poslovanja isključivo u svrhu

obavljanja drugih djelatnosti za poduzeće koje imaju pripremno ili pomoćno značenje;

f) održavanje stalnog mjesta poslovanja isključivo zbog kombinacije djelatnosti spomenutih u podstavkama od a) do e) pod uvjetom da cjelokupna djelatnost stalnog mjesta poslovanja, koja je posljedica te kombinacije, ima pripremno ili pomoćno značenje.

5. Neovisno 0 odredbama stavaka 1. i 2., kad osoba - koja nije zastupnik sa samostalnim statusom, na koju se odnosi stavak 6. - djeluje u ime poduzeća te ima ovlaštenje da u jednoj državi ugovornici zaključuje ugovore u ime tog poduzeća i to tamo uobičajeno čini, smatra se da to poduzeće u toj državi ima stalnu poslovnu jedinicu glede svake djelatnosti što ih ta osoba obavlja za poduzeće, osim ako su njezine djelatnosti ograničene na djelatnosti navedene u stavku 4. koje ako bi se obavljale pfeko stalnog mjesta poslovanja, ne bi to stalno mjesto poslovanja činile stalnom poslovnom jedinicom prema odredbama navedenog stavka.

6. Ne smatra se da poduzeće ima stalnu poslovnu jedinicu u jednoj državi ugovornici samo zato što svoje poslovanje u toj državi obavlja preko posrednika, generalanog komisijskog zastupnika ili drugog predstavnika sa samostalnim statusom ako te osobe rade u okviru svoje redovite poslovne djelatnosti.

7. Činjenica da društvo koje je rezident države ugovornice kontrolira ili je pod kontrolom društva što je rezident druge države ugovornice ili koje obavlja poslovanje u toj drugoj državi (preko stalne poslovne jedinice ili na drugi način) sama po sebi ne znači da jedno društvo može postati stalna poslovna jedinica ,drugoga društva

Članak 6.

DOHODAK OD NEKRETNINA

1: Dohodak koji rezident jedne ciržave ugovornice stekne od nekretnina (uključujući dohodak od poljoprivrede ili šumarstva), smještenih u drugoj državi ugovornici, može se oparezivati u drugoj državi ugovornici.

2. Izraz "nekretnina" ima značenje prema zakonu države ugovornice u kojoj se nalazi imovina. Taj izraz u svakome slučaju uključuje imovinu što pripada uz nekretninu, stoku i opremu koje se koriste u poljoprivredi i šumarstvu, prava na koja se primjenjuju odredbe općeg zakona o zemljišnom vlasništvu, služnosti nekretnine te prava na isplate u promjenljivom ili stalnom iznosu kao naknade za iskorištavanje ili pravo na iskorištavanje rudnih nalazišta, izvora i drugih prirodnih bogatstava. Morski i riječni brodovi, zrakoplovi i cestovna transportna vozila ne smatraju se nekretninama.

3. Odredbe stavka 1. primjenjuju se na dohodak koji se ostvaruje od izravnog korištenja, iznajrnljivanja ili drugog načina korištenja nekretnine te na dobitke od otudenja te imovine.

4. Odredbe stavaka 1. i 3. primjenjuju se i na dohodak od nekretnina poduzeća i na dohodak od nekretnina koje se koriste u obavljanju samostalnoga rada.

Članak 7.

DOBIT OD POSLOVANJA

1. Dobit od poslovanja poduzeća jedne države ugovornice oporezuje se samo u toj državi, osim ako poduzeće posluje u drugoj državi ugovornici putem stalne poslovne jedinice koja se u njoj nalazi. Ako poduzeće posluje u drugoj državi ugovornici putem stalne poslovne jedinice, poslovna dobit poduzeća može se oporezivati u toj drugoj državi, ali samo onoliko dobiti koliko se može pripisati toj stalnoj poslovnoj jedinici.

2. U skladu s odredbama stavka 3. ovoga članka, ako poduzeće države ugovornice posluje u drugoj državi ugovornici putem stalne poslovne jedinice koja se u njoj nalazi, onda se u svakoj državi ugovornici toj stalnoj poslovnoj jedinici pripisuje dobit koju bi mogla ostvariti da je bila odvojena u posebno poduzeće koje se bavi istim ili sličnim poslovanjem pod istim ili sličnim uvjetima te da je poslovala potpuno samostalno s poduzećem čija je stalna poslovna jedinica.

3. Pri utvrđivanju dobiti stalne poslovne jedinice, kao odbici priznaju se rashodi što su učinjeni za potrebe stalne poslovne jeđinice, uključujući izvršne i opće administrativne rashode bilo da su učinjeni u državi u kojoj se nalazi stalna poslovna jedinica ili drugdje.

4. Ako je u državi ugovornici uobičajeno utvrđivati dobit od poslovanja koju treba pripisati nekoj stalnoj poslovnoj jedinici. na temelju raspodjele ukupne dobiti poduzeća na njene različite dijelove, stavak 2. nikako ne sprečava tu državu ugovornicu da takvom uobičajenom raspodjelom odredi dobit koja se oporezuje. Prihvaćeni način raspodjele mora biti takav da rezultat bude u skladu s načelima sadržanim u ovomu članku.

5. Stalnoj poslovnoj jedinici ne pripisuje se dobit ako ta stalna poslovna jedinica samo kupuje dobra ili robu za poduzeće.

6. U svrhe iz prethodnih stavaka dobit koju treba pripisati stalnoj poslovnoj jedinici određuje se na isti način svake godine, osim ako ne postoji opravdan i dovoljan razlog da se postupi drukčije.

7. Ako dobit uključuje i dijelove dohotka koji su na poseban način uređeni u drugim člancima ovog Ugovora, odredbe ovog članka ne utječu na odredbe tih članaka.

Članak 8.

MEĐUNARODNI PROMET

1. Dobit od korištenja brodova, zrakoplova ili cestovnih transportnih vozila u međunarodnom prometu oporezuje se samo u državi u kojoj je sjedište stvarne uprave poduzeća.

2. Dobit od korištenja riječnih brodova u prometu na unutarnjim plovnim putovima oporezuje se samo u državi u kojoj je sjedište stvarne uprave poduzeća.

3. Ako je sjedište stvarne uprave poduzeća koje se bavi međunarodnim prometom ili poduzeća što se bavi prometom na unutarnjim plovnim putovima na pomorskom ili riječnom brodu, smatra se da se nalazi u državi u kojoj je matična luka pomorskog ili riječnog broda ili ako nema matične luke, u državi ugovornici čiji je rezident korisnik pomorskog ili riječnog broda.

4. Odredba stavaka 1. primjenjuje se na dobit od udjela u nekom poslu.

Članak 9.

POVEZANA PODUZEĆA

1. Ako

a) poduzeće države ugovornice sudjeluje izravno ili neizravno u upravi, kontroli ili kapitalu poduzeća druge države ugovornice ili

b) iste osobe sudjeluju izravno ili neizravno u upravi, kontroli ili kapitalu poduzeća države ugovornice i poduzeća druge države ugovornice,

I ako su u oba slučaja između ta dva poduzeća u njihovim trgovinskim i financijskim odnosima određeni ili nametnuti uvjeti različiti od onih koji bi bili određeni između samostalnih poduzeća, dobit koja bi bez tih uvjeta nastala za jedno od poduzeća, ali zbog tih uvjeta nije nastala, može se uključiti u dobit tog poduzeća i prema tomu oporezivati.

2. Ako država ugovornica u dobit poduzeća te države uključi - i prema tomu oporezuje - dobit, na koju je poduzeće druge države ugovornice već bilo oporezivano u toj drugoj državi i ako se pri tako uključenoj dobiti radi o takvoj dobiti kakvu bi poduzeće prvospomenute države ostvarilo da su uvjeti dogovoreni između tih dvaju poduzeća bili isti uvjeti o kakvima bi se međusobno dogovorila samostalna poduzeća, tada će ta druga država na odgovarajući način prilagoditi iznos poreza koji je u njoj razrezan na tu dobit. Pri toj prilagodbi, valja uzeti u obzir druge odredbe ovog Ugovora, a ako bude potrebno, nadležna tijela država ugovornica međusobno će se savjetovati.

Članak 10.

DIVIDENDE

1. Dividende koje društvo rezident države ugovornice plaća rezidentu druge države ugovornice mogu se oporezivati u toj drugoj državi

2. Dividende iz stavka l. mogu se oporezivati i u državi ugovornici čiji je rezident društvo što plaća dividende, i to prema zakonima te države, ali ako je primatelj dividendi stvarni korisnik, tada tako razrezan porez ne smije biti veći od:

a) 5% od bruto-iznosa dividendi kad je stvarni korisnik društvo (izuzimajući partnerstvo) koje izravno posjeduje najmanje 25% kapitala u društvu koje plaća dividende;

b) 15% od bruto-iznosa dividendi u svim drugim slučajevima.

Nadležna tijela država ugovornica ureduju zajedničkim dogovorom kako se treba provoditi odredbe o tim ograničenjima.

Odredbe ovoga stavka ne utječu na oporezivanje dobiti društva iz koje se plaćaju dividende.

3. Izraz "dividenda" upotrijebljen u ovome članku označava dohodak od dionica ili drugih prava, koja nisu potraživanja duga, što sudjeluju u dobiti te dohodak od drugih prava u društvu koji podliježe istomu poreznomu postupku kao i dohodak od dionica prema zakonima države čiji je rezident društvo koje vrši raspodjelu.

4. Odredbe stavka 1. i 2. ovoga članka ne primjenjuju se ako stvarni korisnik dividendi, koji je rezident države ugovornice, posluje u drugoj državi ugovornici čiji je rezident društvo koje isplaćuje dividende preko stalne poslovne jedinice što se nalazi u toj državi ili u toj drugoj državi obavlja samostalni rad iz stalnog sjedišta u toj državi, a pravo na osnovi kojega se dividende plaćaju povezano je sa stalnom poslovnom jedinicom ili stalnim sjedištem. U tom se slučaju, prema potrebi, primjenjuju odredbe članka 7. ili odredbe članka 14.

5. Ako društvo koje je rezident države ugovornice ostvaruje dobit ili dohodak iz druge države ugovornice, ta druga država ne može razrezati nikakav porez na dividende koje plaća to društvo, osim ako su te dividende plaćene rezidentu te druge države ili ako je posjed dionica zbog kojih se dividende plaćaju stvarno povezan sa stalnom poslovnom jedinicom, ili sa stalnim sjedištem u toj drugoj državi niti može oporezivati neraspodijeljenu dobit društva, pa čak ni onda ako se plaćene dividende ili neraspodijeljena dobit u cijelosti ili djelomično sastoje od dobiti ili dohotka nastalog u toj drugoj državi.

Članak I1.

KAMATE

1. Kamate nastale u državi ugovornici, a isplaćene rezidentu druge države ugovornice mogu se oporezivati u foj drugoj državi.

2. Međutim, takve kamate mogu se oporezivati i u državi ugovornici u kojoj su nastale, i to prema zakonima te države, ali ako je primalac kamata stvarni korisnik, tako razrezan porez ne smije biti veći od 10% od bruto-iznosa kamata.

Nadležna tijela država ugovornica zajedničkim dogovorom ureduju način primjene ovog ograničenja.

3. Neovisno O odredbama stavka 2. kamate što nastanu u jednoj državi ugovornici koje steknu Vlade druge države ugovornice, njezino lokalno tijelo i centralna banka ili bilo koja financijska institucija čiji je vlasnik u cijelosti ta Vlada iIi bilo koji drugi rezident te druge države, glede potraživanja duga što ih je neizravno financirala Vlada te druge države ugovornice, njezino lokalno tijelo ili centralna banka ili bilo koja financijska institucija koja je u cijelosti u vlasništvu te Vlade, bit će izuzete od oporezivanja u prvospomenutoj državi.

4. Izraz "kamate", kako se rabi u ovom članku, označava dohodak od potraživanja duga svake vrste, bilo da su ili da nisu osigurana zalogom i bilo da nose ili da ne nose pravo udjela u dobiti dužnika, a napose u dohotku od državnih vrijednosnih papira i od obveznica i zadužnica uključujući premije i nagrade u svezi s tim vrijednosnim papirima, obveznicama i zadužnicama. Zatezne kamate zbog zakašnjela plaćanja ne smatraju se kamatama u smislu ovoga članka.

5. Odredbe stavaka l., 2. i 3, ne primjenjuju se ako stvarni korisnik kamata, koji je rezident države ugovornice, posluje u drugoj državi ugovornici, u kojoj su te kamate nastale, putem stalne poslovne jedinice koja se u njoj nalazi ili u toj drugoj državi obavlja samostalni rad iz stalnog sjedišta u njoj, a potraživanje na koje se plaćaju kamate stvarno je povezano s takvom stalnom poslovnom jedinicom ili stalnim sjedištem. U tom se slučaju primjenjuju odredbe članka 7. ili članka 14., ovisno o slučaju.

6. Smatra se da kamate nastaju u državi ugovornici kad je isplatitelj ta država, lokalno tijelo ili rezident te države. međutim, ako isplatitelj kamata, bez obzira da li je rezident države ugovornice ili nije, u državi ugovornici ima stalnu poslovnu jedinicu ili stalno sjedište na koje se odnosi zajam za koji se plaćaju kamate i takve kamate snosi stalna poslovna jedinica ili stalno sjedište, tada se smatra da kamate nastaju u toj državi u kojoj se nalazi stalna poslovna jedinica ili stalno sjedište.

7. Ako je, zbog posebnog odnosa između isplatitelja i stvarnog korisnika ili između njih oboje i neke druge osobe, iznos kamata, uzimajući u obzir potraživanje za koje se one plaćaju, veći od iznosa koji bi bio ugovoren između isplatitelja i stvarnog korisnika da nema takva odnosa, odredbe ovog članka primjenjuju se samo na zadnje spomenuti iznos. U takvu se slučaju više plaćeni iznos oporezuje prema zakonima svake države ugovornice, uzimajući u obzir druge odredbe ovog Ugovora.

Članak 12.

AUTORSKE NAKNADE

1. Autorske naknade nastale u državi ugovornici i isplaćene rezidentu druge države ugovornice mogu se oporezivati u toj drugoj državi.

2. Međutim, takve autorske naknade mogu se također oporezivati u državi ugovornici u kojoj su nastale, i to prema zakonima te države, ali ako je primatelj autorske naknade stvarni korisnik, s time da porez ne smije biti veći od 10% od bruto iznosa autorske naknade.

3. Izraz "autorske naknade", koji se rabi u ovomu članku, označava sva plaćanja primljena kao naknade za korištenje ili za pravo korištenja bilo kojeg autorskog prava na književno, umjetničko ili znanstveno djelo, uključujući kinematografske filmove, patenata, know-how, zaštitnog znaka, nacrta ili modela, plana, tajne formule ili postupka, ili industrijske, trgovačke ili znanstvene opreme ili za obavijesti koje se odnose na industrijsko, trgovačko ili znanstveno iskustvo.

4. Odredbe stavaka l. i 2. ne primjenjuju se ako stvarni korisnik autorske naknade, koja je rezident države ugovornice, posluje u drugoj državi ugovornici u kojoj nastaju autorske naknade putem stalne poslovne jedinice koja se u njoj nalazi ili u toj drugoj državi obavlja samostalni rad iz stalnog sjedišta koje se u njoj nalazi, a prava i vlasništva zbog kojih su plaćena autorska prava stvarno su povezani s takvom stalnom poslovnom jedinicom ili stalnim sjedištem. U tom se slučaju primjenjuju odredbe članka 7. odnosno članka 14. ovisno o slučaju.

5. Smatra se da autorske naknade nastaju u državi ugovornici, kad je isplatitelj Vlada te države ugovornice, njezino lokalno tijelo ili rezident te države ugovornice. Međutim, ako osoba koja plaća autorske naknade, bilo da je rezident države ugovornice ili nije, u državi ugovornici ima stalnu poslovnu jedinicu ili stalno sjedište u svezi s kojim je nastala obveza da plati autorske naknade i takve naknade snosi ta stalna poslovna jedinica ili stalno sjedište, tada se smatra da takve naknade nastaju u državi ugovornici u kojoj se nalazi stalna poslovna jedinica ili stalno sjedište.

6. Ako je, zbog posebnog odnosa između isplatitelja i stvarnog korisnika ili između njih oboje i neke druge osobe, iznos autorskih naknada, uzimajući u obzir korištenje, pravo ili obavijesti za koje su one plaćene, veći od iznosa koji bi bio ugovoren između isplatitelja i stvarnog korisnika da nema takva odnosa, odredbe ovoga članka primjenjuju se samo na potonji iznos. U takvu je slučaju više plaćeni iznos oporeziv prema zakonima svake države ugovornice, uzimajući u obzir druge odredbe ovog Ugovora.

Članak 13.

DOBIT OD OTUĐENJA IMOVINE

1. Dobit koju rezident države ugovornice ostvari od otudenja nekretnina navedenih u članku 6., a koje se nalazi u drugoj državi ugovornici, može se oporezivati u toj drugoj državi.

2. Dobit od otuđenja pokretne imovine koja čini dio poslovne imovine stalne poslovne jedinice koju poduzeće države ugovornice ima u drugoj državi ugovornici ili pokretne imovine koja pripada stalnom sjedištu rezidenta države ugovornice u drugoj državi ugovornici za svrhe obavljanja samostalnog rada, ukIjučujući dobit od otudenja takve stalne poslovne jedinice (same ili zajedno sa cijelim poduzećem) ili takvog stalnog sjedišta, može se oporezivati u toj drugoj državi.

3. Dobit od otudenja brodova ili zrakoplova koji se koriste u međunarodnom prometu, riječnih brodova koji se koriste u prometu na unutarnjim plovnim putovima ili pokretna imovina što služi za korištenje pomorskih brodova, zrakoplova ili riječnih brodova oporezuje se samo u državi ugovornici u kojoj se nalazi sjedište stvarne uprave poduzeća.

4. Dobit od otuđenja dionica kapitala nekog društva, čija se imovina sastoji izravno ili neizravno uglavnom od nekretnina koje se nalaze u državi ugovornici, može se oporezivati u toj državi ugovornici.

5. Dobit od otudenja imovine na koju se ne odnose stavci od 1. do 4. oporezuje se samo u državi ugovornici u kojoj je otuđitelj rezident.

Članak 14.

SAMOSTALNI RAD

1. Dohodak koji ostvari rezident države ugovornice od profesionalnih djelatnosti ili drugih samostalnih djelatnosti oporezuje se samo u toj državi, osim u jednom od sljedećih slučajeva kad se takav dohodak može oporezivati i u drugoj državi ugovornici:

a) ako u drugoj državi ugovornici ima stalno sjedište koje mu redovito stoji na raspolaganju za obavljanje njegovih djelatnosti. U takvu slučaju samo se onaj dio tog dohotka koji se može pripisati tome stalnom sjedištu, može oporezivati u toj drugoj državi ;

b) ako njegov boravak u drugoj državi ugovornici traje duže od razdoblja koje ukupno prelazi 183 dana u kalendarskoj godini o kojoj se radi. U takvu slučaju samo se onaj dio dohotka koji se ostvari od njegovih djelatnosti obavljenih u toj drugoj državi može oporezivati u toj drugoj državi.

2. Izraz "profesionalne djelatnosti" uključuje napose samostalne znanstvene, književne, umjetničke, obrazovne ili nastavne djelatnosti te samostalne djelatnosti liječnika, pravnika, inženjera, ekonomista, arhitekata, zubara i knjigovođa.

Članak 15.

NESAMOSTALNI RAD

1. U skladu s odredbama članka 16., 18. i 19., plaće i slična primanja, koje rezident države ugovornice ostvaruje od nesamostalnog rada, oporezuju se samo u toj državi, osim kada se radi o nesamostalnom radu u drugoj državi ugovornici. Ako se radi o takvom nesamostalnom radu, primanje koje se od toga ostvaruje može se oporezivati u toj drugoj državi:

2. Neovisno 0 odredbama stavka 1., primanje koje rezident države ugovornice ostvaruje od nesamostalnog rada u drugoj državi ugovornici oporezuje se samo u prvospomenutoj državi:

a) ako primatelj boravi u drugoj državi u razdoblju ili razdobljima koja ukupno ne traju duže od 183 dana u dotičnoj kalendarskoj godini, i

b) ako primanje isplati poslodavac koji nije rezident druge države ili se ona isplate u njegovo ime, i

c) ako primanje ne tereti stalnu poslovnu jedinicu ili stalno sjedište koja poslodavac ima u toj drugoj državi.

3. Neovisno o prethodnim odredbama ovoga članka, primanja ostvarena od nesamostalnog rada na brodu ili zrakoplovu ili cestovnim transportnim vozilom što se koriste u međunarodnom prometu ili na riječnom brodu u prometu na unutarnjim plovnim putovima mogu se oporezivati u državi ugovornici u kojoj se nalazi sjedište stvarne uprave poduzeća.

Članak 16.

NAKNADE DIREKTORA

Naknade direktora i druga slična plaćanja što ih ostvari rezident države ugovornice za rad u svojstvu člana upravnog odbora društva koje je rezident druge države ugovornice mogu se oporezivati u toj drugoj državi.

Članak

17. UMJETNICI I ŠPORTAŠI

1. Neovisno O odredbama članaka 14. i 15., dohodak koji ostvari rezident države ugovornice kao izvodač, primjerice kao kazališni, filmski, tadijski ili televizijski umjetnik ili muzičar ili kao športaš od svoje osobne djelatnosti u drugoj državi ugovornici, mogu se oporezivati u toj drugoj državi.

2. Ako dohodak od osobne djelatnosti u svojstvu izvodača ili športaša ne pripada izvodaču ili športašu, već nekoj drugoj osobi, taj se dohodak neovisno 0 odredbama članaka 7., 14. i 15. može oporezivati u državi ugovornici u kojoj izvođač ili športaš obavlja svoju djelatnost.

3. Neovisno 0 odredbama stavaka 1, i 2., dohodak izvodača i športaša koji su rezidenti države ugovornice, što ga ostvare od djelatnosti obavljene u drugoj državi ugovornici, na temelju plana kulture ili športske razmjene između vlada obiju država ugovornica, oslobada se od oporezivanja u toj drugoj državi ugovornici.

Članak 18.

MIROVINE

1. Prema odredbama stavka 2. članka 19., mirovine i druga slična primanja plaćeni rezidentu države ugovornice po osnovi prijašnjeg nesamostalnog rada oporezuju ne samo u toj državi.

2. Neovisno O odredbama stavka 1., mirovine i druga slična plaćanja koja isplati Vlada države ugovornice ili njezino lokalno tijelo u okviru javnog osiguranja koje je dio sustava socijalne skrbi te države ugovornice oporezuju se samo u toj državi.

Članak 19.

DRŽAVNA SLUŽBA

1 a) Primanja, osim mirovine, koje država ugovornica ili njeno lokalno tijelo isplati nekoj fizičkoj osobi za usluge ućinjene toj državi ili njenom lokalnom tijelu oporezuju se samo u toj državi.

b) Takva se primanja, međutim, oporezuju samo u drugoj državi ugovornici ako se te usluge obavljaju u toj državi i ako je fizička osoba rezident te države koji:

(I) je državljanin te države, ili

(II) nije postao rezident te države samo zbog obavljanja tih usluga.

2. a) Mirovine koje plaća država ugovornica ili njeno lokalno tijelo ili što se iz fondova te države ili njezinog lokalnog tijela plaća nekoj fizičkoj osobi za usluge učinjene toj državi ili njenom lokalnom tijelu oporezuju se samo u toj državi.

b) Te mirovine, međutim, oporezuju se samo u drugoj državi ugovornici ako je fizička osoba rezident i državljanin te države.

3. Odredbe članaka 15., 16. i 18. primjenjuju se na primanja i mirovine koje se odnose na usluge pružene u svezi s poslom što ga vodi država ugbvornica ili njezino lokalno tijelo.

Članak 20.

PROFESORI, NASTAVNICI, STUDENTI I PRIPRAVNICI

1. Plaćanja što ih prima profesor ili nastavnik koji je rezident države ugovornice i koji boravi u drugoj državi ugovornici u razdoblju koje nije duže od dvije godine, radi obavljanja znanstvenih studija ili istraživanja ili održavanja predavanja na nekom priznatom sveučilištu, visokoj školi ili drugoj obrazovnoj ustanovi i1i državnoj istraživačkoj ustanovi ili drugoj ustanovi koja se bavi istraživanjem za opće dobro oporezuje se samo u prvospomenutoj državi. Odredbe ovoga članka ne primjenjuju se na dohodak od istraživačkog rada ako takvo istraživanje nije poduzeto u javnom interesu, već prije svega za privatnu korist neke stanovite osobe ili osoba. Povlastice predviđene ovim stavkom neće biti odobrene fizičkoj osobi koja je u razdoblju neposredno prije toga koristila povlastice iz stavaka 2., 3. i 4.

2. Plaćanja koja nisu naknada za osobni rad što ih student ili pripravnik, koji jest ili je neposredno prije posjeta državi ugovornici bio reziđent druge države ugovornice i koji se nalazi u prvospomenutoj državi isključivo zbog svog obrazovanja i usavršavanja, prima za uzdržavanje, obrazovanje ili usavršavanje ne oporezuju se u toj državi, pod uvjetom da takva plaćanja nastaju i da su doznačena iz izvora koji se nalaze izvan te države.

3. Plaćanja koja nisu naknade za osobni rad što ih osoba koja jest ili je neposredno prije posjeta državi ugovornici bila rezident druge države ugovornice prima kao dar, pripomoć ili nagradu od nepro6tne vjerske, dobrotvorne, znanstvene, književne ili obrazovne privatne organizacije ili slične javne institucije ne oporezuje se u prvospomenutoj državi.

4. Student ili pripravnik, u smislu stavka 2., ili primatelj dara, pripomoći ili nagrade, u smislu stavka 3., koji boravi u državi ugovornici u razdoblju koje ne prelazi 4 godine ne oporezuje se u toj državi na dohodak od nesamostalnog rada pod uvjetom da obavlja takav rad kako bi ostvario dopunska sredstva za uzdržavanje, obrazovanje ili usavršavanje.

5. Rezident jedne od država ugovornica, koji je namještenik nekoga državnog poduzeća ili neke organizacije ili institucije opisanim u stavku 3., a koji privremeno boravi u drugoj državi ugovornici u razdoblju što ne prelazi jednu godinu, isključivo zbog stjecanja tehničkog, stručnog ili poslovnog iskustva kod osobe koja nije takvo poduzeće, organizacija ili institucija, izuzima se od oporezivanja u toj drugoj državi na naknade primljene izvan te druge države za djelatnosti, bez obzira gdje su obavljene, što ih plaća takvo poduzeće, organizacija ili institucija.

Članak 21.

OSTALI DOHODAK

1. Dijelovi dohotka rezidenta države ugovornice, bez obzira gdje su nastali, koji nisu navedeni u prethodnim člancima ovog Ugovora, oporezuju se samo u toj državi.

2. Odredbe stavka 1. ne primjenjuju se na dohodak, drukčiji od dohotka od nekretnina definiran u stavku 2. članka 6. ako primatelj takvoga dohotka, koji je rezident države ugovornice, posluje u drugoj državi ugovornici putem stalne poslovne jedinice koja se u njoj nalazi ili u toj drugoj državi obavlja samostalnu djelatnost iz stalnog sjedišta koje se u njoj nalazi, a pravo ili

imovina zbog kojih se dohotak plaća stvarno su povezani s takvom stalnom poslovnom jedinicom ili stalnim sjedištem. U takvu slučaju primjenjivat će se odredbe članka 7. ili članka 14. ovisno o slučaju.

Članak 22.

IMOVINA

1. Imovina koja se sastoji od nekretnina, u smislu članka 6., koju posjeduje rezident države ugovornice, a nalazi se u drugoj državi ugovornici, može se oporezivati u toj drugoj državi.

2. lmovina koja se sastoji od pokretnina koje čine dio poslovne imovine stalne poslovne jedinice koju poduzeće jedne države ugovornice ima u drugoj državi ugovornici ili pokretnina koje pripadaju stalnom sjedištu što stoji na raspolaganju rezidentu države ugovornice radi obavljanja samostalnog rada u drugoj državi ugovornici, može se oporezivati u toj drugoj državi.

3. Brodovi, zrakoplovi i cestovna transportna vozila koji .se koriste u međunarodnom prometu i riječni brodovi koji se koriste u prometu na unutarnjim plovnim putovima te pokretnine što služe za korištenje pomorskih i riječnih brodova, zrakoplova i cestovnih transportnih vozila oporezuju se samo u državi ugovornici u kojoj se nalazi sjedište stvarne uprave poduzeća.

4. Svi drugi sastavni dijelovi imovine rezidenta države ugo.ornice oporezuju se samo u toj državi.

Članak 23.

IZBJEGAVANJE DVOSTRUKOG OPOREZIVANJA

1. Ako se radi o rezidentu Republike Hrvatske, dvostruko oporezivanje izbjegavat će se kako slijedi u nastavku:

Kad rezident Republike Hrvatske stječe dohodak i posjeduje imovinu koji se, u skladu s odredbama ovog Ugovora, mogu oporezivati u ..., Republika Hrvatska odobrit će:

a) kao odbitak od poreza na dohodak tog rezidenta iznos koji je jednak porezu na dohodak plaćenom u ...;

b) kao odbitak od poreza na imovinu tog rezidenta iznos koji je jednak porezu na imovinu plaćenom u Republici Poljskoj.

Takav odbitak u oba slučaja, međutim, ne smije biti veći od onoga dijela poreza na dohodak ili na imovinu koji je utvrden prije odbitka, a koji se može, ovisno o slučaju, pripisati dohotku ili imovini koji su oporezivi u Republici Poljskoj.

2. Ako se radi o rezidentu Poljske, dvostruko oporezivanje izbjegavat će se kako slijedi u nastavku:

a) Kad rezident Poljske siječe dohodak i posjeduje imovinu koji se, u skladu s odredbama ovog Ugovora, mogu oporezivati u Republici Hrvatskoj, Poljska će, u skladu s odredbama podstavka b), izuzimati takav dohodak ili imovinu od poreza. Poljska može, pri obračunu iznosa poreza na preostali dohodak ili imovinu takvoga rezidenta, koristiti poreznu stopu koja bi se koristila da izuzeti dohodak nije bio tako izuzet.

b) Kad rezident Poljske stječe dohodak koji se, u skladu s odredbama članaka 10., 11. i 12., mogu oporezivati u Republici Hrvatskoj, Poljska odobrit će kao odbitak od poreza na dohodak tog rezidenta iznos koji je jednak porezu na dohodak plaćenom u Republici Hrvatskoj. Takav odbitak, međutim, ne smije biti veći od onoga dijela poreza na dohodak koji je utvrden prije odbitka, a koji se može pripisati takvim djelovima dohotka koji je stečen u Republici Hrvatskoj.

3. Kad se u skladu s bilo kojom odredbom ovog Ugovora, dohodak koji stekne ili imovina što je posjeduje rezident države ugovornice izuzimaju od poreza u toj državi, ta država svejedno može, pri obračunu iznosa poreza na preostali dohodak ili imovinu takvoga rezidenta, uzeti u obračun izuzeti dohodak ili imovinu.

Članak 24.

JEDNAKI POSTUPAK

1. Državljani države ugovornice u drugoj državi ugovornici ne podliježu nikakvu oporezivanju ili s tim povezanim obvezama koje su drukčije ili predstavljaju veći teret od oporezivanja i s time povezanim obvezama kojima podliježu ili mogu podlijegati državljani druge države u istim okolnostima, napose s obzirom na boravište. Neovisno 0 odredbama članka I., ova se odredba primjenjuje i na osobe koje nisu rezidenti jedne ili obiju država ugovornica.

2. Stalna poslovna jedinica, koju poduzeće države ugovornice ima u drugoj državi ugovornici, ne smije biti u toj drugoj državi oporezivana nepovoljnije nego što se oporezuju poduzeća te druge države koja obavljaju iste djelatnosti.

Ova se odredba ne može tumačiti tako da obvezuje državu ugovornicu da rezidentima druge države ugovornice, zbog gradanskog statusa ili obiteljskih obveza, odobrava osobne odbitke, olakšice i sniženja pri oporezivanju koje odobrava vlastitim rezidentima.

3. Osim kad se primjenjuju odredbe stavka 1. članka 9., stavka 7. članka 11. ili stavka 6. članka 12., kamate, autorske naknade i druge isplate koje poduzeće države ugovornice plaća rezidentu druge države ugovornice, u svrhe utvrđivanja oporezive dobiti takva poduzeća, odbijaju se pod istim uvjetima kao da su bile plaćene rezidentu prvospomenute države. Na sličan način, svaki dug poduzeća države ugovornice prema rezidentu druge države ugovornice, u svrhe utvrđivanja oporezivog kapitala takva poduzeća, odbija se pod istim uvjetima kao da je bio ugovoren s rezidentom prvospomenute države.

4. Poduzeća države ugovornice, čija je imovina u cijelosti ili djelomično u vlasništvu ili pod izravnom ili neizravnom kontrolom jednog ili više rezidenata druge države ugovornice, u prvospomenutoj državi ne podliježu nikakvu oporezivanju ili s tim povezanim obvezama koje su drukčije ili predstavljaju veći teret od oporezivanja i s time povezanim obvezama kojima podliježu ili mogu podlijegati slična poduzeća prvospomenute države.

5. Odredbe ovoga članka vrijede, neovisno o članku 2., za poreze bilo koje vrste i naziva.

Članak 25.

POSTUPAK ZAJEDNIČKOG DOGOVARANJA

1. Ako jedna osoba drži da postupci jedne ili obiju država ugovornica kao posljedicu imaju ili će imati oporezivanje koje nije u skladu s odredbama ovog Ugovora, ona može, neovisno 0 pravnome lijeku predviđenom u domaćem zakonodavstvu tih država, podnijeti zahtjev nadležnom tijelu države ugovornice čiji je rezident ili, ako je njezin slučaj obuhvaćen stavkom 1. članka 24., tijelu države ugovornice čiji je državljanin. Slučaj se mora prijaviti u roku od tri godine od prve obavijesti o postupku koji je doveo do oporezivanja koje nije u skladu s odredbama ovog Ugovora.

2. Ako nadležno tijelo bude držalo da je prigovor opravdan i ako ga samostalno ne bude moglo riješiti na zadovoljavajući način, nastojat će to učiniti u dogovoru s nadležnim tijelom druge države ugovornice, radi izbjegavanja oporezivanja koje nije u skladu s ovim Ugovorom. Postignuti dogovor provest će se u domaćem zakonodavstvu država ugovornica, bez obzira na vremenska ograničenja.

3. Nadležna tijela država ugovornica nastojat će zajedničkim dogovorom riješiti sve teškoće ili dvojbe koje se pojave pri tumačenju ili primjeni ovog Ugovora. Ta se tijela mogu dogovarati i o uklanjanju dvostrukog oporezivanja u slučajevima koji nisu predviđeni ovim Ugovorom.

4. Nadležna tijela država ugovornica mogu izravno međusobno izmjenjivati mišljenja radi postizanja dogovora u smislu prethodnih stavaka. Ako radi postizanja dogovora treba obaviti usmenu razmjenu mišljenja, to se može učiniti putem komisije sastavljene od zastupnika nadležnih tjela država ugovornica.

Članak 26.

RAZMJENA OBAVIJESTI

1. Nadležna tijela država ugovornica razmjenjuju obavijesti patrebne za provedbu odredaba ovog Ugovora ili domaćih zakona država ugovornica, koji se odnose na poreze obuhvaćene ovim Ugovorom ako je oporezivanje, prema tim zakonima, u skladu s ovim Ugovorom. Razmjena obavijesti nije ograničena člankom l. Svaka obavijesti koju primi država ugovornica smatrat će se tajnom kao i obavijesti dobivene prema domaćim zakonima te države tu se mogu priopćiti samo osobama ili tijelima (uključujući sudove i upravna tijela) koje se bave odredivanjem ili ubiranjem, izvršenjem ili gonjenjem ili rješavanjem žalbi glede poreza obuhvaćenih ovim Ugovorom. Spomenute osobe ili tijela koristit će se ovim obavijestima samo u navedene svrhe. One mogu otkrivati takve obavijesti u javnom sudskom postupku ili u sudskoj odluci.

2. Odredbe stavka 1. ne mogu se ni u kojem slučaju tumačiti kao da državi ugovornici nameću obvezu da:

a) poduzima upravne mjere suprotne zakonima ili upravnoj praksi te ili druge države ugovornice;

b) daje obavijesti koje se ne mogu dobiti prema zakonima ili uobičajenom upravnom postupku te ili druge države ugovornice;

c) daje obavijesti koje bi otkrile neku trgovačku, poslovnu, industrijsku, komercijalnu ili profesionalnu tajnu ili trgovački postupak ili obavijest čije bi priopćenje bilo suprotno javnom poretku.

Članak 27.

DIPLOMATSKO I KONZULARNO OSOBLJE

Odredbe ovog Ugovora ne utječu na porezne povlastice diplomatskih ili konzularnih predstavnika predviđenih općim

pravilima međunarodnog prava ili odredbama posebnih ugovora.

Članak 28.

STUPANJE NA SNAGU

Ovaj Ugovor stupa na snagu 30. dana od dana razmjene diplomatskih nota koje ukazuju na završetak unutarnjih pravnih postupaka nužnih u svakoj zemlji za stupanje na snagu ovog Ugovora. Ovaj Ugovor primjenjivat će se na dohodak stečert i imovinu posjedovanu tijekom poreznih godina koje počinju na ili nakon l. siječnja kalendarske godine koja slijedi iza godine u kojoj ovaj Ugovor stupa na snagu.

Članak 29.

PRESTANAK PRIMJENE

Ovaj Ugovor ostaje na snazi neograničeno vrijeme, ali svaka država ugovornica može 30. lipnja ili prije 30. lipnja svake kalendarske godine nakon isteka razdoblja od pet godina od dana njegova stupanja na snagu, diplomatskim putem dostaviti drugoj državi ugovornici pismenu obavijest o prestanku primjene Ugovora. U tom slučaju ovaj Ugovor neće se primjenjivati na dohodak stečen i imovinu posjedovanu za vrijeme poreznih godina na ili nakon 1. siječnja kalendarske godine što slijedi godinu u kojoj je dana obavijest o prestanku primjene.

Sastavljeno u __ dvije kopije,__, 199__ ., i to na hrvatskom; poljskom i engleskom jeziku; pri čemu su svi tekstovi jednako vjerodostojni.

U slučaju neslaganja u tumačenju hrvatskog i poljskog teksta, mjerodavan je tekst na engleskom jeziku.

Članak 3.

Za provedbu ovoga Zakona je nadležno Ministarstvo financija Republike Hrvatske.

Članak 4.

Ovaj Zakon stupa na snagu danom objave u "Narodnim novinama - Međunarodni ugovor".
