SPORAZUM


O OSNIVANJU INTER-AMERIČKE BANKE
ZA RAZVOJ

Zemlje u čije ime je potpisan ovaj Sporazum složile su se da osnuju InterAmeričku Banku za razvoj koja će funkcionirati u skladu s ovim odredbama:

ČLANAK I.

CILJ I FUNKCIJE

Odjeljak 1.

Cilj

Cilj će Banke biti da pridonosi ubrzanju procesa regionlnoga gospodarskog i društvenog razvitka zemalja u razvoju - Članica, kako pojedinaćnoga tako i zajedničkog razvitka.

Odjeljak 2.

Funkcije

(a) Da bi ostvarila svoj cilj, Banka će:

(i) unapređivati investiranje javnoga i privatnog kapitala u svrhe razvitka;

(ii) upotrijebit će svoj vlastiti kapital, financijska sredstva koja bude mobilizirala na financijškim tržištima, te ostala sredstva za financiranje razvitka zemalja Članica, dajući prioritet onim zajmovima i garancijama koji će najuspješnije pridonijeti njihovom gospodarskomu rastu;

(iii) stimulirati privatno investiranje, uz prihvatljive uvjete i rokove, u projekte, poduzeća i aktivnosti koje pridonose privrednomu razvitku, te dopunjavati privatno investiranje kada.privatnoga kapitala ne bude na raspolaganju;

(iv) surađivati sa zemljama Članicama u usmjeravanju njihovih razvojnih politika prema boljoj uporabi njihovih sredstava, na način, te sukladno ciljevima, što veće komplementarnosti i razvitka njihove vanjske trgovine i

(v) pružati tehničku pomoć u pripremanju, financiranju i provedbi razvojnih planova i projekata, uključujući proućavanje prioritetnih i formuliranje specifićnih projektnih prijedloga.

(b) U obavljanju svojih funkcija Banka će surađivati s nacionalnim i međunarodnim ustanovama i s privatnim izvorima koji daju kapital za ulaganje, koliko god to bude moguće.

Članak II.

ČLANSTVO U BANCI I KAPITAL BANKE

Odjeljak I.

Članstvo

(a) Prvotni Članovi Banke bit će oni Članovi Organizacije Američkih Država koji do roka navedenoga u Članku XI. Odjeljku I(a) budu prihvatili Članstvo u Banci.

(b) Pristup u Članstvo bit će omogućen i ostalim Članovima Organizacije Američkih Država u Kanadi, Bahamskim otocima i Gvajani, i to u vrijeme i uz uvjete koje Banka odredi.

Neregionalne zemlje, koje su Članice Međunarodnoga monetarnog fonda, a i švicarska, također mogu biti primljene u Članstvo Banke, i to u vrijeme i na osnovi općih pravila koja će odrediti Odbor guvernera. Ta se opća pravila mogu mijenjati samo dvotrećinskom većinom ukupnog broja guvernera, uključujući dvije trećine guvernera izvanregionalnih Članova koji predstavljaju najmanje tri četvrtine ukupne glasačke moći zemalja Članica.

Odjeljak lA.

Kategorije sredstava

Sredstva Banke sastojat će se od redovitog kapitala spomenutoga u ovomu Članku te od sredstava Fonda za specijalne operacije, ustanovljena Člankom IV. (u nastavku teksta Fond).

Odjeljak 2.

Odobreni redoviti kapital

(a) Odobreni redoviti dionički kapital Banke prvotno će iznositi osam stotina pedeset milijuna dolara (850,000.000 US dolara), izraženo u US dolarima težine i finoće koje vrijede na dat i. siječnja 1959, a bit će podijeljen u 85.000 dionica paritetne vrijednosti, od kojih će svaka iznositi 10.000 US dolara, koje će Članicama stajati na raspolaganju za upisivanje u skladu s odredbom Odjeljka 3. ovoga Članka.

(b) Odobreni redoviti dionički kapital bit će podijeljen na uplaćene dionice i na dionice koje će biti uplaćene kad se to od dioničara bude zahtijevalo (tzv. “dionice po pozivu”). Protuvrijednost od četiri stotine milijuna dolara (400,000.000 US dolara) bit će uplaćena, dok će četiri stotine pedeset milijuna.dolara (450,000.000 US dolara) biti plaćeno onda kada to bude zahtijevano, i to za svrhe koje su potanje određene u Odjeljku 4(a) (ii) ovoga Članka.

(c) Redoviti dionički kapital o kojemu je bilo riječi u stavku (a) ovoga Odjeljka bit će povećan za daljnjih pet stotina milijuna dolara (500,000.000 US dolara) izraženo u US dolarima težine i finoće koje vrijede na dan 1. siječnja 1979. godine; pod uvjetom:

(i) da je istekao rok za plaćanje svih uplata, ustanovljen prema odjeljku 4. ovoga Članka i

(ii) da je redoviti ili izvanredni sastanak Odbora guvernera održan po mogućnosti poslije roka u kojemu je bilo riječi o podstavku (i) ovoga stavka, odobrio spomehuto povećanje od pet stotina milijuna dolara (500,000.000 US dolara) i to tročetvrtinskom većinom ukupne glasačke moći zemalja Članica.

(d) Povećanje dioničkog kapitala na osnovi prethodnog stavka bit će u obliku kapitala koji bi bio uplaćen kad se to bude zahtijevalo.

(e) Bez obzira na odredbe stavaka (c) i (d) ovoga odjeljka, a u skladu s odredbama Članka VIII, Odjeljka 4(b), odobreni redoviti dionički kapital može biti povećan kad Odbor guvernera bude smatrao da je to korisno, i to na način s kojim se složi tročetvrtinska većina od ukupne glasačke moći zemalja Članica, uključujući i dvotrečinsku većinu guvernera regionalnih Članica.

Odjeljak 3.

Upis dionica

(a) Svaka će Članica upisivati dionice redovitoga dioničkoga kapitala Banke. Broj dionica za upis od prvotnih Članica odgovarat će broju spomenutome u dodatku A ovoga Sporazuma, kojim se potanje određuju obveze svake Članice kako što se tiče uplaćenog kapitala, tako i onog koji se uplaćuje na zahtjev. Broj dionica koje treba da upišu druge Članice odredit će Banka.

(b) Ako dođe do povećanja redovitoga kapitala prema Odjeljku 2. stavku (c) ili (e) ovoga Članka, svaka će Članica imati pravo upisati onoliki udio u tome povećanju kapitala koji odgovara udjelu do tada upisanog kapitala u ukupnom dioničkom kapitalu Banke, pod uvjetima koje odredi Banka. Međutim, niti jedna Članica neće biti obvezna sudjelovati u upisu bilo kojeg dijela takvoga povećanog kapitala.

(c) Dionice redovitoga dioničkog kapitala izvorno upisanog'od prvotnih Članica bit će emitirane al pari (po nominalnoj vrijednosti), Druge ce dionice biti emitirane al pari, osim u posebnim slućajevima kad Banka odluči da ih emitira pod drugim uvjetima. ' .

(d) Obveza zemalja Članica glede dionica xedovitoga kapitala bit će ograničena na neuplaćeni dio njihove emisijske cijene.

(e) Dionice redovitoga dioničkog kapitala ne 'smiju biti izlagane ili' opterećivane na bilo koji način, a moći će se prenositi samo na Banke.

(f) Svaka Članica koja ima pravo sudjelovanja u .upisu interregionalnog dioničkog kapitala Banke; premastavku .

(b) ovoga Odjeljka moći će odreći se taga prava i umjesto njega upisati ekvivalentnu svotu redovitoga dioičkog kapitala. :

Odjeljak 4.

Plaćanje upisa

(a) Upis u redoviti dionićki kapital Banke, kako je to izloženo u dodatku A, plaćat će se'kako slijedi u nastavku:

(i) Plaćanje svote upisane od svake zemlje u uplaceni dionićki kapital-Banke bit će obavljeno u tri obroka, tako da će prvi obrok iznositi 20 posto, a drugi i treći po 4o posto od ukupne svote. Svaka će zemlja prvi obrok uplatiti u vrijeme ka,d ovaj Sporazum bude potpisan ili kasnije, kad instrumenti o prihvaćanju ili ratifikaciji budu deponirani u njezino ime, u skladu sa Člankom XX Odjeljka l. a najkasnije do 30. rujna 1980. Preostala elva obroka bit će upiaćeria u rokovima kaje odredi Banka; ali ne prije 30; rujna 1981: godine za drugi obrok, te ne prije 30. rujna 1982. godine za treči:

Od svakoga od tih obroka 50% bit će uplaćeno u zlatu,odnosno dolarima, a SO posto u valuti zemlje Članice.

(ii) Dio upisa koji se po ošnovi redavitoga dioničkog kapitala'Banke uplaćuje na zahtjev bit će predmet takva zahtjeva samo kad je to potrebno da bi se podmirileobveze Banke koje Proistječu iz Članka III. odjeljka 4(ii) i (iii) u svezi s uzimanjem finaneijskih sredstava u zajam radi njihova unošenja u bankovna sredstva redovitoga kapitala ili u svezi s garancijama koje se plaćaju na ta sredstva: U slučaju takva zahtjeva, plaćanje može biti obavljeno prema zemlji zemlje Članice ili u zlatu ili u SAD dolarima ili u valuti koja je potrebna da bi se podmirile obveze Banke u`svezi s namjenom na osnovi koje je i postavljen zahtjev za plaćatlje.

Zahtjevi glede neuplaćenihupisa bit be u jednakim postocima, po svim dionicaina.

(b)Svako plačanje koje obavi neki Član u svojoj vlastitoj vaIuti, prema stavku (a) (i) ovoga Odjeljka, bit će u onoj soti koja je; po mišljenju Banke, ekvivalentna punoj vrijednosti; izraženoj u SAD dolarima tečajne i finoće koje vrijede na dan 1. siječnja 1959. godine i to onog dijela upisa koji se uplaćuje: Početno plaćanje bit će u onoj svoti koju zemlja Članica smatra za tu svrhu pogodbom i grilagodeno tako da bude ostvareno u roku 60 dana od dana kad je plaćanje dospjelo, tj. kad Banka bude odlučila da je to potrebno i kad to plaćanje predstavIja potpunu dolarsku protuvrijednost, kako je predviđeno ovim stavkom.,

(c) , Ako Odbor guvernera tročetvrtinskom većinom ukupne glasčke moći zemalja Članica ne određi drugačije, obveza Članice, što se tiče plaćanja drugoga i trećeg obroka uplaćenog dijela njihova upisa u kapitalu; bit će uvjetovana plaćanjem barem 90% ukupnih obveza Članica dosPle u svezi s:

(i) prvim i drugim obrokom, već prema tom o kojem je obroku .riječ, uplaćenog dijela upisa i

(ii) početnim plaćanjem i sa svim prethodnim pozivima na upis kvota u korist Fonda. ,

Odjeljak 5. Iiedovita sredstva kapitala

Kako je upotrebljen u ovom Sporazumu, termin “redovita sredstva kapitala” Banke podrazumijevaju:

(i) odobreni redoviti kapital, uključujući upla,ćene dionice i one uplative na zahtjev, koji je upisan prema odjeljcima 2. i 3. ovoga Članka;

(ii) sva financijska sredstva mobilizirana uzimanjem na zajam prema oslatenju iz Članka VII. Odjeljka i(i), na koja se može primijeniti angažiranje spomenuto u Odjeljku 4(a) (ii) ovoga Članka;;

(iii) sva financijska sredstva koja su primljena po osnovi otplate zajmova odobrenili iz sredstava o kojima je riječ pod (i) i (ii) ovoga Odjeljka;

(iv) sav prihod ostvaren iz zajmova danih iz navedenih financijskih sredstava ili iz garancija na koje se angažiranost, izložena u'odjeljku 4(a) (ii) ovoga Članka, može primijeniti i

(v) svaki drugi prihod ostvaren iz bilo kojih spomenutih sredstava.

Članak III.

POSLOVANJE

Odjeljak 1.

Uporaba sredstava

Sredstva i pogodnosti Banke bit će upotrebljeni isključivo z oštyarenje ciljeva i funkcija iz Članka I. ovoga Sporazuma, te za financiranje razvitka bilo koje Članice “Karibske razvojne banke”, i to osiguranjem zajmova ili tehničke pomoći.

Odjeljak 2.

Kategorije posiovanja

(a) Poslovanje banke dijeli se na redovito poslovanje i na specijalno poslovanje:

(b) Redovito posloyanjaje ono financirano iz sredstava redovitoga kapitala Banke (definiranog u Članku II. Odjeljak 5.), a koje se isključivo odnosi na: zajmove koje odobrava Banka, zajmove u kojima Banka sudjeluje i na garanćije koje ona odobrava u svezi sa zajmovima što se otplaćuju jedino u valuti ili valutama u kojoj su zajmovi i dani. Takvo će se poslovanjš obavljati uz rokove i'uvjete koje Banka smatra- za shodnimi sukladno odredbama ovoga Sporazu

c) Specijaino je poslovanje ono koje se financira iz sredstava .Fonda; u skladu s odredbama čtanka IV. Odjeljak 3. Osnovno načelo odvajanja

(a,) Sredstva redovitoga kapitala, kako su definirana u elanku II: Odjeljka 5: i sre,dstva Fonda; ka,ko su definirana u 'Članku IV. Odjeljka 3(h); bit će u svako vrijeme i u svakom pogledu držana, upotrebljavana, angažirana; investirana ili će se njima na drugi način raspolagati, ali ee biti potpuno oddo:jena jedna od drugih. '

(b) Sredstva redovitoga kapitala neće ni u kojemu slučaju biti 'opterećivana ili upotrebljavana za podmirenje obveza, pasive ili gubitaka proisteklih iz poslpvanja za koja su prvotno bila upotrebljena ili angažirana sredstva Fonda

(c) Financijska stanja Banke iskazivat ee se odvojeno za redovito poslovanje i specijalno poslovanje, a Banka će ustanoviti druga administrativna pravila; eventualno potrebna za osiguranje učinkovitog izdvajanja ovih dvaju kategorija poslovanja.

(d) Izdaci koji se izravno odnose na redovito poslovanje terete sxsdstva .tedoitog kapitala. Izdaci koji se izravno odnose na specijalno: poslovanje terete sredstva Fonda. Ostali izdaci idu na teret onih sredstava koja za to odredi Banka. ;

Odjeljak 4:

Metode odobravanja ili garantiranja zajmova

U skla,di s uvjetima izloženim'u ovome Članku; Banka moe odobravati ili garantirati zajmove svakomu Članu il.i svakoj ageneiji ili njezinoj politički nižoj jedlnici te svakomu: poduzeču na teritoriju zemije č,lanice i Karibskoj razvojnoj banci. na jedan od ovih načina:

(i) odobrayajuči izravne zajmove ili sudjelujući u odobravanju takvih zajmova sredstvima koja odgovaraju neangažirano,me uplačenom redovitomu kapitalu; osim u smislu kko je to predviđeno Odjeljkom 13, ovoga Članka, njegovim rezervama i neraspodijeljenim viškovima, odnosno neangažiranim sredsivima Forda;

(ii) odobravajuči izravne zajmove ili sudjelujuči u odobravanju takvih zajmova, financijskim sredstvima što ih mobilizira šanka na trcištima kapitala ili uzme na zajam ili stekne na bilo koji drui način, s ciljem uključenja u svoja sredstva redovitog kapitala, odnosno u sredstva Fonda;

(iii) garantirajući, i to ardstviTna redovitog kapitala, sredstvima Fonda, u cijelosti ili djelomično zajmove, koje su; asim u speoijalnim slučajevirna; odobrili investitori. Odjeljak 5. Ogranićenje poslovanja

(a) Ukupna svota nevraćenih zajmova i postojećih ga' rancija'što ih je odobrila Banka u svojem redovitom poslovanju nee ni u jednom trenutku biti veća od.ukupne svote veangažiranoga; upisanog redovitog kapitala Banke, plus , neangairane rezerve i čista dobit Banke, uključena u sredstva redovitog kapitala, kako su definirani u Članku II. Odjeljka 5. a isključujući prihod dodijeljen specijalnoj rezervi ustanovljenoj prema odjeIjku 13. ovoga Članka te isključujući drugi prihodsredstava redovitog kapitala koji je Odlukom Odbora Guverner svrstan u rezerve i ne može se upotrijebiti za zajmove ili garancije.

(b) Glede zajmova koji su odobrenii iz financijkih sredstava,što ih je Banka uzela na zajam, a prema kojima vrijede obveze iz Članka II: Odjeljka, 4(a) (ii), ukupna svota nevraćene glavnice duga, a plativa Banci u određenoj valuti; neće ni u jsdnom trenutku biti veća od ukupne svote nevraćene glavnice koju je uzela Banka na zajam radi uključenja u svoja reddvita sredstva kapitala koja su plativa u istoj valuti;.

Odjeljak 6.

Financiranje izravnih zajmova odobravajući izravne zajmoveili sudjelujući u njihovu odobcavanjz; Banka može inancirati, na ove načine:

(a) zajmoprimcu odobravati valute zemalja Članica, isključujuci valute one Članice na čijemu teritorijia projekt treba da bude izveden, koje šu potrebne .da bi se podmirili devizni trpškovi projekta;

(b) odobravati-finanaijska sredstva koja su potrebna da bi se podmirili izdaci u vezi s namjenom zajma na teritoriju Članice na kojem pr4jekt treba da bude izveden. Samo u posebriim slučajevima, a napose kad projekt neizravno utječe na povećanje zahtjeva za deviza,ma u toj zemlji, financijska sredstva što ih Banka odobrava za pokriće lokalnih izlataka bit će osiguraba u zlatu ili u valutama, osim u valuti svake Članice. Ua takvim slučajevima, iznos financijskih sredstava što ih Banka odobri za, tu svrhu neće premašiti razumni dio lokalnih izdataka zajmoprimca.

Odjeljak 7.

Pravila i uvjeti za odobravanje ili 'garartiranje zajmova,

(a) Banka može odobravati ili garantirati zajmove u skladu s ovim pravilima i uvjetima:

(i) da tražitelj zajma podnese detaljan prijedlog, te da ga stručnjaci Hanke; nakon analize njegove dobiti, pđdrže u svome pisanom izvještaju. U posebnim slueajevima, Odbor izvršnih direktora može većinom ukupne glasačke moći zemalja Članica, i ako nema spoenutog izvještaja stručnjaka Banke, tražiti da prijedlog bude podnesen Odboru da bi on o njemu donio odluku; ;

(ii) da pri razmatranju zahtjeva za zajam ili garanciju Banka vodi računa o mogućnosti zajmoprimca da dobije zajm iz privatnih izvora financiranja pod uvjetima koji šu; po mišljenju Banke, prihvatljivi za zajmoprimca; imajući na umu i sve relevantne čimbenike;

(iii) đa pri odobravanju zajma, odnosno pri garantiranju zajma, Banka u odgovarajućoj mjeri razmotri izglede da će zajmoprimac i njegov garant, ako takvog ima, biti u stanju da podmire svoje obveze iz Ugovora' o zajmu;

(iv) da po mišljenju Banke kamatna stopa.druge obveze i plan otplate glavnice takvi da odgovaraju projektu o kojemu je riječ;

(v) da gaxantiranjem zajma koji odobre drugi investitori Banka dobiva odgovarajuću naknadu za rizik koji preuzima i

(vi) da zajmovi koje odobrava Banka, odnosno za koje Banka izdaje garanciju uglavnom služe za financiranje specifičnih projekata, uključujuči i one koji ćine sastavni dio nacionalnoga ili regionalnog razvojnog programa. Banka, me8utim, može odobravati globalne zajmove odnosno izdavati garancije za takve zajmove, i to ustanovama za. razvoj ili sličnim agencijama zemalja Članica, kako bi one mogle olakšati financiranje specifičnih razvojnih projekata čije pojedinačne financijske potrebe, po mišljenju Banke, nisu dovoljno velike da bi opravdale izravan nadzor Banke.

(b) Banka neće financirati ni jedan pothvat na teritoriju neke zemlje Članice' ako se ta Članica protivi takovu financiranju. r

Odjeljak 8.

Opcijski uvjeti za odobravanje zajmova odnosno za garantiranje zajmova

(a) U slučaju odobravanja zajmova ili garantiianja zajmova nevladinim tijelima, ili nekim javnim ustanovama, te sličnim agencijama, Banka može, kad to smatra korisnim, zahtijevati da zemlja elanića na ćijemu teritoriju će se projekt realizirati, :garantirg; otpiatu glavnice, plaćanje kamate i drugih obveza" u vezi sa' zajmom.

(b) Banka moie odobravanje zajmova, ođnosno garan' tiranje zajmova: vezati za neke druge uvjete koje s atra umjesnim, vodeći računa kako o interesima zemalja la;nica koje su izravno angažirane glede-pojedinog'prijedloga zajma ili garancije; tako i o interesima svih zemalja Članića "Banke.

Odjeljak 9.

Uporaba zajmova što ih odobri; odnosno za koje garantira Banka

(a) Pored onoga što je određeno Člankom V. Odjeljka 1; ' anka neće postavljati uvjet da svots, zajma mora biti potrošena na teritoriju bilo koje određene zemlje, pa ni uvjet da takva svota zajma ne smije biti potrošena na teritdriju bilo koje određene zemlje ili zemalja. Međutim, kad je riječ o povećanju sredstava Banke; Odbor guvernera može donijeti odluku o restriktivnoj nabavci zemlje Članice ili onih zemalja, Članica koje sudjeluju u povećanju sredstava Banke u skladu s uvjetima i prilikama koje odredi Odbor guvernera.

(b) Banka će poduzeti potrebne mjere da sredstva zajma koji odobri, zajma za koji izda garanciju ili u čijem je odobravanju ili garantiranju sudjelovala budu uporabljena samo za svrhe za koje je zajam bio odobren, vodeći računa. o ekonomičnosti i djelotvornosti.

Odjeljak 10.

Odredbe o plaćanjima za izravne zajmove

Ugovori o izravnim zajmovima što ih odobri Banka, sukladno Odjeljku 4. ovoga Članka regulirat će:

(a) uvjete i rokove svako zajma, uključujući i odredbe o plaćanju glavnice; kamata i drugih obveza, dospjelim obrocima i datumima plaćanja, te

(b) pitanje valute, odnosno valuta u kojima će biti plaćeno Banci: ,

Odjeljak 11.

Garancije

(a) Izdajući garanciju za neki zajam Banka će naplaćivati provizfju za,garanciju po stopi koju sama odredi, a plativu na iznos nevračenog zajma.

(b) Ugovori o garancijama koje sklapa Banka sadržavat će odredbu da Banka može prekinuti svoju obvezatnost glede kamata ako to ne učine zajmoprimac i garant, ako ih ima, tako da ponudi kupiti obveznice ili druge garantirane obveze po paritetnoj vrijednosti i s kamatama dospjelim s datumom označenim'u ponudi.

(c) Izdajući garanciju, Banka će bitj ovlaštena; odrediti i. druge uvjete i rokove.

Odjeljak 12.

Posebne provizije

Na sve zajmove, udjele i garancije koji su odobreni iz redovitih sredstava Banke ili angažiranjem takvih sredstava, Banka će naplaćivati pošebnu proviziju: Posebna provizija, periodično plativa, bit će obračunata na još nevraćenu svotu svakog zajriia, udjela ili garancije po stopi od jedan posto godišnje, ako Banka dvotrećinskom večinom ukupne glasačke moći zemalja Članica ne odluči sniziti stopu' te provizije.

Odjeljak 13.

Posebna-rezerva

Svota provizija koje Banka realizira, prema Odjeljku 12. ovoga Članka; bit će izdvojena kao pošebna rezerva, radi podmirenja obveza banke prema Članku VII: Odjeljka 3(b) (i). Posebna rezerva držat će se u onom likvidnom obliku, dopuštenom ovim sporazumom, koji prihvati Odbor izvršnih direktora.

Članak IV.

FOND ZA SPECIJALNE OPERACIJE

Odjeljak 1.

Osnivanje, cilj i funkcije

Osniva se Fond za specijalne operacije sa zadatkom da odobrava zajmove pod uvjetima i prema rokovima koji odgovaraju posebnim okolnostima koje nastaju u pojedinim zemljama ili u odnosu prema pojedini projektima.

Ciljevi i funkcije Fonda, čije će administracijske poslove obavljati Banka, izloženi su u Članku I: ovoga Sporazuma Odjeljak 2: Odredbe koje će se primjenjivati na Fond

Fond ćs se držati odredaba ovoga Članka, a i svih ostalih odredaba ovoga Sporazuma, osim onih koje nisu u skladu s odredbama ovoga Članka te onih koje se izričito primjenjuju samo na druge operacije Banke.

Odjeljak 3.

Sredstva

(a) Prvotni Članovi Banke pridonose sredstvima Fonda prema odredbama ovoga Odjeljka.ž

(b) Članov Organizacije američkih država, koji budu pristupili Banci poslije roka koji je potanje određen u Članku XV. Odjeljka 1(a), zatim Kanada, Bahamski Otoci i Gvajana te zemlje koje budu primljene prema Članku II. Odjeljka 1(b), daju doprinos Fondu u kvotama i pod uvjetima koje odredi Banka.

(c) Fond će biti osnovan s početnim sredstvima u svoti od sto pedeset milijuna dolara (150,000.000 US dolara). izraeno u US dolarfma, težine i finoće koje vrijede na dan 1. siječnja 1959. godine, koja će prvotni Članovi Banke pridonijeti prema kvotama specificiranim u dodatku B.

(d) Kvote ce se plaćati ovako:

(i) pedeset posto svoje kvote platit će svaki Član u vrijeme ili nakon potpisivanja ovoga sporazuma i deponiranja . - instrumenata o prihvaćanju ili ratificiranju, sukladno Članku XV. Odjeljka 1, ali najkasnije 30. rujna 1980: godine., (ii) preostalill pedeset posto bit ce uplaćeno u razdoblju, nakon isteka jedne godine od dana kad je Banka počela sa svojim 'poslovanjem; i to u svotama i u vrijeme kako to odredi Banka; međutim, pri čemu će ukupna svota svih kvota biti proglašena dospjelom i plativom na.jkasnije doroka utvrdenog za plaćanje trećeg obroka upisa u uplačeni kapital Banke,

(iii) plaćanja koja še traže prema ovom Odjeljku hit će rasporedena na Članove razmjerno,njihovim kvotama, a obavit će se polovica u : zlatu. odnosno u US dolarima, a druga polo'ica u valuti Člana Banke kol'i pridonosi njezinim sredstvi'ma:

(e) Svako plaćanje od neke Članice dijela kvote koji se uplaćuje u njezinoj vlastitoj valuti, prema prethodnom stavku; bit će u onoj svoti koja je, prema mišljenju Banke, ravna punoj vrijednosti, izraženo u US dolarima, težine i fnoće koje vrijede na dana 1. siječnja 1959. godine. Početno plaćanje bit će u onaj svoti koju Članica smatra odgovarajućožn, aii treba biti prilagođeno da se izvrši u roku 80 da-na od dana kad :je :plaćanje dosjelo; odnosno po odluci Banke: tako bi predstavljalo potpunu dolarsku pratuvrijednost u skladu s .odredbama ovoga stavka. Ako Odbor guvernera tročetvrtinskom većinom ukupne glasačke moći zemalja Članica Banke ne odluči drugačije: obveza Članica da plate Fondu neuplaćeni dio svoga-upisa kvote, koji pcdlijee plaćanju po zahtjevu; bit će uvjetovana plaćanjem 90% ukupnih obveza Članica poosnovi:

(i) početnog plaćanja i svih prijanjih zahtjeva u odnosu prema takvi upisima kvota Fonda 'i

(ii) svih obroka koji su biii dospjeli po osnovi uplaćenog dijela upisa u dionički kapital Banke.

(g) Sredstva Fonda pavećavat ce se dodatnim doprinosima Članica kad Odbor guvernera, na temelju tročetvrtinske većine ukupne glasačke moći zemalja Članica, bude smatrao da je to korisno. Odredbe Članka II. Odjeljka 3(b) primjsnjivat će se na takva povećanja, izra,ena odnosom između kvote koja vrijedi za svaku Članicu:i ukupne svote sredstava Fonda,koju su pridonijele Članice. Nijedna Članica, međutim, neće biti obvezana sudjelovati u takvu povećanju bilo kojim- udijelom

 (h) Kako je uporabljen u ovomu Sporazumu, izraz “sredstva Fonda” smatrat će se da uključuju:

(i). doprinose Članica pema stavcima (c) i (g) ovoga Odjeljka,

(ii) sva financijska sredstva mobilizirana uzimanjem na zajam, na koja se ne primjenjuju angažmani predviđeni u Članku II. Odjeljka 4(a) (ii): tj. ona za koje se posebno odobravaju sredstva Fonda, '

(iii) sva financijska sredstva koja su primljena po osnovi vraćanja zajmova odobrenih iz navedenih sredsta(iv) sav prihod ostvaren poslovanjem u kojemu su uporabljena ili angažirana neka od navedenih sredstava i (v) bilo koja druga sredstva kojima raspolaže Fond. Odjeljak 4: Poslovanje .

(a) Poslovanje Fonda bit će ono poslovanje koje finan, cira svojim vlastitim šredstvima, kako su definirana u Odjeljku;3(h) ovoga Članka,.

(b) Zajmovi dani iz sredstava Fonda mogu djelomično :ili u cijelosti biti vraćeni u valuti Članice na ćijemu će teritoriju.projekt koji se ovako financira biti izveden.,Dio zajma koji nije otplativ u valuti Članice bit će plaćen u valuti (ili u valutama) u kojoj je zajam bio dan.

Odjeijak 5.

Ograničenje odgovornosti .

U poslovanju Fonda; financxjska odgovornost Banke bit će ,ograničena na sredstva i rezerve Fonda, a odgovornost Članica na neplaćeni dio njihovih:odgovarajućih kvota koji je dospio i koji je plativ. Odjeljak 5. Ograničenje što se tiče raspolaganja svotama

Prava Članova Banke koja su oni stekli na temelju svojih doprinosa Fondu ne mogu se prenositi, ni opterećivati, a lanovi neće imati pravo nadoknade takovih doprinosa, osim ako Član izgubi status ili Fond prestane poslovati.

Odjeljak 7.

Ispunjenje obveza fonda u-svezi sa sredstvirna koja je Fond uzeo na zajPlaćanje radi podmirenja obveza u svezi s financijskim sredstvima uzetim na zajam za uključivanje u sredstva Fonda teretit će:

(ij sredstva rezerve ustanovljene u tu svrhu i

(ii) bilo koja druga financijska sredstva što stoje na raspolaganju u okviru ukupnih sredstava Fonda: Odjeljak 8. Upravljanje a Prema odredbama ovoga Sporazuma, rukovodstvo Banke imat će potpuna ovlaštenja da upravlja Fondom.

(b) Jedan potpredsjednik Banke bit će zadužen da rukovodi Fondom. Taj će potpredsjednik; bez prava glasa, sudjelouati na sastancima Odbora izvršnih direktora Banke kad god se razmatraju pitanja koja su u svezi s Fondom.

(c) U oeracijama Fonda Banka će se u najvećoj mogućoj mjeri služiti istim osobljem, stručnjacima, objektima, uredima, opremom i uslugama koja koristi za svoje druge operacije,

(d) Banka; će objavljivati poseban godišnji izvještaj u kojem će biti prikazani rezultati .financijskih operacija Fonda, uključujući i prikaz dobitaka ili gubitaka. Tijekom godišnje skupštine Odbora guvernera održat će se najmanje jedan sastanak posvećen razmatranju toga izvještaja. Pored toga; Banka će Članovima dostavll'ati sažeti tromjesečni prikaz poslovanja Fonda.

Odjeljak 9.

Glasanje

(a) Pri donošenju odluke o operacijama Fonda, svaka će zemIja Članica Banke u Odboru, guvernera imati ona glasačka prava koja su joj dana prema Članku VIII. Odjeljka 4(a) i (c), a sva;ki će direktor u Odboru izvršnih direktora imati ona glasačka prava koja su mu dana'prema Članku 'VIII: odjeljka, 4(a) i (d).

(b) Sve odluke Banke koje se tiču poslovanja Fonda prihvaćat ć'e se dvotrećinskom većinom ukupne`glasačke moći zemalja Članica ako u ovom Članku nije propisao drugačije.

Odjeljak l0.

Raspodjeia čiste dobiti

Odbor guvernera Banke odredit će koji će dio čiste dobiti Fonda; nakon prethodnog donošenja odluke o izdvajanju u rezerve. biti raspodijeljen između Članica. Tu će čistu dobit dijeliti Članice razmjerno svojim'kvotama.

Odjeljak 11.

Povlačenje doprinosa

(a) Nijedna zemlja ne moie povući svoj doprinos ni prekinuti ,svoje odnose s Fondom dokle god je Članica Banke: .

(b) odredbe Članka IX. odjeljka 3.; šta se tiče raščišćavanja računa sa zemljama koje prekinu, svoje Članstvo u Banci; primjenjivat će se i na Fond.

Odjeljak 12. Suspenzija i prestanak operacija Odredbe Članka X. također :će se primjenjivati i na Fond, uz promjenu termina koji će se odnositi na Fond

- (njegova sredstva i vjerovrike), urnjesto terminima koji se , odnose na Banku, njezina kapitalna sredstva i vjerovnike:

Članak V

VALUTE

Odjeljak I.

Uporaba valuta

(a) Valutu bilo koje Članice što je Banka dri liao svoja sredstva redovitog kapitala ili kao sredstva Fonda; bez obzira-na način`stjecanja; može upotrijebiti Banka i svatko tko tu valutu primi od Banke, bez ogranic`enja dotične zemlje Članice, a za plaćanje usluga i robe,proizvedene na teritoriju' te zemlje Članice.

(b) Članovi ne mogu podržavati ili nametati ograničenja bilo koje vrste vez,ana za upotrebu od strane Banke ili plačanja bilo koje zemlje ili bilo kojeg primateIja slijedećih sredsiava:

(i) zlata i dol'ara, primljenih od Banke po osnovi plaćanja od svake Članice 50 postotnog dijela upisa dionice redovitog kapitala Banke i 50 postotnog dijela kvote od svakog Člana, po osnovi doprinosa Fondu, prema odgovarajućirn odredbama Članaka II. i IV.;

(ii) valuta Članica kupljenih sredstvima spomenutim pod. (i) ovoga stavka.

(iii) valuta pribavljenih uzimanjem za-zajam, prema čla,nku VII. Od)eljka 1(i); radi uključenja u sredstva kapitala Banke.

(iv) žlt. iidcYlr, priinljbnih od Banke po osnovi plaćanja glavnice,ariiati đfh obveza po zajmovima danim iz zlatnih i dolarskih sredstava navedenih pod (i) ovoga stavka, valuta primljenih po osnovi zajmova danih iz sredstava valuta navedenih pod (ii) i (iii) ovoga stavka te valuta primljenih po osnovi plaćanja provizija i naknada na sva jarnstva izdana od Banke, te

(v) valuta, osim valute same Članice, primljenih od Banke prema Članku VII. Odjeljka 4(d) i Članku IV: Odjeljka 10 pri raspodjeli čiste dobiti.

(c) Valute Članica koju Banka drži kao svoja sredstva redovitoga kapitala ili kao sredstva Fonda; a koja nisu obuhvaćena stavkom (b) ovoga Odjeljka, također može uporabiti Banka ili bilo tko koji je ta sredstva primio od Banke za plaćanja u bilo kojoj zemlji bez-ograničenja, ako ta Članica ne obavijesti Banku da takova valuta (ili njezin dio), bude restriktivno uporabljena isključivo za namjene navedene u stavku 8a) ovoga Odjeljka.

(d) Članice ne mogu uvoditi nikakova ograničenja na držanje i uporabu od strane Banke za amortizacijska plaćanja, plaćanja prije dospijeća, te za otkup dijela (ili svih) obveza Banke valuta primljenih od Banke na osnovi vraćanja izravnih zajmova danih iz sredstava uzetih na zajam, a uključenih u sredstva redovitog kapitala Banke.

(e) Zlato ili valutu koju Banka drži kao svoja sredstva redovitoga kapitala ili kao sredstva Fonda; Banka neće upotrebljavati za kupnju druge valute ako je za to ne ovlasti dvotrećinska većina ukupne lasačke moći zemalja članica. Svaka valuta koja bude kupljena prema odredbamaovoga stavka neće biti predmet primjene odredaba o odravanju vrijednosti iz odjeljka 3. ovoga Članka.

Odjeljak 2.

Određivanje vrijetlnosti valute

Kad god bude bilo potrebno da se, prema ovome Sporazumu, utvrdi vrijednost bilo koje valute u nekoj drugoj Valuti ili u zlatu, takvo će vrednovanje obaviti Banka nakon prethodnog konzumiranja Međunarodnoga monetarnog fonda

Odjeljak 3.

Održavanje vrijednosti valute koju drii Banka

(a) Kad god se smanji paritet valute neke zemlje Članice kod Međunarodnoga monetarnog fonda ili kad je, prema ocjeni banke, tečaj valute neke zemlje Članice znatno snižen, ta će Članica u razumnom roku doplatiti Banci jednu dostatnu svotu svoje vlastite valute, dovoljnu da odrii vrijednost ukupne valute te Članice koju Banka drii kao svoja sredstva redovitog kapitala i kapitala Fonda, izuzimajući valutu koja potječe iz sredstš,va koja je Banka uzela na zajam. Mjerilo vrijednosti za tu svrhu biti će US dolar težine i finoće koji vrijedi na dan 1. siječnja 1959. godine.

(b) Kad god se paritet valute neke zemlje Članice poveća kod lvledunarodnog monetarnog fonda ili je tečaj valute takve Članice prema ocjeni Banke znatno povišen, Banka će u razumnom roku takvoj Članici vratiti svotu valute te Članice koja je jednaka povećanoj vrijednosti onog iznosa takve valute koju Banka drži kao svoja sr.edstva redovitog kapitala ili kao sredstva Fonda, izuzimajuči valutu koja potječe iz sredstava koja je Banka uzela na zajam. Mjerilo vrijednosti za tu svrhu bit će ono koje je utvrdeno u prethodnomu stavku.

(c) Banka moe odustati od primjene odredaba ovoga odjeljka kad Međunarodni monetarni fond izvrši sukladnu izmjenu pariteta valute svih Članica Banke.

(d) Bez obzira na bilo koju drugu odredbu ovoga odjeljka, uvjeti i rokovi svakoga povećanja sredstava Fonda za specijalne operacije, prema Članku IV. Odjeljka 3(g), mogu sadržavati odredbe o održavanju vrijednosti različite od onih sadržanih u ovome odjeljku, a koje bi se primjenjivale na sredstva Fonda koja su nastala iz toga povećanja.

Odjeljak 4.

Metode štednje valuta

Banka će primati od svih zemalja Članica mjenice ili slične obveznice, izdane od vlade zemlje Članice ili od depozitnog mjesta što ga je odredila ta Članica, umjesto bilo kojega dijela valute Članice koji predstavlja 50 postotni dio njezina upisa odobrenom redovitom kapitalu Banke i 50 postotni dio njezina upisa u sredstva Fonda, koji su, prema odredbama Članka II. i Članka IV., plativi od svake Članice u njezinoj nacionalnoj valuti, pod pretpostavkom da Banci ta valuta nije potrebna za obavljanje njezinih operacija. Takve mjenice ili obveznice bit će neprenosive, neće davati kamate i bit će plative banci na njezin zahtjev, po njihovoj paritetnoj vrijednosti. Pod istim uvjetima Banka će primati od Članice i takove mjenice ili obveznice umjesto bilo kojeg dijela upisa kapitala, uz uvjet da se za upis toga dijela ne traži plaćanje u gotovu.

Članak VI.

TEHNIČKA POMOĆ

Odjeljak 1. Pružanje tehničkih savjeta i pomoći Banka moe, na zahtjev Članice ili Članica, ili privatnih tvrtki koje od nje mogu dobiti zajam pružati tehničku pomoć i savjet iz svog djelokruga aktivnosti, poglavito u svezi s:

(i) pripremama, financiranjem i izvedbom razvojnih planova i projekata, uključujući ocjenu prioriteta i formuliranje kreditnih prijedloga o specifičnim razvojnim projektima pojedinih zemalja ili regije i

(ii) razvojem i obučavanjem na višem stupnju, seminarima i drugim oblicinia nastave što se odnose na osoblje koje se specijalizira za formuliranje i izvedbu planova" i projekata razvoja.

Odjeljak 2.

Ugovori o suradnji u pružanju tehničke pomoći '

Da bi ostvarila ciljeve ovoga Članka, Banka može u svezi s pružanjem tehničke pomoći stupiti u ugovorne odnose s drugim nacionalnim ili međunarodnim ustanovama javnim ili privatnim.

Odjeljak 3.

Izdaci

(a) Banka se može sa zemljama Članicama ili s tvrtkama koje primaju tehničku pomoć dogovoriti o nadoknadi izdataka u svezi s pružanjem takve pomoči, uz uvjete koje Banka smatra adekvatnim.

(b) Izdaci u svezi s pružanjem tehničke pomoći, koji nisu pokriveni plaćanjem od primalaca pomoći, bit će podmireni iz čistog prihoda oštvarenog sredstvima redovitog kapitala ili sredstvima Fonda. Međutim, za prve tri godine rada Banke, do tri posto početnih sredstava Fonda mogu se upotrijebiti za pokriće takovih izdataka.

Članak VII:

RAZNA OVLAŠTENJA I RASPODJELA DOBITI

Odjeljak 1

Razna ovlaštenja Banke

Pored ovlaštenja kđja su već specificirana u ovome Sporazumu, Banka će biti ovlaštena:

(i) uzimati na zajam financijska sredstva i u svezi s time davati takove garancije koje sama odredi, s time da, prije nego što plasira svoje obveznice na tržišta neke zemlje, Banka treba dobiti odobrenje te zemlje i Članice na čiju valutu glase obveze. Pored toga, u slučaju uzimanja na zajam financijskih sredstava s namjerom da ona bude uključena u sredstva svog redovitog kapitala, Banka treba da dobije pristanak tih zemalja da će se sredstva tako uzeta na zajam moći bez ograničenja zamjenjivati za valutu bilo koje druge zemlje;

(ii) kupovati i prodavati vrijednosne papire koje je ona izdala ili za koje je garantirala ili u koje je investirala, pod uvjetom da dobije odobrenje zsmlje na čijem će teritoriju ti vrijednosni papiri biti kupovani ili prodavani;

(iii) investirati, prema odobreriju izraženom dvotrećinskom većinom ukupne glasačke moći zemalja Članica, financljska sredstva koja joj nisu potrebna za njezino poslovanje u vrijednosne papire po samostalnom nahodenju;

(iv) jamčiti za vrijednosne papire u svojemu portfelju, kako bi olakšala njihovu prodaju; ,

(v) koristiti svim ostalim pravima koja bi bila potrebna ili poželjna za unapređenje njezinih ciljeva i funkcija, u skladu s odredbama ovoga Sporazuma.

Odjeljak 2.

Upozorenja koja treba da budu utisnuta na vrijednosnom papiru

Svaki vrijednosni papir, izdan ili garantiran od Banke, imat će na naslovnoj strani jasno uočljivo utisnuto priopćenje da ne predstavlja obvezu niti jedne vlade, osim ako je obveza neke određene vlade, što će na vrijednosnom papiru i biti označeno.

Odjeljak 3.

Metode izvršavanja obveza Banke u slučaju neizvršavanja ugovora

(a) Banka će, u slučaju stvarnog ili konkretnog mogućeg neispunjavanja obveza po zajmovima odobrenim ili garantiranim od Banke pri čemu je upotrijebila sredstva svog redovitog kapitala, poduzeti mjere sukladne izmjenama uvjeta zajma, ne podrazumijevajući pri tome odredbu o valuti u kojoj se sredstva vraćaju.

(b) Plaćanje po osnovi izvršavanja obveza Banke u svezi s uzetim zajmovima ili garancijama, prema Članku III. Odjeljka 4(ii) i (iii), a koja treba da terete sredstva redovitog kapitala, prvo će teretiti:

(i) specijalne rezerve predviđene Člankom III. odjeljka 13,

(ii) drugo, u mjeri u kojoj je to potrebno i po volji Banke, druge rezerve, viškove i financijska sredstva što odgovaraju kapitalu uplaćenome za dionice redovitoga kapitala.

(c) Kada god je potrebno da se izvrše ugovorna plaćanja kamata, drugih obveža ili otplate po sredstvima uzetim na zajam od Banke i plativa iz njezinih sredstava redovitog kapitala, ili da se izvrše obveze Banke što se tiče sličnih plaćanja po zajmovima za koje ona garantira i koje treba da terete sredstva njezina redovitog kapitala, Banka može pozvati Članice da plate odgovarajuću svotu svojeg upisa redovitog kapitala koji se plaća po pozivu za plaćanje, a u skladu sa Člankom II. Odjeljka 4(a) (ii). Pored toga, ako Banka smatra da neispunjavanje obveza može biti dugotrajno, ona može zatražiti plaćanje dodatnog dijela takovih upisa, s tim da ni u jednoj godini takovi dodatni upisi ne prelaze jedan posto ukupnih upisa Članica po sredstvima redovitog kapitala, a za ove svrhe:

(i) da bi prije dospijeća otkupila ili na drugi način ispunila svoju obvezu glede ukupne (ili dijela neotplaćene) glavnice zajma za koji jamči a koji tereti sredstva njezina redovitog kapitala, a prema kojem dužnik ne izvršava svoje obveze i

(ii) da bi otkupila ili na drugi način izvršila svoju obvezu, ukupnih (ili dijela) nenamirenih vlastitih obveza, plativih iz sredstava njezina redovitog kapitala.

Odjeljak 4.

Raspodjela ili prijenos čiste dobiti i viška

(a) Odbor guvernera može periodično odrediti koji će dio čiste dobiti i viška sredstava redovitog kapitala biti raspodijeljen. Takve se raspodjele mogu obavljati samo kad su rezerve dosegle razinu koju Odbor guvernera smatra odgovarajućom.

(b) Kad odobrava stanja računa dobitaka i gubitaka, prema Članku VIII. odjeljka 2(b) (viii), Odbor guvernera može odlukom donesenom dvotrećinskom većinom ukupnog broja guvernera koji predstavljaju najmanje tri četvrtine ukupne glasačke moći zemalja Članica, prenijeti na Fond dio čiste dobiti za dotičnu fiskalnu godinu, ostvaren sredstvima redovitog kapitala. Prije nego što Odbor guvernera odluči da izvrši prijenos na Fond, treba da od Odbora izvršnih direktora primi izvještaj o poželjnosti takva prijenosa. Izvještaj, među ostalim, treba da uzme u obzir: (1) jesu li rezerve dosegle razinu koja je odgovarajuća; (2) jesu li prenesena sredstva potrebna za poslovanje Fonda i (3) djelovanje prijenosa, ako ga ima, na sposobnost Banke da uzima sredstva na zajam.

(c) Raspodjela o kojoj je bilo riječi u stavku (a) ovoga odjeljka bit će obavljena iz sredstava redovitoga kapitala razmjerno broju dionica redovitog kapitala koji irna svaka Članica, te će shodno tome, čista dobit prenesena na Fond prema stavku (b) ovoga odjeljka biti odobrena sukladno kvoti svakog Člana Fonde, u spomenutim razmjerima.

(d) Plaćanja prema stavku (a) ovoga odjeljka bit će obavljena na i u valuti, odnosno valutama, kako to Odbor guvernera odluči. Ako su takva plaćanja zemlje Članice izvršena u drugim valutama, a ne u njezinoj, prijenos takovih valuta i njihova upotreba od zemlje primaoca bit će bez ograničenja od ma koje Članice.

Članak VIII.

ORGANIZACIJA I RUKOVOĐENJE

Odjeljak 1.

Struktura Banke

Banka će imati Odbor guvernera, Odbor izvršnih direktora, predsjednika, izvršnog potpredsjednika, potpredsjednika; potpredsjednika nadležnog za Fond i onoliko funkcionara i stručnog osoblja koliko to Banka smatra potrebnim.

Odjeljak 2.

Odbor guvernera

(a) Sva ovlaštenja Banke bit će dana Odboru guvernera. Svaka zemlja Članica imenuje jednog guvernera i jednog zamjenika, koji će obavljati dužnost pet godina. Njihovo ime povanje može prestati u svako doba ili mogu biti ponovno postavljeni po želji zemlje Članice koja ih imenuje. Nijedan zamjenik ne može glasati, osim u odsutnosti guvernera. Odbor će izabrati jednog od guvernera za predsjedavajućeg, koji će taj položaj zauzimati do idućeg redovitog sastanka Odbora.

(b) Odbor guvernera može na Odbor izvršnih direktora prenositi Sva svoja ovlaštenja, osim ovlaštenja da:

(i) prima nove Članove i odreduje uvjete za njihovo primanje,

(ii) povećava ,ili smanjuje odobreni redoviti kapital te doprinose Fondu,

(iii) bira predsjednika Banke i da odreduje njegovu plaću;

(iv) suspendira zemlju Članicu, prema Članku IX. odjeljka 2,

(v) odreduje plaću izvršnih direktora i njihovih zamjenika, ,

(vi) prima žalbe i odlučuje'o žalbama u predmetu tumačenja ovoga Sporazuma, i tumačenja koja daje Odbor izvršnih direktora,

(vii) ovlašćuje da se sklapaju opći sporazumi o suradnji s drugim međunarodnim organizacijama,

(viii) odobrava, nakon što razmotri izvještaje financijskih kontrola, opće bilance i stanje dobitaka i gubitaka ustanove,

(ix) odlučuje o rezervama i o raspodjeli čiste dobiti sredstava redovitog kapitala i sredstava Fonda,

(x) bira vanjske financijske kontrolore koji ovjeravaju opće bilance i stanja dobitaka i gubitaka ustanova,

(xi) mijenja ovaj Sporazum i

(xii) odlučuje o prestanku rada Banke i o raspodjeli njezinih sredstava.

(c) Odbor guvernera zadržava potpuna ovlaštenja da rješava o svim stvarima prenesenim na Odbor izvršnih direktora prema gornjem stavku (b).

(d) Odbor guvernera u pravilu će održavati jedan sastanak godišnje. Ostali se sastanci mogu održati kad Odbor guvernera tako odluči ili kad ih sazove Odbor izvršnih direktora. Sastanak Odbora guvernera sazivat će Odbor izvršnih direktora kad god to zatraži pet Članica banke ili Članice koje predstavljaju jednu četvrtinu ukupne glasačke moći zemalja Članica.

(e) Kvorum za svaki sastanak Odbora guvernera čini , apsolutna većina ukupnog, broja guvernera, uključujući apsolutnu većinu guvernera regionalnih zemalja Članica, koji predstavljaju najmanje dvije trećine ukupne glasačke moći zemalja Članica.

(f) Odbor guvernera može propisati postupak po kojem pdbor izvršnih direktora, kad smatra da je takva mjera opravdana, može neko specifično pitanje podnijeti na glasanje guvernerima i ne sazivajući sastanak Odbora guvernera.

(g) Odbor guvernera i Odbor izvršnih direktora, u mjeri u kojoj su za to ovlašteni, mogu prihvaćati takova pravila i propise koji mogu biti potrebiti i opravdani, a glede interesa obavljanja poslova Banke:

(h) Guverneri i zamjenici će u tome svojstvu obavljati dužnost bez plaće od Banke, ali im Banka može nadoknaditi opravdane izdatke koje su imali prisustvujući sast,nku Odbora guvernera.

Odjeljak 3.

Odbor izvršnih direktora

(a) Odbor izvršnih direktora bit će nadležan za obavljanje poslovanj8 Banke i u tu svrhu može se koristiti ovlaštenjima koja je na njega prenio Odbor guvernera.

(b) (i) Izvršni direktori bit će osobe priznate stručnosti, s velikim iskustvom u ekonomskim i financijskim stvarima, ali one neće biti guverneri.

 

(ii) Jednog izvršnog direktora postavljat će zemlja Članica koja ima najveći broj dionica Banke, dva izvršna direktora birat će guverneri neregionalnih zemalja Članica, a najmanje osam drugih birat će guverneri preostalog broja zemalja Članica. Broj izvršnih đirektora koji treba da budu izabrani u posljednjoj kategoriji, te postupak u izboru svih direktora koji se biraju bit će utvrden propisima što ih je prihvatio Odbor guverners tročetvrtinskom većinom ukupne glasaoke moći zem,lja Članica. Glede odredaba koje se isključivo odnose na izbor direktora od neregionalnih zemalja Članica, one bi trebale biti prihvaćene dvotrećinskom većinom guvernera neregionalnih Članica, dok se odredbe koje se isključivo odnose na broj i izbor direktora od preostalih zemalja Članica prihvaćaju dvotrećinskom većinom guvernera regionalnih Članova: Za prihvaćanje svake promjene spomenutih propisa zahtijevat će se ista većina glasova.

(iii) Izvršni će direktori biti fmenovani ili birani za razdoblje od tri godine i mogu biti ponovno imenovani ili ponovno birani za iduća razdoblja. .

(c) Svaki izvršni direktor imenovat će jednogzamjeni, ka koji će imati potpuna ovlaštenja da u njegovoj odsutnosti istupa u njegovo ime. Direktori i zamjenici bit će državljani zemalja Članica. Niti jedan od biranih direktora i njihovih zariijenika ne mogu biti istog državljanstva, osim u slućaju zemalja koje nisu zajmoprimci. Zamjenici mogu prisustvovati sastancima, ali mogu glasati samo kada zamjenjuju svoga pretpostavljenoga:

(d) Direktori će i dalje obavljati dužnost do postavljanja, odnosno do izbora, njihovih nasljednikca. Ako mjesto nekog biranog direktora bude prazno više od 180 dana prije kraja njegova mandata, za ostatak mandatnog razdoblja nasljednika će izabrati guverneri koji su birali prijašnjeg direktora. Za izb.or će biti potrebna apsolutna većina danih glasova. Dok je mjesto prazno, zamjenik će imati sva oviaštenja bivšeg direktora, osim ovlaštenja da imenuje zamje

(e) Odbor izvršnih direktora obavljat će svoju funkciju u obliku stalnog zasjedanja u glavnom sjedištu Banke, a sastajat će se onoliko puta koliko to poslovi Banke budu zahtijevali.

(f) Fvorum za svaki sastanak Odbora izvršnih direktora bit će apsolutna većina ukupnog broja direktora, uključujući apsolutnu većinu direktora regionalnih Članova, koji predstavljaju barem dvije trećine ukupne glasačke moći zemalja Članica.

(g) Član Banke može poslati predstavnik, da prisustvuje sastanku Odbora izvršnih direktora kad se razmatra neki predmet koji je od naročitog značaja za tog Člana.Takvo pravo regulirat će Odbor guvernera.

(h) Odbor izvršnih direktora rnože imenovati one komitete koje smatra potrebnim. Članstvo u takvim komiteti-ma ne mora biti ograničeno na guvernere, direktora ili zamjenike.

(i) Odbor izvršnih direktora odlučivat će o osnovnoj organizaciji Banke, uključujući broj i opću odgovornost osoblja na administrativnim i stručnim položajima, a odo-bravat će i budžet Banke.

Odjeljak 4.

Glasanje

(a) Svaka zemlja Članica imat će 135 glasova plus po jedan glas za svaku dionicu redovitog kapitala Banke koju drži ta zemlja, ali uz uvjeet da, u svezi sa svakim povećanjem odobrenog redovitog kapitala, Odbor guvernera može odlućiti da kapital odobren takovim povećanjem neće nositi glasačka prava i da takvo povećanje kapitala neće biti predmet prvenstvenih prava iz Članka II. Odjeljka 3 (b).

(b) Nijedno povećanje upisa bilo kojeg Člana što se tiče redovitog kapitala neće postati operativno, i ovim se odri. če prava na njegov upis, koje bi imalo za posljedicu sniaenje glasačke moći:

(i) regionalnih Članica ispod 53,5 posto ukupne glasačke moći zemalja Članica,

(ii) Članica koje imaju najveći broj dionica ispod 34,5 posto takve ukupne glasačke moći i

(iii) ili Kanade ispod 4 posto takve ukupne glasačke - moći.

(c) Pri glasanju u Odboru guvernera, svaki će guverner biti ovlašten da glasa glasovima zemlje Članice koju predstavlja. Osim ako u ovom Sporazumu nije izričito regulirano drugačije; o svim pitanjima koja razmatra Odbor guvernera odlučivat će se većinom ukupne glasačke moći zemalja Članica.

(d) Pri glasanju u Odboru izvršnih direktora:

(i) imenovani će direktor biti ovlašten da glasa brojem glasova zemlje Članice koja ga je imenovala,

(ii) svaki birani direktor bit će ovlašten da glasa brojem glasova kojima je bio izabran, a ti će mu glasovi biti dani pri glasa,nju i

(iii) osim ako u ovom sporazumu nije izričito predviđeno drugačije o svim pitanjima o kojima će razmatrati Odbor izvršnih direktora odluke će se donositi većinom ukupne glasačke moći zemalja Članica.

Odjeljak 5.

Predsjednik, izvršni potpredsjednik i strućni aparat

(a) Odbor guvernera većinom ukupne glasačke moći zemalja Članica, uključujući apsolutnu većinu guvernera regionalnih Članica, izabrat će predsjednika Banke koji, dok se nalazi na tome položaju, neće biti ni guverner ni izvršni direktor, a niti zamjenik jednoga ili drugoga.

Pod rukovodstvom Odbora izvršnih direktora predsjednik će Banke obavljati redovito poslovanje Banke i bit će na čelu svoga stručnog osoblja. On će također predsjedavati sastancima Odbora izvršnih direktora bez prava glasa, jedino u slučaju da su glasovi podjednako podijeljeni, njegov glas će biti odlućujući.

Predsjednik Banke bit će zakoniti predstavnik Banke. Mandat predsjednika Banke trajat će pet godina, a predsjednik može biti ponovno biran za iduća mandatna razdoblja. On će prestati zauzimati taj položaj kad Odbor guvernera tako odluči većinom ukupne glasačke moći zemalja Članica, uključujući većinu ukupne glasačke moći regionalnih zemalja Članica.

(b) Izvršnog potpredsjednika imenuje Odbor izvršnih direktora na temelju preporuke predsjednika Banke. Pod rukovodstvom Odbora izvršnih direktora i predsjednika Banke, izvršni potpredsjednik će se koristiti takvim pravima i obavljati takve funkcije u administraciji Banke kako to bude odlučio Odbor izvršnih direktora. Za odsutnosti ili nesposobnosti predsjednika Banke, izvršni potpredsjednik koristit će se pravima i obavljati funkcije predsjednika.

Izvršni potpredsjednik sudjelovat će na sastancima Odbora izvršnih direktora ali na takvim sastancima neće imati pravo glasa, osim što će dati odluđujući glas, prema stavku pod (a) ovoga odjeljka, kad istupa umjesto predsjednika Banke.

(c) Pored potpredsjednika, o kome je bilo riječi u Članku IV: odjeljka 8 (b), Odbor izvršnih direktora može, po preporuci predsjednika Banke, imenovati druge potpredsjednike koji će se koristiti takvim pravima i obavljati takve funkcije kako to Odbor izvršnih direktora bude odlučio.

(d) Predsjednik, dužnosnici i stručno osoblje Banke, pri izvršenju svojih funkcija, ovisit će isključivo o Banci i ni o kojoj drugoj vlasti. Svaki Član poštovat će međunarodni karakter te obveze.

(e) Odlučujući kriterij pri zapošljavanju Članova strućnog osoblja i pri odredivanju uvjeta njihova službovanja bit će osiguranje najvišeg stupnja djelotvornosti, stručnosti i poštovanja. Odgovarajuća pažnja također će biti posvećena značenju regrutiranja Članova stručnog osoblja na široj što geografskoj osnovi, imajući na umu regionalno značenje ustanove.

(f) Banka, njezini dužnosnici i službenici neće se miješati u političke stvari odre8enog Člana, niti će pri donošenju svojih odluka biti pod utjecajem političkog karaktera dotičnog Člana, odnosno Članova. Jedino će gospodarski obziri utjecati na njihove odluke, a ti će obziri biti nepristrano odmjeravani kako bi se ostvarili ciljevi i funkcije izloženi u Članku I.

Odjeljak 6.

Objavljivanje izvještaja i pribavljanje obavijesti

(a) Banka će objavljivati godišnje izvještaje koji će sadržavati odvojena, te od financijskih kontrolora ovjerena financijska stanja sredstava redovitog kapitala. Isto tako će Članicama dostavljati tromjesečna zbirna stanja o financijskoj situaciji i rezultatima svog redovitog poslovanja, odnosno o dobiti ili gubitku, te će ih odvojeno prikazivati.

(b) Banka, također, može objavljivati i druge izvještaje ako smatra da je to poželjno za ispunjenje njezinih ciljeva i funkcija. .

Članak IX.

ISTUPANJE IZ ČLANSTVA I SUSPENDIRANJE ČLANSTVA

Odjeljak 1.

Pravo na istupanje

Svaka Članica može istupiti iz Banke dostavljajući u glavno sjedište Banke pismenu obavijest o svojoj namjeri da istupi iz Članstva. Takvo istupanje stupa konađno na snagu na dan koji je određen u toj obavijesti, ali ni u kojem slučaju ne prije isteka šest mjeseci od ćasa kad je obavijest bila dostavljena Banci. Međutim, u svako doba prije nego što istupanje konačno stupi na snagu, Član može izvijestiti Banku pismenim putem da poništava svoju obavijest koja sadržava namjeru o istupanju.

Nakon istupanja. Član će ostati odgovoran za sve izravne i neizravne obveze prema Banci koje su bile njegove obveze u vrijeme dostave obavijesti o istupanju, uključujući one specificirane u odjeljku 3: ovoga Članka. Međutim, kad istupanje konačno stupi na snagu, zemlja Članica nema nikakve odgovornosti glede obveza koje proistječu iz operacija Banke obavljenih poslije dana kada je obavijest o istupanju Banke primila.

Odjeljak 2.

Suspenzija Članstva

Ako neka Članica propusti ispuniti neku od svojih obveza prema Banci Banka može suspendirati njezino Članstvo odlukom guvernera donesenog tročetvrtinskom većinom ukupne glasačke moći zemalja Članica te dvotrećinskom većinom ukupnog broja guvernera, koja će, u slučaju suspenzije neke regionalne zemlje Članice, uključivati dvotrećinsku većinu guvernera regionalnih Članica, a u slučaju suspenzije neke neregionalne zemlje Članice dvotrećinsku većinu guvernera neregionalnih Članica.

Tako suspendirana Članica automatski će prestati da bude Članica nakon isteka jedne godine od dana njezine suspenzije, osim ako Odbor guvernera ne odluči istom većinom da obustavi suspenziju.

Dok je pod suspenzijom, Članica neće biti ovlaštena vratiti bilo koja prava iz ovoga Sporazuma, osim prava da istupi iz Članstva, ali će ostati odgovorna za sve svoje obveze.

Odjeljak 3.

Raščišćavanje računa

(a) Nakon što neka zemlja prestane biti Članica, ona više neće dijeliti dobitke i gubitke niti će stjecati obveze što se tiče zajmova i garancija u koje je :nakon toga Banka ušla. Ona će, međutim, biti i dalje odgovorna za sve svote koje duguje Banci, a i za njezine neizravne obveze prema Banci sve dok ukupni ili dio zajmova ili garancije, u koje je Banka ušla prije dana na koji je zemlja prestala biti Članica, ostane nereguliran.

(b) Kad neka zemlja prestane biti Članica, Banka će se sporazumjeti o otkupu udjela takve zemlje u kapitalu Banke u okviru rašćišćavanja računa prema odredbama ovoga odjeljka; međutim, zemlje neće imati nikakva druga prava prema ovome Sporazumu osim onih koja su regulirana u ovome odjeljku i u Članku XIII. odjeljka 2.

(c) Banka i zemlja koja prestaje biti Članica mogu se dogovoriti o otkupu kapitala i to uz uvjete koji se u danim okolnostima smatraju prikladnim, bez obzira na odredbe idućeg stavka. Takav dogovor može predvidjeti, među ostalim, konačno reguliranje svih obveza zemlje prema Banci (d) Ako dogovor o kojem je riječ u prethodnom stavku ne bude izvršen u roku od šest mjeseci od dana kad je ta zemlja prestala biti Članica, ili u nekom drugom roku koji su Banka i takva zemlja eventualno prihvatile, cijena otkupa kapitala takove' zemlje u kapitalu Banke bit će njegova knjigovodstvena vrijednost prema stanju u knjigama Banke na dan kad je zemlja prestala biti Članica. Takav otkup bit će obavljen pod ovim uvjetima:

(i) preduvjetorn plaćanja zemlja koja prestaje biti Članica predat će dokaze o svojem udjelu u kapitalu, a takvo će plaćanje biti obavljeno u takvim obrocima, u ono vrijeme i u ovim raspoloživim valutama kako Banka odredi uzimajuci u obzir financijsko stanje Banke.

(ii) lez obzira na svotu koju Banka duguje zemlji po osnovi otkupa udjela te zemlje u kapitalu Banke, Banka će obvezu zadržati i to u mjeri u kojoj ta zemlja, ili bilo koja od njezinih užih jedinica ili agencija, ostane u obvezi prema Banci kao rezultat zajmovnih ili garancijskih operacija. Zadržana svota može, po opciji Banke, biti iskorištena za namirenje bilo koje takve obveze, već prema tome kako ona dospijeva. Meciutim, nikakva svota neće biti zadržana po osnovi neizravne obveze zemlje u vezi s budućim pozivima za polaganje njezina upisa, prema Članku II. odjeljka 4 (a) (ii)

(iii) Ako Banka-pretrpi čiste gubitke po nekim zajmovima koje je dala ili po udjelima ili kao rezultat nekih garancija, koje kao takve postoje na dan kad je zemlja prestala biti Članica, a visina takvih gubitaka premašuje svotu rezervi za to predviđenih na taj dan, takva će zemlja na zahtjev vratiti svotu za koju bi otkupna cijena njezinih dionica bila smanjena da su ti gubici bili uzeti u obzir kad je knjigovodstvena vrijednost dionica, prema knjigama Banke. bila odredivana. Pored toga, bivša Članica, ostaje odgovorna za plaćanja koja se obavljaju po zahtjevu prema Članku II. Odjeljka 4(a) (ii) u mjeri u kojoj bi se od te Članice tražilo da odgovori na taj zahtjev da je do sniženja vrijednosti kapitala došlo i da je zahtjev za plaćanje bio upućen u vrijeme kad je otkupna cijena njezinih dionica bila odredivana.

(e) Ni u kojem slučaju nikakva svota koju Banka po ovom odjeljku duguje zemlji za njezine dionice neće biti plaćena sve dok ne istekne šest mjeseci od dana kada je zemlja prestala biti Članica. Ako u tome roku Banka prestane sa svojim poslovanjem, sva prava takve zemlje bit će utvrdena prema odredbama Članka X. prema kojemu će se takova zemlja još smatrati Članicom Banke, osim što neće imati pravo glasa.

Članak X.

SUSPENZIJA I PRESTANAK POSLOVANJA

Odjeljak 1.

Suspenzija poslovanja

U iznimnoj situaciji, Odbor izvršnih direktora može suspendirati poslovanje u svezi s novim zajmovima i garancijama sve dok Odbor guvernera ne bude imao mogućnost da razmotri situaciju i da poduzme odgovarajuće mjere.

Odjeljak 2.

Prestanak poslovanja

Banka može prestati sa svojim poslovanjem na temelju odluke Odbora guvernera donesene tročetvrtinskom većinom ukupne glasačke moći zemalja Članica. Nakon takova prestanka poslovanja Banka će odmah obustaviti svaku aktivnost osim one u svezi s osiguranjem, očuvanjem i realizacijom svojih sredstava i namirenjem svojih obveza.

Odjeljak 3.

Obveze Članica i isplata potraživanja

(a) Obveza svih Članica, koja proistječe iz upisa u kapital Banke, a glede deprecijacije njihovih valuta, prestat će tek onda kad se budu namirile sve izravne i neizravne obveze.

(b) Svi vjerovnici koji imaju izravne zahtjeve bit će ispla,ćeni iz onih sredstava Banke koja te zahtjeve terete, a potom iz plaćanja po osnovi neplaćenih upisa ili onih koji se plaćaju na zahtjev, a koja te zahtjeve vjerovnika terete. Prije obavljanja bilo kakvih plaćanja vjerovnicima po osnovi izravnih zahtjeva, Odbor izvršnih direktora zaključit će takve aranžmane koji su prema njegovoj ocjeni potrebni da bi se osigurala raspodjela isplata izravnih i uvjetovanih zahtjeva.

Odjeljak 4.

Raspodjela sredstava

(a) Nikakva raspodjela sredstava Članica neće biti izvršena po osnovi njihovih upisa u kapital Banke sve dok obveze prema vjerovnicima koje terete takav kapital ne budu namirene ili sredstva za to izdvojena. Pored toga, takva raspodjela mora biti odobrena odlukom Odbora guvernera donesenom tročetvrtinskom većinom ukupne glasačke moći zemalja Članica, uključujući dvotrećinsku većinu guvernera regionalnih Članica.

(b) Svaka raspodjela sredstava Banke na zemlje Članice bit će u omjeru s: kapitalom koji drži svaka Članica i bit će obavljena u ono vrijeme i uz one uvjete kako to Banka smatra poštenim i pravičnim. Udio u raspodjeli sredstava ne treba biti sukladan vrsti tih sredstava. Nijedna Članica neće biti ovlaštena da primi svoj dio u takvoj raspodjeli sredstava prije nego što podmiri sve svoje obveze prema Banci.

(c) Svaka, Članica koja primi sredstva, raspodijeljena prema ovome Članku, uživat će ista ona prava u odnosu prema tim sredstvima kakva je u odnosu prema njima uživala Banka prije njihove raspodjele.

Članak XI.

STATUS, IMUNITETI I POVLASTICE

Odjeljak 1.

Svrha ovoga Članka

Da bi Banci bilo omogućeno da ispunjava svoje ciljevei funkcije koji su joj povjereni, status. imuniteti i povlastice, izloieni u ovome Članku, priznat će joj se na teritoriju svake Članice.

Odjeljak 2.

Pravni položaj

Banci se priznaje potpuno svojstvo pravne osobe, a poglavito, mogućnost:

(a) da sklapa ugovore,

(b) da stječe nekretnine i pokretnine i da njima raspolaže i

(c) da pokreće sudski postupak.

Odjeljak 3.

Sudski postupak

Tužbe protiv Banke mogu se podnositi samo nadležnom sudu na teritoriju Članice na kojem Banka ima poslovno sjedište, te na kojem ima predstavnika radi primanja sudskih podnesaka i obavijesti o pokretanju sudskog postupka, ili na kojem je emitirala ili garantirala vrijednosne papire.

Nikakav sudski postupak neće se pokrenuti protiv Banke od strane Članice ili osoba koje istupaju u ime Članica, ili podnose zahtjeve u nježino ime. Međutim, zemlje Članice mogu se služiti posebnim postupcima kako bi riješile neslaganja između Banke i njezinih Članica, predviđenih ovim Sporazumom, pravilnicima i propisima Banke ili u ugovorima sklopljenima s Bankom.

Imovina i aktiva Banke, bez obzira gdje se nalazile i tko ih držao, uživat će imunitete od svih oblika zapljene, privremenih naredaba o zapljeni ili prisilnog izvršenja do donošenja i dostave pravomoćne presude protiv Banke.

Odjeljak 4.

Imunitet imovine

Imovina i aktiva Banke, bez obzira gdje se nalazile itko ih držao, smatrat će se javnom međunarodnom imovinom i uživat će imunitet od premetaćine: rekvizicije, konfiskacije, eksproprijacije ili bilo kojeg drugog oblika preuzimanja ili prisilnog izvršenja, izvršnim ili zakonodavnim mjerama.

Odjeljak 5.

Nepovredivost arhiva Arhive Banke bit će nepovredive.

Odjeljak 8.

Sloboda imovine od restrikcija

U mjeri u kojoj je to potrebno da bi se ostvarili ciljeve i funkcije banke i da bi se njezino poslovanl'e obavljalo u skladu s ovim Sporazumom, sva imovina i druga sredstva Banke bit će slobodni od restrikcija, reguliranja, mjera kontrole i moratorija bilo koje vrste, osim ako ovim Sporazumom nije određeno drugačije.

Odjeljak 7.

Povlastice za priopćenja

Službenim priopćenjima Banke svaka Članica će priznavati isti onaj status koji priznaje službenim priopćenjima drugih Članica.

Odjeljak 8.

Osobni imuniteti i povlastice

Svi guverneri, izvršni direktori, zamjenici, službenici i ostali zaposleni Banke, uživat će ove povlastice i imunitete:

(a) Imunitet od zakonskog postupka što se tiče radnji koje poduzimaju u svome službenom svojstvu, osim ako se Banka toga imuniteta odrekne.

(b) Osim ako nisu domaći državljani, iste imunitete od useljeničkih ograničenja, odredaba o registraciji stranaca i vojnih i sličnih obveza, te iste povlastice što se tiče deviznih ograničenja koja su priznata od Članica Banke predstavnicima, dužnosnicima i šlužbenicima sličnog statusa drugih Članica Banke.

(c) Iste povlastice što se tiče putnih olakšica koje Članice Banke priznaju predstavnicima, funkcionarima i službenicima sličnog ranga drugih Članica Banke.

Odjeljak 9.

Imuniteti od poreza

(a) Banka, njezina imovina, ostala sredstva, prihod i djelatnost te transakcije koje ona obavlja prema ovome Sporazumu, bit će oslobodeni od svih poreza i svih carina. Banka će također biti oslobodena od svih obveza koje se odnose na plaćanje, zadržavanje ili prikupljanje bilo kakvog poreza ili pristojbe.

(b) Nikakav porez neće biti naplaćivan na plaće i nagrade ili u svezi s plaćama i nagradama koje Banka plaća izvršnim direktorima, zamjenicima, dužnosnicima ili službenicima Banke koji nisu domaći građani ili drugi domaći državljani.

(c)Nikakav porez bilo koje vrste neće se naplaćivati na obveznice ili vrijednosne papire izdane od Banke, uključujući dividende ili kamate na njih, bez obzira tko ih posjedovao:

(i) ako bi takav porez diskriminirao takove obveznice ili vrijednosnog papira jedino zato što ih je izdala Banka ili (ii) ako je jedina pravna osnova za takvo oporezivanje

mjesto ili valuta u kojoj je takva obveznica ili vrijednosni papir izdana učinjen plativim ili plaćen, ili pak mjesto ureda ili poslovnice Banke.

(d) Nikakav porez bilo koje vrste neće se naplaćivati na obveznice ili vrijednosne papire zajamčene od Banke, uključujući dividendu ili kamate na njih, bez obzira tko ih držao:

(i) ako bi takav porez diskriminirao takve obveznice ili vrijednosne papire jedino zato što ih je zajamčila Banka ili (ii) ako je jedina pravna osnova za takvo oporezivanje mjesto ureda ili poslovnice Banke.

Odjeljak 10.

Izvršenje

Svaka će Članica, u skladu sa svojim pravnim sustavom poduzeti takvu akciju koja je potrebna da bi na svojem vlastitom teritoriju učinila operativnim načela izložena u ovome Članku i izvijestiti Banku o radnjama što ih je poduzela.

Članak XII.

IZMJENE

(a) Ovaj Sporazum može biti izmijenjen samo odlukom Odbora guvernera, donesenom većinom ukupnog broja guvernera, uključujući dvije trećine guvernera regionalnih Članica koje predstavljaju najmanje tri četvrtine ukupne Glasačke moči zemalja Članica, ali uz rezervu da glasačka većina predviđena u Članku II. odjeljka 1(b) može biti mijenjana` samo glasačkom većinom navedenom u spomenutom Članku: (b) Bez obzira na odredbe pod (a), bit će potrebno jednoglasno odobrenje Odbora guvernera za izmjene kojima se preinađuje:

(i) pravo istupanja iz Banke predviđeno Člankom IX. odjeljka 1,

(ii) pravo kupnje kapitala Banke i pridonošenja Fondu predviđeno odgovarajućim odredbama Članka II. odjeljka 3 (b) i Članka N. odjeljka 3 (g), i

(iii) ograničenje obveza predviđena u Članku II. odjeljka 3 (d) i u Članku IV. odjeljka 5.

(c) Svaki prijedlog o izmjeni ovoga Sporazuma bez obzira potječe li od neke Članice ili Odbora izvršnih direktora, bit će dostavljen predsjedatelju Odbora guvernera koji će takav prijedlog iznijeti pred Odbor guvernera. Kada neka izmjena bude prihvaćena, Banka će to potvrditi u službenom saopćenju upućenome svim Članicama. Za sve Članice izmjene će stupiti na snagu tri mjeseca od dana službenog saopćenja, osim ako Odbor guvernera ne odredi neki drugi rok.

Članak XIII:

TUMAČENJE I ARBITRAŽA

Odjeljak 1. Tumačenja

(a) Svako pitanje o tumačenju odredaba ovoga Sporazuma koje se pojavi između Članice i Banke ili između samih Članica Banke, bit će podneseno Odboru izvršnih direktora da o njemu donese odluku.

Članice za koje je pitanje koje se razmatra od posebne važnosti bit će ovlaštene da upute predstavnika u Odbor izvršnih direktora; kako je to predviđeno u Članku VIIL' odjeljka 3 (g). '

(b) U svim onim slučajevima kad Odbor izvršnih direktora donese spomenutu odluku pod (a), svaka Članica može tražiti da se pitanje razmotri na Odboru guvernera čija će odluka biti konačna. U očekivanju odluke Odbora guvernera, Banka može, ako to smatra potrebitim, postupati na temelju odluke Odbora izvršnih direktora.

Odjeljak 2.

Arbitraža

Ako dode do spora azmeđu Banke i neke zemlje koja je prestala biti Članica ili između Banke i neke Članice nakon prihvaćanja odluke o prestanku poslovanja Banke, zahtjev će biti podnesen radi arbitriranja sudu od tri arbitra. Jednog od arbitara imenovat će Banka, drugoga zemlja koja je u pitanju, a trećega, osim ako se stranke ne slože drugačije, generalni sekretar Organizacije Američkih Država. Ako svi napori da se postigne jednoglasna odluka ne uspiju, odluka će biti donesena većinom glasova triju arbitara.

Treći arbitar bit će ovlašten da rješava sva pitanja postupka u svim onim slučajevima kad se stranke o tome ne slažu.

Članak XIV.

OPĆE ODREDBE

Odjeljak 1.

Glavno sjedište

Glavno sjedište Banke nalazit će se u Washingtonu, District Columbia u Sjedinjenim Američkim Državama.

Odjeljak 2. Odnosi s drugim organizacijama . Banka može sklapati aranžmane s drugim organizacijama radi razmjene obavijesti ili radi drugih ciljeva koji su u skladu s ovim Sporazumom.

Odjeljak 3.

Kanali komuniciranja

Svaka Članica oznaćit će neku službenu ustanovu za kontaktiranje s Bankom o stvarima u svezi s ovim Sporazumom.

Odjeljak 4.

Depozitna mjesta

Svaka Članica označit će svoju centralnu banku kao depozitarno mjesto u kojoj Banka može, držati svoje iznose valute takve Članice i druga sredstva Banke. Ako neka Članica nema centralnu banku ona će, u dogovoru sa Bankom, oznac` iti neku drugu ustanovu za tu svrhu.

Članak XV.

ZAKLJUČNE ODIiEDBE

Odjeljak 1. Potpisivanje i prihvaćanje

(a) Ovaj ća Sporažum biti deponiran kod generalnog sekretara Organizacije Američkih Država, gdje će ga predstavnici zemalja nabrojenih u dodatku A. moći potpisati od 31. prosinca 1959. godine. Svaka zemlja potpisnica deponirat će kod generalnog sekretara Organizacije Američkih Država instrument u kojem će biti utvrcteno da je prihvatila ili ratificirala ovaj Sporazum u skladu sa svojim zakonima i da je poduzela potrebite korake kako bi joj bilo omogućeno da ispunjava sve svoje obveze iz ovoga Sporazuma.

(b) Generalni sekretar Organizacije Američkih Država dostavit će ovl'erene kopije ovoga Sporazuma Članicama Organizacije i pravodobno ih obavijestiti o datumu potpisivanja i deponiranja instrumenata o prihvaćanju ili ratificiranju, koje će biti obavljeno prema prethodnom stavku,

(c) U vrijeme kad instrument o prihvaćanju ili ratifikaciji budu deponiran u njezino ime, svaka će zemlja predati generalnom sekretaru Organizacije Američkih Država u cilju pokrića administrativnih izdataka Banke, u zlatu ili SAD dolarima protuvrijednost jedne desetine od jedan posto kupovne cijene dionica Banke upisanih od te zemlje i njezine kvote u Fondu. To će plaćanje biti odobreno u korist Članica, a na računu njihovih upisa u kapital Banke i propisane kvote prema Članku II. odjeljka 4 (a) (i). i IV. odjeljka 3 (d) (i). U svako vrijeme na dan ili poslije dana na koji je deponiran instrument o prihvaćanju ili ratifikaciji, svaka Članica može obaviti dodatna plaćanja koja će biti odobrena u korist elanice na račun njezina upisa i kvote propisane prema Članku II. i IV. Generalni sekretar Organizacije Američkih Država držat će sva financijska sredstava koja su plaćena prema ovome stavku na posebnom depozitnom računu ili računima i ta će sredstva staviti na raspolaganje Banci najkasnije u vrijeme prvog sastanka Odbora guvernera, koji se održava prema odj8ljku 3. ovoga Članka. Ako ovaj Sporazum ne bude stupio na snagu do 31. prosinca 1959. godine, generalni sekretar Organizacije Američkih Država će takova financijska sredstva vratiti zemljama koje su ih dale.

(d) Na dan na koji je Banka otpočela sa svojim poslovanjem ili nakon toga, generalni sekretar Organizacije Američkih Država može prihvatiti potpisivanje i instrument o prihvaćanju ili ratifikaciji ovog Sporazuma od svake zemlje čije je Članstvo odabrano prema Članku II. odjelj-ka 1 (b).

Odjeljak 2, Stupanje na snagu Ovaj će Sporazum stupiti na snagu kada ga potpišui kada deponiraju instrumente o prihvaćanju ili ratifikaciji sukladno Odjeljku 1 (a) ovog Članka predstavnici zemalja ćiji upisi zajedno čine najmanje 85 posto ukupnih upisa izloženih u dodatku A.

(b) Zemlje čiji su instrumenti o prihvaćanju ili ratifikaciji bili deponirani prije dana kad je Sporazum stupio na snagu postat će Članice na taj dan. Druge će zemlje postati Članice onog datuma kad njihovi instrumenti o prihvaćanju ili ratifikaciji budu deponirani.

Odjeljak 3.

Početak poslovanja

(a) Generalni sekretar Organizacije Američkih Država sazvat će prvi sastanak Odbora guvernera stupanjem na snagu ovog Sporazuma, sukladno odjeljku 2. ovoga Članka.

(b) Na prvom sastanku Odbora guvernera bit će postignut dogovor o izboru izvršnih direktora i njihovih zamjenika u skladu s odredbama Članka VIII. odjeljka 3, te o odredivanju datuma kad će Banka poćeti sa, svojim poslovanjem. Bez obzira na odredbe Članka VIII. odjeljka 3 guverneri, ako to smatraju poželjnim, mogu odlučiti da prvo mandatno razdoblje takvih direktora može biti kraće od tri godine. '

AGREEMENT
ESTABLISHING THE INTER-AMERICAN
DEVELOPMENT BANK

The countries on whose behalf this Agreement is signed agree to create the Inter-American Development Bank, which shall operate in accordance with the following provisions:

ARTICLE I PURPOSE AND FUNCTIONS

Section 1.

Purpose

The purpose the Bank shall be to contribute to the acceleration of the process of economic and social development of the regional developing member countries, individually and collectively.

Section 2.

Functions

(a) To implement its purpose, the Bank shall have the following funcitons:

(i) to promote the investment of public and private capital for development purposes;

(ii) to utilize its own capital, funds raised by it in financial markets, and other available resources, for financing the development of the member countries, giving pirority to those loans and guarantees that will contribute most effectively to their economic growth;

(iii) to encourage private investment in projects, enterprises, and activites contributing to economic development and to supplement private investment when private capital is not available on reasonable terms and conditions;

(iv) to cooperate with the member countries to orient their development policies toward a better utilization of their resources, in a manner consistent with the objectives of making their economies more cornplementary and of fostering the orderly growth of their foreign trade; and

(v) to provide technical assistance for the preparation, financing, and implementation of development plans and projects, including t)ze study of priorities and the formulation of specific project proposals.

(b) In carrying out its functions, the Bank shall cooperate as far as possible with national and international institutions and with private sources supplying investment capital.

ARTICLE II

MEMBERSHIP IN AND CAPITAL OF THE BANK

Section 1.

Membership

(a) Ths original members of the Bank shall be those members of the Organization of American States which, by the date specified in Article XV, Section 1 (a), shall accept meribership in the Bank.

(b) Membership shall be open to other members of the Organization of American States and to Canada, Bahamas and Guyana, at such times and in accordance with such terms as the Bank may determine.

Nonregional countries which are members of the International Monetary Fund, and Switzerland, may also be admitted to the Bank, at such times, and under such general rules as the Board of Governors shall have established. Such general rules may be amended only by decision of the Board of Governors by a two-thirds majority of the total number of governors, including two thirds of the governors of nonregional members, representing not less than three fourths of the total voting power of the member countries.

Section lA.

Categories of Resources

The resources of the Bank shall consist of the ordinary capital resources, provided for in this article, and the resources of the Fund for Special Operations established by Article IV (hereinafter called the Fund).

Section 2.

Authorized Ordinary Capital

(a) The authorized ordinary capital stock of the Bank initially shall be in the amount of eight hundred fifty milion dollars ($850,000,000) in terms of United States dollars of the weight and finess in effect on January 1, 1959 and shall be divided into 85,000 shares having a par value of $10,000 each, which shall be available for subscription by members in accordance with Section 3 of this article.

(b) The authorized ordinary capital stock shall be divided into paid-in shares and callable shares. The equivalent of fou: hundred milion dollars ($400,000,000) shall be paid-in, and four hundard fifty milion dollars ($450,000,000) shall be callable for the purposes specified in Section 4 (a) (ii) of this article.

(c) The ordinary capital stock indicated in (1) of this section shall be increased by five hundred milion dollars ($500,000,000) in terms of United States dollars of the weight and fineness existing on January i, 1959, provided that:

(i) the date for payment of all subscriptions established in accordance with Section 4 of this artiele shall have passed; and

(ii) a regular or special meeting of the Board of Governors, held as soon as possible after the date referred to in subparagraph (i) of this paragraph, shall have approved the above-mentioned increase of five hundred milion dollars ($500,000,000) by a three-fourths majority of the total voting power of the member countries.

(d) The increase in capital stock provided for in the preceding paragraph shall be in the form of callable capital. (e) Notwithstanding the provisions of paragraphs (c)

and (d) of this section and subject to the provisions of Article VIII, Section 4 (b), the authorized ordinary c~.pital stock may be increased when the Board of Governors deems it advisable and in a manner agreed upon by a three-fourths majority of the total voting power of the member countries, including a three-fourths majority of the total number of governors, which includes a two-thirds majority of the governors of regional members.

Section 3. Subscription of Shares

(a) Each member shall subscribe to shares of the ordinary capital stock of the Bank. The number of shares to be subscribed by the original members, shall be those set forth in Annex A of this Agreement, which specifies the obligation of each member as to both paid-in and callable capital. The number of shares to be subscribed by other members shall be determined by the Bank.

(b) In case of an increase in ordinary capital pursuant to Section 2, paragraph (c) or (e) of this article, each member shall have a right to subscribe, under such conditions as the~Bank shall decide, to a proportion of the iizcrease of stock equivalent to the proportion which its stock theret fore subscribed bears to the total capital stock of the Bank. No member, however, shall be obligated to subscribe to any part of such increased capital.

(c) shares of ordinary capital stock initially subscribed by ariginal members shall be issued at par. 'Other shares shall be issued at par unless the Bank decides in speeial circumstances to issue them on other terms.

(d} T'he liability of the expember countries on ordinary capital shares shall be limited to the unpaid portion of their issue price.

(e) Shares of ordinary capital stock shal nat be pledged or encumbered inrany manner; and they shall be transferable only to the Bank: '

Section 4.

Payment Of Stxbscriptions

(a) Fayment of the subscripLions to the ordinary capital stock of the Bank as set forth in Annex A shall be made as fnllows:

(i) Payment of the amount subscribed by each country to the paid-in capital stock of the Bank shall be' made in three installments, the first of which shall be 20 per cent; and the second and third each 4o per cent, of such amount. The firs installment shall be paid by each country at any time on or after the date on which this Agreement is signed, and the instrument of aeceptance or ratificatian depositetl, on its behalf in accordance whiih Article XV, Section i; but hot later than September 30; 1960. The remaining two installments shall be paid on such-dates as are determined by the Bank, but not sooner than Septerhber 30, 1961, 'anči September 30; 1982, respectively.

Of each installment, 50 per cent shall be paid in gold and/or dollars and 50 per cent in the currency of the member. '

(ii) The callable portion of the subscription for ordinary ca,pital shares of the Bank sha,ll be subject to call only: when reyuired to meet the obligations of the Bank created under Article III, Section 4 (i~ and (iii) on borrow'tngs of funds for inclusion in the Ban~'s ordinary capital resources or guarantees chargeable to such resourees. In the event of such a call, payment may be made at the option of the member either in gold, in United States dollars, in fully convertible currency of the member eountry, or in the currency.required to discliarge the obligations of the Bank-for , the puipose for.which the call is rnade.

Calls on unpaid subscriptions shall be uniform in percentage on all `shares:

(b) Each payment of a member in its own currenay un; der paragraph (a) (i) of this section shall be in sueh amount as,, in the opinion of the Bank, is equivalent to tlie full value in ierms of United States dollars of the weight and fineness in effect on January i, 1959, of Ehe portion of the Subseription being paid. T'he iizitial payment' shall be in sueh amount as the member considers appropriate hereunder but shall be subject to such adjustment, to be effected within 60 days of the date on w~ieh the payment was due, as the Bank shall determine to be necessary to constitute the full dollar value, equivalent as pravided in this paragraph;

(c) Unless otherwise determined by the Board of Governors by a three-fourthS majority of the total voting, pawer of the member countries; the liability of members for payment of the second and third installments of the paid-in portion of their subscriptions to the capital stock shall be conditional upon payment of not less tha,n 90 per cent of the total obligations of the mernbers due for:

(i) the first and second installmerits, respectively; of the paid-in portion of the subscriptiona; and

(ii) the ynftial payment and all prior calls on the subscription quotas to the Fund.

Section 5.

Ordinary Capital Resources

As used in this Agreement; the term ~ordinarry capital resources” of the Bank shall be deemed to inelude the following:

(i) authorized ordinary capital, ineluding both paid-in and callable shares, subseribed pursuant to Sections 2 and 3 of this article;

(ii) all funds raised by borrowings under the authority of Article VII, Section 1 (i) to which the commitment set forth in Section 4 (a) (ii) of this article is applicable;

(iii) all funds received in repayment of loans made with , the resources indicated in_(i) and (ii) of this section;

(iv) all income derived from loans made from the aforementioned funds or from guarantees to which the commitment set forth in Section 4 (s;) (ii) of this article is applicable; and

(v) all other income derived from any fo the resources mentioned above.

ARTICLE III OPERATIONS

Section 1.

Use of Resources

The resources and facilities of the Bank shall be used exclusively to implement ths purpose and functions enumerated in Article I of this Agreement, as well as to finance the development of any of the members of the Caribbean Development Bank by providing loans and;technical assistance to that institution.

section 2.

Categories of Operations

(a) The operations of the Bank shall be divided into or-' dinary operations ».nd special operations.

(b) T'he ordinary operations shall be those financed from tiie Bank's ordinary capital resources, as defined in Article II, Section 5, and sha.Tl relate exclusively 'to loans made, participated in; or guaranteed by the Bank-wnich a,re repayable only in the respective currency or currencies in which the loanš were' made. Such operations shall be subject to the terms and conditions that the Bank deems advisable, consistent with the provisions of this Agreement.

(c) THe special ~perations shall be those financed from the resources of the Fund in accordance with the provisions of Article N:

Section 3.

Basic Principle of Separation ,

(a) The ordinary capitl resources, as defined in Article II, Section 5, and the resources of the Fund, as defind in Article IV, Section 3 (h); shall at all times and in aIl respects be lield, used, obligated; invested; or otherwise disposed of entirely separate from each other.

(b) The ordinary capital resources shall under no circumstances be: oharged with, or used to discharge, obligations, liabilities or losses az~išing out of operations for which the resources of the Fund were originaly used or committed. .

(c) 'The financial statements of the Bank shall show separately the ordinary opertions and the special operatioris; and the Bank shall establish sueh other administra,tive rules as may be necessary to ensure the effective separation of the two types of operations:

(d) Expenses pertaining directly to ordinary operations shall be charged to the ordinary ca.pital resources. Expenses pertaining directly to special operations shall be charged to the resources of the Fund. Other expenses shall be eharged as the Bank determines:

Section 4.

Methods of Making or Guaranteeing Loans

Subject to the conditions stipulated in this article, the Bank may make ox guarantee loarls to any member, or any agency or political subdivisior4 thereof, to any:enterprisA in the territory of a member, and to the Caribbean Development Bank, in any of the followingvvays:

(i) by making or portioipating in direct loans with fund cbrresponding to the unihzpaired paid-in ordinary capital and, except as provided in Section 13 of this articie; to its reserves and undistributed surplus; or with the unimpaired resources of the Fund;

(ii) by making orparticipating in direct loans with funds raised by the Bank in capital markets, or borrawed or acquired in any other manner, for inclusion in the ordinary capital resources of tlie Bank or the resource of the Fund; and :

(iii) by guaranteeing, with the ordinary capital resources or the resources, of the Fund, in whole or in part loans made, except in special cases; by, private investors.

Section 5.

Limitations on operations

(a) The total. arnount outstanding of loans a.nd guarantees made by the Bank in iLs ordinary operations shall not at any time exceed the total amount of the unimpaired subscribed ordinary capitaL of the Bank, plus the unimpaired reserves and surplus included in the ordina.ry capitai reso- urces of the Bank, as defined in Article II, Section 5, exclusive of incame assigned to the special reserve established pursuant to Section 13 of this article and other income of the ordinary ca,pital resouraes assigned by decision of the Board of Governors to reserves`not available for loans or guarantees.

(b) In the case of loans made out of funds borrowed bythe Bank to which the obli~ations provided for in Article II, Section 4 (a) (ii), are applicable, the total arnopnt of prineipai outstanding and payable to the bank in:a specif'ic curreney shall at no time exceed the total amount of principal of the outstanding borrowings by the Bank for inclusion in its ordinary capital resources that are payable in the same currency.

Section 6:

Direct Loan Financing

In making direct Loans or participating in them, the Bank may provide finaneing in any of the following ways: (a) By furnishing the borrower currencies of members, other than the cui rency of the member in whose territory the project is to be carcied out, that are necessary to zneet the foreign exchange costs of the project.

(b) By providing financing to meet expenses related to the purposes of the loan in the territories of the Country in which the project: is to be carried out. Only in special cases, . particularly whsn the project indirecily gives rise to an inereas's in the demand for foreign exchange in that country; shall the financing granted by tf~e Bank to meet local expenses be provided in gold or in ćurrencies; other thart that of such country; in such cases, the amount ofthe financfng granted by tbe Bank for this purpose shali not egceed a resonable portion od the local expenses incurred by the borrower.

Section 7.

Rules and Conditions for Making or Guaranteeing Loans

(a) The Bank may make or garantee loans subject to the following rules and conditions: .

(i)the applicarit for the loan shall have submitted a detailad proposal and the staff of the Hank shall have presented a written report recommending the proposal after a study of its merits. In special circumštances, the Board of Execusive Directors, by , majority of the total voting power of the members couritries, may require that a propo5al be submitted to the Boarci for decision in the absence of such a report;

(ii) in ćonsidering a request for a loan or a`guarantee, the Bank shall take into :~.ceount the ability of the borrower to obtain the loan from private sources of financing on terms which, in the opinion of the Bank, are rea,sonable for the borrower, taking into account all pertiment faćtors;

(iii) in making or guaranteeing a.loan; the Bank shali pay due regard to prospects that the borrower and its guarantor, if any; will be in a position to meet their obligations - under the loan contraet", ,

(iv) in the opinion of the Bank, the rate of interest; ot~ her charges and the schedule for repayment of principal are appropriate for the project in question;

(v) in guaranteeing a loan made by other inyestors, the -Bani; shall receive suitable ćompensatian for its risk; and (vi) loans made or guaranteed by the Bank. shall be principall,y for financing specific projects; including those forming llart of a national or regional developrnent prograin. However, the Bank may make or guarantee over-aIi loans to development institutions or similar agencies of the msmbers in order that the latter may facilitate the financing of specific development projects whose individual financing requirements are not; in the opinion of the Ba;nk, _. large enough to warivant the direct supervision of the Bank.

(b) The Bank shall not finance any undertaking in the territor~ of a memb~r if that rnember objeets to such financing.

Section 8.

Optionai Conditions for Making or Guaranteeing Loans

(a) In .the case of loans or guarantees of loans to nongovernmental entities, the Bank may, when it deerns it advisabe, require that the member in whose territory the project is to be ca;rried aut; or a public institution or a sirnilar agency of the member acceptable to the Bank,' gu~rantee the repayment of the principal a;nd te payment of interest ' and other charges on the loan. _

(b) The Banke may attach su~h other conditions to the making of loans ar guarantees as it deems appropriate, ta-king into account both the interests of the members directly involved in the particular loan or `guarantee proposal and the interests of the members as a whole.

Section 9.

Use of Loans Ma,de or Guaranteed by ~ the Bank

(a) Except as provided in Article V, Sećtion 1; the Bank shall impose no ćondition that the proceeds af a loan shall be spent in the territory of any panticular country nor that sućh proceeds shall'not be spent in the territories of a;~iy particular member or members; provided, however, that with respect to any increase of the resources of the Bank the question of restriction of procurement by the Bank or any member with regard to those members ~tvhich do not participate~ in an increase under terms and conditions specified by the Board of Governors may be determined by the Board of Governors:

(b) The Bank .shall ta;ke the neceSsa.ry measures -to ensure that the proceeds of any loan made, guaranteed, or , participated in by the Bank are used only for the purposes for which the loan was granted, with due attention to-cosiderations of economy and efficiency.

Section l0.

Payment Provisions for Direct Loans Direct'loan contracts made by the Bank in conformity with Section 4 of` this article shall establish:

(a) All the terms and conditions of each loan, including among others, provision for payiMent of principal, interest and other charges, maturities, and dates of-payment; and

(b) The currency or currencies in which payment shall be made to the Bank.

Section 11 .

Guarantees

(a) In guaranteeing a loan the Bank shall eharge a guarantee fee, at a rate determined by the Bank, paya~ble periodically on the amount of the loan outstanding.

(b) Guarantee contracts concluded by the Bank shall pTOVide that the Bank may terminate its liability witl2 respect to interest ff, upon default by the borrower and by the guarantor, if any, the Bank offers to purchase, at par and interest accrued to a,date designated in the offer, the bonds or other obligations guaranteed.

(c) Tn issuing guarantees, the Bank shall have power to determine any other terms'and.conditions:

Section 12:

Special Comission

On all loans; participations, or guarant'ees made out of or by commitment of the ordinary capital res©urces of the Bank, the latter shall charge a special commfssion. The special comrqission, payable .periodically, shall be computed on the amount outstanding on each loan, participation; or guarantee and shall be at the, rate of one per cent per annum, unless the Bank, by a two-thirds majority of the total voting I~wer of the member countries, decides to reduce the rate of commission.

Section 13.

Special Aeserve ,

The amount of commissions`received by the Bank imder Section i2 of this article shall be set aside as a special ' resei've, whičh shall be kept f'or meeting liabflities of the Banl~ in accorđance with Article VII. Section 3 (b) (i). The special reserve shall be held in such liquid form, permitted under this Agreement, as the Board of Executive Directors may decide.

ARTICLE IV.

FUND FOR SPECIAL OPERATIONS Secti,on `l . Establishment, P~rpose; and Functions

A Fond for Special Opexations is established for the making of loans on terms and conditions appropriate for dealing with , special circumstances arising ~in specific countries or with respact to spećific projects.

The F~Znd, whose administratfon shall be entrusted to the Bank, shall have the purpose and functions se forth in Article I of this 'Agreement. '

Section 2.

Applicable Provisions

The Fund shall be governed by the provisions of the present article and all other pro~isions, af this A.grpement, excepting those inconsistent wit,h ,ti~e pro~sioz;~,c~#' ahe pre-sent article and those expressly appl~~g:9~ly. ~y~ pther operations of the Bar<k. -, t ,š.~,, ? ~,~i,,Ef

Section 3.

Resources

(a) 'I'he original meubers of the Bank shall coritribute to the resources of the Fund ir1 aceordance with the provisions of this šection,

(b) Members of the Organization of Amerit;an Siates that join the Bank after the date -specified in Article XV, Section 1 (a), Canada; Bahamas and Guyana, and countries that are admitted in accordance ~rith Article II, Seetiom 1 (b) shall contribute to the Fund with such quotas, and under such terms, as may be determined by the Bank.

(c) The Fund shall.be eštablished with initial resources in the amount .of one hundred fifty million dollars ($150;000.000) iri terms of United States dollars of the weight and fineness in effect on January 1; 1959, which shall be contributed by the original members of the Bank in accordance with the quotas specified in Annex B.

(d) Bayment of the quotas shall be made as.: follows: (i) fifty per cent of,its quota šhall be paid by each member .at any time on or after the date on which this Agreement is signed, and the instrumsnt of acceptance or ratification deposited, on its behalf in accordance with Article XV, Section l, but not later than SeptembAr 30, 1980;

(ii) the remaining 50 per cerit shall be paid at any time subsequent to one year after the Ba~ik has begun oeprations, in such arnounts and at such times as are determined by the Bank; provided; However, that ~ the total amount of all quotas sliall be made due and` payable not later than the date fixed for paymsnt;af the third installment of the subscriptions to the paid-in eapital stock of the Bank; '

(iii) the pe,yments required under this section,shall be distributed amvng the members in proportion to~their quotss and shall be made one half in gold and/or tJnited States dollars; and .one half in the currenc~ of the contributing member.

(e) Each,payment of a member in its own currency,un-.dQr the preceding para~ra:ph shall be in such amount as, in the opinion of the Bank, is equivalent to the full v~.lue, in terms of United States dollars of the weight and fineness in effect on January i, 1959, of the porkion of the quota. being paid. The initiai payment sha.ll be in such amoun,t as the member considers appropriate hereunder but shali be subject to such adjustment; (;o be effected within 60 days of the date on ~hich payment was due; as'the Bank sha,ll determine to be necessary to constitute the full dollar val~e equivalent as provided in this paragraph.

(f) Unless otherwise determined by the Board of Gover- ` nors by a thFee-fourths majority of the total voting~po~er of the member countries, the liability of members for payment of any ca.ll on the unpaid portion of their subscrlption quotas to the Fond shall ~be conditional upon payment of not less than 9o per cent of the total obligations of the members far:

(i) the initial pay~ent arid a11 prlor ea,lls on such quota subscriptions to the Fund; a~id

(ii) any installments due on the paid-in portion of the sub§criptions of the capital stock of the Bank.

(g) The resources of the Fund shall be increaseii ~tho-, rugh additional C©ntributions by- the members when the Board of'Governors considers it advisable by athreš-fourths majority of the total voting power of the me~nper countries: The provišions of Articlt~ II, Section 3 (b), shall apply to such increaseS, in terms of the proportion between the quota ,in effect for each member and the total amount of the resources of th~ Fund contributed by members: No member, however; shall be obligated to contrlbute any part of such increase.

(h) As used in this ,Agreement; the term :resources of the Fund: sh&.11 be deemed to include the following:

(i) contributions by members pursue,nt. to paragraph5 (c) and (g) of this section;

(iij all funds raised by borrowing to which the commitment stipulated in ArticTe II, Section 4 (a) (ii) is not applicable, i.e., those that are specifically' chargeable to the resources of the Fund;

(iii) all funds .receised' in repayment of loans made from the resourees mentioned above;

(iv) all income derlved from operations using or committing any of the recources mentioned above; and

(v) any other resoruces at the disposal of the Fund. ~ ' Section 4. Operations

(a) The operations of the Fund shall be those financed from its own resources, as defined in Section 3 (h) of the present article.

(b) Loans made with resources of the Fund may be par- ' ` . >iially or wholly repayable in the currency of the member in whose territory the project being financed will be carried out. Tlie part of the loan not repayable in the currency of the member shall be paid .in the currency or currencies in which the loan was made.

Section 5.

Limitation on Liability

In the operations of the Fund, the financial liability of the Bank shall be limitsd to `the resources and reserves of the F~xnd, and the liability of members shail be limited to the uripaid portion of their respeetive quotas tliat has bećome due and payable:

section 6. Limitation on,Disposition bf Quotas The rightš od members of the Bank resulting from their contributions to the Fund may not be'transferred or ecnumbered, and members shall have no right of reimbursement of such contributions except, in cases~ of loss of the status of ,membership or of termination of the oparations of the Fund.

Seetion 7. Discharge of riind Liabilities on Borrowirigs Payments in satisfaction of any liability on borrowings `

of funds for inclusion in the resources of thc Fund shall be charged:

(i) first, against any reserve established for this purpose; and

(ii) then, against any .other funds available in the resoruces of the Fund.

Section 8. Adnninistration

(a) Subject to the provisions of this Agreeiment, the authorit'res of the Bank šhali have full powers to admin,ister the Fund:

(b) There shall be a, Vice President of the Bank in charge of the Fund. The Vice P~-esxdent shall participate in mee- v tings of the Board of Executive Directors of the Bank, without vote, whenever matters relating to the Fund are discussed:

(c) In the operations of the Fund the Bank shalI utilize to the fullest extent possible the same personnel, experts, installations, offices, equipment, and services as it uses for its other operations.

(d) The Bank shall publish a separate annual report showing' the results of the Funds financial operations including profits or losses. At the annula meeting of the Board of Governors there shall be at least one session devoted to consideration of this report..In addition, the Bank` shall transmit to the rnembers a quarterly'summary of the Fund's operations.

Section 9.

Voting .

(a) In making decisions concerning operations of the Funđ; eaeh member aountry of the Bank shall have the voting power'in the Board of Governors ac>rorded to it pursuant to Artiele VIII, Section ~4 (a) and (c), and each Director shall have the voting poW er in the Board of Executive Direetors accorded to him pursuant to Articie VIII, Section 4 (a) and (d).

(b) All decisions of the Bank concerning the operations of the ~nd shall be adopted by a two-thirds majority of the total voting power of the uember countries, unless otherwise provided in this article. .

Section 10.

Distribution of Net Profits

The Board o#' Governors of the Bank shall determine what portion of the net profits of the Fund šhall be distributed among the members after making provision for reserves." Such net profits shali be shared in proportion to the quotas of the members.

Section 11.

Withdrawal of Contributions

(a) No country ma~ withdraw its contributian and' terminat~ its relations with the Fund while it is still a member' of the Bank:

(b) The provisions Of Article IX, Section 3, with respect to the seitlement of account's with countries that terminate their membership in the Bank also shall apply to the Fund.

Section 12.

Suspension and Termination

The provisions of Article X also shall apply to the Fund with substitution of terms relating to the Fund and its resources and respective creditors for those relating to the Bank and its- capital r esources and respective creditors:

ART1CLE V

CURRENCIES

Section l.

Use of Currencies

(a) The currency of any member held by the Bank in its oxdinary capital resources or in the resources of the Fund, however acquired, maybe used.by the Bank and by any recipient from the Bank; without reStriction by the member, to make payments for goods and services produced in the , territory of ~uch member.

(b) Members may not maintain or impose restrictions of any kind upon the use by the Bank or by any recipient frotn-the Bank, for pa~mentš in any country; of the following: ,

r (i) gold and dohars received by the Bank in payment of the 50 per .cent portion of each rnember's subscription to shares of the bank's ordinary capital and of the 50 per ~nt portion of each member's quota for contribution to the : Fund, pursuant to tl~e provisions of Article II and ArticIe N, respectively; '

(ii) cuFrsncies ož members .purchased with ahe resources referred to in (i) of this paragraph;

(iii) currencies obtained by borrowings, pursuant to the provisions of Article VII; Seetion 1 (i), for inclusion in the capitaT rešources of the Bank;.

(iv) gold and: dollars received by t~e Bank in payment on account of principal; interest, a.nd other charges; of lo-ans made from the gold and doliar funds referred to in (i)'

of this paragraph; currencies received in payment of principal interest, and other charges, of loans made from cur-. rencies referred to ih (ii) and (iii) of this paragraph; and currencies received in payment of commissions and fees on all guaxantees made by the Bank; and

(v) currencies, other than the member's own currency; received from the Bank pursuant to Article VII, Section 4 (d), and Article IV, Section 10, in distribution of net profits.

(c) A member's currency held by the Bank, whether in its ordinary capital resources or in the resources of the Fond, not covered by paragraph (b) of this section, also may be used by the Bank or any rećipient from the Bank for payments in any country without restriction of any kind, unless the member notifies the Bank of its desire that such currency or a portion thereof be restricted to the uses specified in paragraph (a) of this section.

(d) Members may not place any restrictions on the holding and use by the Bank, for making arnortization payments or anticipating payment of, or repurchasing part or all of, the Bank's own obligations, of c~Yrrencies received by the Bank in repayment of direct loans made from borrowed funds included in the ordinary ćapital resources of the Bank.

(e) Gold or currency held by the Ba,nk in its ordinarycapital resources or in the resources of the Fond shall not be ixsed by the Bank to, purchase other currencies unless authorized by a twothirds majority of the total voting power of the member countries. Any currencies purchased pursuant to the.provisions of this paragraph shall not be subject to maintenance of value under Section 3 of this article. .

Section 2.

Valuation of Currencies

Whenever it shall become necessary under this Agree” ment to value any currency in terms of another currency, or in terms of gold, such valuation shall be determined by the Bank after consultation with the International Ivionetary Fund. , .

Section 3. Maintenance of Value of the Currency Holdings of the Bank

(a) Whenever the par value in the International Monetary Fond of a member's currancy is reduced or the foreign exchange value of a member's currency has, in the opinion of the Bank, depreciated to a significa,nt extent, the member shall pay to the Bank within a reasonable time an additional amount of its own currency sufficient to maintain the value of all the currency of the member held by the Bank in its ordinary capital resources or in the resources of the Fund, excepting currenćy derived from borrowings by the Bank. The standard of value for this purpose shall be the United States dollar of the weight and fineness in effećt on January 1, 1959.

(b) Whenever~the par value in the International Monetary Fund of member's currency is increased or the foreign exchange value of sućh member's currency has, in the opinion of the Bank, appreciated to a significant extent, the Bank shall return to such member within a reasonable time an amount of that member's currency equal to the increase in the value of the amount of such currency which is held by the Bank in its ordinary capital resources or in the resources of the F~nd, excepting currency derived from borrowings by the Bank. The standard of value for this purpose shall be the same as that established in the preceding paragraph.

(c) The provisions of this section may be waived by the Bank when a uniforrn proportionate change in the par value pf the currencies of all the Bank's members is made by the International lVlonetary Fund:

(d) Notwithstanding any other provisions of this section, the terms and conditions of any increase in the resources of the Fund pursuant to Article IV, Section 3 (g), may include maintenance of value provisions other than those provided for in this section which would apply to the resources of the Fund contributed by such increase.

Section 4.

Methods of Conserving Currencies The Bank shall accept from any member promissory notes or similar securities issued by the government of the member, or by the depository designated by such member, in lieu of any part of the currency of the member representing the 5o per cent portion of its subscription to the Bank's authorized ordinary capital and the 50 per cent portion of its subscription to the resources of the Fund, which, pursuant to the provisions of Article II and Article IV, respectively, are payable by each member in its national currency, provided such currency is not required by the Bank for the conduct of its operations. Such notes or securities shall be non-negotiable, non-interest-bearing, and payable to the Bank at their par value on demand. On the same conditions, the Bank shall also accept such notes or securities in lieu of any part of the subscription of a member with respect to which part the terms of the subscription do not require payment in cash.

ARTICLE VI

TECHNICAL ASSISTANCE

Section 1. Provision of Technical Advice and Assistance The Bank may, at the request of any member or members, or of private firms that may obtain loans from it, provide technical advice and assistance in its field of activity, particularly on:

(i} the preparation, financing, and execution of deve,lopment plans and projects, including the consideration of priorities, and the formulation of loan proposals on specific national or regional development projects; and

(ii) the development and advanced training, through seminars and other forms of instruction, of personnel specialtzing in the formulation and implementation of development plans and projects.

Section 2.

Cooperative Agreements on Technical Assistance

In order to accomplish the purposes of this article, the Bank may enter into agreements on technical assistance with other national or international institutions, either public or private.

Section 3.

Expenses

(a) The Bank may arrange with member countries orfirms receiving technical assistance; for reimbursement of the expenses of furnishing such assistance on terms which the Bank deems appropriate.

(b) The expenses of providing technical assistance not paid by the recipients shall be met from the net income of the ordinary capital resources or.of the Fund. However, during the first three years of the Bank's operations, up to three per cent, in total, of the initial resources of the Fund may be used to meet such expenses.

ARTICLE VII

MISCELLANEOUS POWERS AND DISTRIBUTION OF PROFITS

Section 1. Miscellaneous Powers of the Bank

In addition to the powers specified elsewhere in this Agreement, the Bank shall have the power to:

(i) borrow funds and in that connection to furnish such collateral or other security therefor as the Bank shall determine, provided that, before making a sale of its cibligations in the markets of a country, the Bank shall have obtained the approval of that country and of the member in whose currency the obligations are denominated. In addition, in the case of borrowings of funds to be included in the Bank's ordinary capital resources, the Bank shall obtain agreement of such countries that the proceeds may be exchanged for the currency of any other country without restriction;

(ii) buy and sell securities it has issued or guaranteed or in which it has invested,, provided that the Bank shall obtain the approval of the country in whose territories the securities are to be bought or sold;

(iii) with the approval of a two-thirds majority.of the total voting power of the member countries, invest funds not needed in its operations in such obligations as it may deter” ' mine; .

(iv) guarantee securities in its portfolio for the purpose of facilitating their sale; and

(v) exercise such other powers as shall be necessary or. desirable in furtherance of its purpose and functions, consistent with the provisions of this Agreement.

Section 2.

Warning to be' Placed on Securities

Every security issued or guaranteed by the Bank shall bear on its face a conspicuous statement to the effect thatit is not an obligation of any government,.unless it is in fact the obligation of a particular government, in which case it shall so state.

Section 3.

Methods of Meeting Liabilities of the Bank in Case of Defaults

(a) The Bank, in the event of actual or threatened default on loans made or guaranteed by the Bank using its ordinary capital resources; shall take such action as it deems appropriate with respect to modifying the terms of the loan, other than the currency of repayment.

(b) The payments in discharge of the Bank's liabilities on borrowings of guarantees under Article III, Section 4 (ii) and (iii) chargeable against the ordinary capital resources of the Bank shall be charged:

(i) first, against the special reserve provided for in Article III, Section 13; and

(ii) then, to the extent necessary and at the discretion of the Bank, against the other reserves, surplus, and funds corresponding to the capital paid in for ordinary capital shares.

(c) Whenever necessary to meet contractual payments of interest, other charges, or amortiza,tion on the Bank's borrowings payable out of its ordinary capital resources; or to meet the Bank's liabilities with respect to similar payments on loans guaranteed by it chargeable to its ordinary capital resources, the Bank may call upon the members to pay an appropriate amount of their callable ordinary capital subscriptions, in accordance with Article II, Section 4 (a) (ii). Moreover, if the Bank believes that a default may be of long duration, it may call an additional part of such subscriptions not to exceed in any one year one per eent of the total subscriptions of the members to the ordinary capital resources; for the following purpo~es:

(i) to redeem prior to maturity, or otherwise discharge its liability on, all or part of the outstanding principal of any loan guaranteed by it chargeable to its, ordinary capital resources in respect of which the debtor is in default; and

(ii) to repurchase, or otherwise discharge its liability on, all or part of its own outstanding obligations payable out of its ordinary capital resources. ,

Section 4.

Distribution or Transfer of Net Profits and Surplus

(a) The Board of Governors may determine periodically what part of the net profits and of the surplus of the ordinary capital resources shall be distributed. Such distributions may be made only when the reserves have reached a level which the Board of Gov rnors considers adequate.

(b) When approving the statements of profit arid loss, pursuant to Artiele VIII, Section 2 (b) (viii), the Board of Governors may by decision of a two-thirds majority of the total number of governors representing not less than three fourths of the total voting power of the member countries transfer part of the net profits for the respective fiscal year of the ordinary capital resources to the Fund.

Before the Board of Governors determines to make a transfer to the Fund, it shall have received a report from the Board of Executive Directors on the desirability of such a transfer, which sh~,ll take into consideration, inter alia, (1) whether the reserves have reached a level that is adequate; (2) whether the transferred funds are needed for the operation of the Fund; and (3) the impact, if any, on the Bank's ability to borrow.

(c) The distributions referred to in paragraph (a) of this section shall be made from the ordinary capital resources in proportion to the number of ordinary capital shares held by each member and likewise the net profits transferred .to the Fund pursuant to paragraph (b) of this section shall be credited to the total contribution quotas of each member in the Fund in the foregoing proportion.

(d) Payments pursuant to paragraph (a) of this section shall be made in such manner and in such currency or currencies as the Board of Governors shall determine. If sucli payments are made to a member in currencies other than its own, the transfer of such currencies and their use by the receiving country shall be without restriction by any member.

ARTICLE VIII

ORGANIZATION AND MANAGEMENT

Section 1.

Structure of the Bank

The Bank shall have a Board of Governors, a Board of Executive Directors, a President, an Executive Vice President, a Vice President in charge of the Fund, and such other officers and staff as may be considered necessary:

Section 2

Board of Governors

'. (a) All the powers of the Bank shall be vested in the,Board of Governors. Each member shall appoint one governor and one alternate, who shall serve for five years, subject to termination of appointment at any time, or to reappointment, at the pleasure of the appointing member. No alternate may vote except in the absence of his principal. The Board shall select one of the governors as Chairman, who shall hold office until the next regular meeting of the Board.

(b) The Board of Governors may delegate to the Board of Executive Directors all its powers except power to:

(i) admit new members and determine the conditions of their admission;

(ii) increase or decrease the authorized ordinary capital stock of the Bank and the contributions to the Fund; (iii) eleet the President of the Bank and determine his remuneration;

(iv).suspend a member, pursuant to Article IX, Section . 2;

(v) determine the remuneration of the executive direc---tors and their alternates;

(vi) hear and decide any appeals from interpretations of this Agreement given by the Board of Executive Directors;

(vii) authorize the conclusion of general agreements for cooperation with other international organizations; (viii) approve, after reviewing the auditorš report, thegeneral balance sheet and the statement of profit and loss of the institution;

(ix) determine the reserves and the distribution of the net profits of the ordinary capital resources and of the . Fund;

(x) select outside auditors to certify to the general balance sheet and the statement of profit and loss of the institution;

(xi) amend this Agreement; and

(xii) decide to terminate the operations of the Bank and to distribute its asšets.

(c) The Board of Governors shall retain full power to exercise authority over any matter delegated to the Board of Executive Directors under paragraph (b) above.

(d) T'he Board of Governors shall, as a general rule, hold a meeting annually. Other meetings may be held when the Board of Governors so provides or when called by the Board of Executive Directors. Meetings of the Board of Governors also shall be called by the Board of Executive Directors whenever requested by five members of the Bank or by members having one fourth of the total voting power of the member countries.

(e) A quorum for any meeting of the Board of Governors shall be an absolute majority of the total number of governors, including an absolute majority of the governors of regional members, representing not less than two thirds of the total voting power of the member countries.

(f) The Board of Governors may establish a procedure whereby the Board of Executive Directors, when it deems such actian appropriate, may submit a specific question to a vote of the governors without calling a meeting of the Board of Governors.

(g) The Board of Governors, and the Board of Executive Directors to the extent authorized, may adopt such rules and regulations as may be necessary or appropri8te to conduct the business of the Bank.

(h) Governors and-alternates shall serve as such without compensation from the Bank, but the Bank may pay them reasonable expenses incurred in attending meetings of the Board of Governors.

Section 3.

Board of Executive Directors

(a) The Board of Executive, Directors shall be responsible for the conduct of the operations of the Bank, and for this purpose may exercise all the powers delegated to it by the Board of Governors.

(b) (i) Executive directors shall be persons of -recognized competence and wide experience in economic and financial matters but who shall not be governors.

(ii) One executive director shall be appointed by the member country having the largest number of shares in the Bank, two executive directors shall be elected by the governors of the nonregional member countries," and not less than eight others shall be elected by the governors of the last category, and the procedure for the election of all the elective directors shall be determined by regulations adopted by the Board of Governors by a three-fourths ma,jority of the total voting power of the member countries, including, with respect to provisions relating exclusively to the election of directors by nonregional member countries, a two-thirds majority of the governors of the nonregional members, and, with respect to provisions relating exelusively to the number and election of directors by the remaining member countries, by a two-thirds majority of the governors of regional members. Any change in the aforementioned regulations shall require the same majority of votes for its appfoval.

(iii) Executive directors shall be appointed or elected for terms of three years and may be reappointed or re-elected for succesive terms.

(c) Each executive director shall appoint an alternate who shall have full power to act for him when he is not present. Directors and alternates shall be citizens of the member countries. None of the elected directors and their alternates may be of the same citizenship, except in the case of countries that are not borrowers. Alternates may participate in meetings but may vote only when they are acting in place of their principals.

(d) Directors shall continue in office until their suCCessors are appointed or elected. If the office of an elected directors becomes vacant more than 180 days before the end of his term, a successor shall be elected foi' the rema;inder of the term by the governors who elected the former director. An absolute majority of the votes cast shall be required for election. While the office remains vacant, the alternate shall have all the powers of the former director except the ~ power to appoint an alternate.

(e) The Board of Executive Directors shall function in continuous session at the principal office of the Bank and shall meet as often as the business of the Bank may require.

(f) A quorum for any meeting of the Board of Exeeutive Directors shal be an absolute majority of the total number of directors, including an absolute majority of directors of regional members, representing not less than two thirds of the total voting power of the member countries.

(g) A member of the Bank may send a representative to attend any meeting of the Board of Executive Directors when a matter especially affecting that member iš under consideration. Such right of representation shall be regulated by the Board of Governors.

(h) The Board of Executive Directors may appoint such committees as it deems advisable. Membership of such committeeš need not be limited to governors, directors, or alternates.

(i) The Board of Executive Directors shall determine the basic organization of the Bank; ~including the number and general responsibilities of the chief administrative and professional positions of the staff, and shall, approve the budget of the Bank.

Section 4.

Voting

(a) Each member country shall have 135 votes plus one vote for each share of ordinary capital stock of the Bank held by that country, provided, however, that, in connecti on with any increase. in the authorized ordinary capital stock, the Board of Governors may determine that the capital stock authorized by such increase shall not have voting rights and that such increase of stock shall not be subject to the preemptive rights established in Article II, Section 3 (b).

(b) No increase in the subscription of any member to the ordinary capital stock shall become effective, and any right to subscribe thereto is hereby waived, which would have the effect of reducing the voting power (i) of the regional developing members below 53.5 per cent of the total voting power of the member countries; (ii) of the member having the largest number of shares below 34.5 per cent of such total voting power; or,(iii) of Canada below 4 per cent of such total voting power.

(c) In voting in the Board of Governors, each governor shall be entitled to cast the votes of the member country which he represents. Except ~s othexwise specifically provided in this Agreement, all matters before the Board of Governors shall be decided by a majority of the total voting power of the member countries:

(d) In voting in the Board of Executive Directors:

(i) the appointed director shall be entitled to cast the number of votes of the member country which appointed him;

(ii) each elected director shall be entitled to cast the number of votes that counted toward his election, which votes shall be cast as a unit; and

(iii) except as otherwise speeifically provided in this Agreement, all matters before the Board of Executive Directors shall be decided by a majority of the total voting power of the member countries.

Section 5.

President, Executive Vice President, and Staff .

(a) The Board of Governors, by a majority of the total voting power of the member countries, including an absolute majority of the governors of regional members, shall elect a President of the Bank who, while holding office, shall not be a governor or an executive director or alternate for either.

Under the direction of the Board of Executive Directors, the President of the Bank shall conduct the ordinary business of the Bank and shall be chief of its staff. He also shall be the presiding officer at meetings of the Board of Executive Directors, but shall have no vote, except that it shall be his duty to cast a deciding vote when necessary to break a tie.

The President of the Bank shall be the legal representative of the Bank. The term of office of the President of the Bank shall be five years, and he may be reelected to successive terms. He shall cease to hold office when the Board of Governors so decides by a majority of the total voting~,power of the member countries, including a majority of the total voting power of the regional member countries.

(b) The Executive Vice President shall be appointed by the Board of Executive Directors on the recommendation of the President of the Bank. Under the direction of the Board of Executive Directors and the President of the Bank, the Executive Vice President shall exercise such authority and perform such functions in the administration of the Bank as may be determined by the “Board” of Executive Directors. In the absence or incapacity of the President of the. Bank, the Executive Vice President shalI exercise the authority and perform the functions of the President.

The Executive Vice President shall participate in meetings of the Board of Executive Directors but shall have no vote at such meetings, except that he shall cast the deciding vote, as provided in paragraph (a) of this section, when he is acting in place of the President. of the Bank.

(c) In addition to the Vice President referred to in Article IV, Section 8 (b), the Board of Executive Directors may, on recommendation of the President of the Bank, appoint other Vice Presidents who shall exercise such authority and perform such functions as the Board of Executive Directors may determine.

(d) The President, officers, and staff of the Bank, in the discharge of their offices, owe their duty entirely to the Bank and shall recognize no other authority. Each member of the Bank shall respect the international character of this duty.

(e) The paramount consideration in the staff and in the determination of the conditionš of service shall be the necessity of securing the highest standarđs of efficiency, competence, and integrity. Due regard shall also be paid to the importance of recruiting the staff on as wide a geographical basis as possible, taking into account the regional character of the institution.

(f) The Bank, its officers and employees shall not interfere in the political affairs of any member, nor shall they be influenced in their decisions by the political character of the. member or members concerned. Only economic considerations shall be relevant to their decisions, and these considerations shall be weighed impartially in order to achieve the purpose and functions stated in Article I.

Section 6.

Publication of Reports and Provision of Information

a) The Bank shall publish an a.nnual report containin.g an audited statement of the accounts. It shall also transmit quarterly to the members a summary statement of the `financial position and a profit-and-loss statement showing the results of its ordinary operations.

(b) The Bank may also publish such other reports as it deems desirable to carry out its purpose and functions.

ARTICLE IX

WITHDRAWAL AND SUSPENSION OF MEMBERS

Section 1.

Right to Withdraw

Any member'mayvithdraw from the Bank by delivering to the Bank at its principal office written notice of its intention to do so. Such withdrawal shall become finally effective on the date specified in the notice but in no event less than six months after the notice is delivered to the Bank. However, at any time before the withdrawal becomes finally effective, the member may notify the Bank in writing of the cancellation of its notice of intention to withdraw.

After withdrawing, a member shall remain liable fo~ all direct and contingent obligatioris to the Bank to which it was subject at the date of delivery of the withdrawal notice, including those specified in Sectipn 3 of this article: However, if the withdrawal becomes finally effective, the member shall not incur a,ny liability for obligations resulting from operations of the Bank effected after the date on which tha withdrawal notice vVas received by the Bank.

Section 2.

Suspension of Membership

If a member fails to fulfill any of its obligations to the Bank, the Bank may suspend its membership by decision.

of the Board of Governors by a three-fourths majority of the total voting power of the rnember countries, including a two-thirds majority of the total number of governors, which, in the case of suspension of a regional member country, shall include a two-thirds majority of the governors of regional members and, in the case of suspension of a nonregional member country, a two-thirds majority of the governors of nonregional members.

T'he member so suspended shall automatically cease to be a member of the Bank one year from the date of its suspension unless the Board of Governors decides by the same majority to terminate the suspension.

While under susperision, a member shall not be entitled to exercise any rights under this Agreement, except the right of withdrawal, but shall remain subject to all its obligations.

Section 3.

Settlement of Accounts

(a) After a country ceases to be a member, it no longer shall share in the profits or losses of the Bank, nor shall it incur any liability with respect to loans and guarantees entered into by the Bank thereafter. However, it shall remain liable for all amounts it o,~ves the Bank and for its contingent liabilities to the Barik so long as any part of the loans or guarantees contracted by the Bank before the date on which the country ceased to be a member remains outstanding.

(b) When a country ceases to be a member, the Bank shall arrange for the repurchase of such country's capital stock as a part of the settlement of accounts pursuant to the provisions of this section; but the country shall have no other rights under this Agreement except as provided in this section and in Article XIII, Section 2.

(c) The Bank and the country ceasing to be a member may agree on the repurchase of the capital stock on such terms as are deemed appropriate in the circumstances; without regard to the provisions of the following parag~aph. Such agreement may provide, among other things, for a final settlement of all obligations of the country to the Bank.

(d) It the agreement referred to in the preceding paragraph has not been consummated within six months after the country ceases to be a member or such other time as the Bank and such country may agree upon, the repurchase price of such country's capital stock shall be its book value, according to the books of the Bank, on the date when the country ceased to be a member. Such repurchase shall be subject to the following conditions:

(i) As a prerequisite for payment, the country ceasing to be a member shall surrender its stock certificates, and such payment may be made in such installments, at such times and in such available currencies as the Bank determines, taking into account the financial position of the Bank.

(ii) Any amount which the Bank owes the country for the repurchase of its capital stock shall be withheld to the extent that the country or any of its subdivisions or agencies remains liable to the Bank as a result of loan or guarantee operationsr The amount withheld may, at the option of the Bank, be applied on any such liability as it matures. However, no amount shall be withheld on account of the country's aontingent liability for future calls on its subscription pursuant to Article II, Section 4 (a) (ii).

(iii) If the Bank sustains net losses on any loans or participations, or as a result of any guarantees, diitst~nding on the date the country ceased to be a member; and the amount of such losses exeeeds the. Amount of the reserves provided therefor,on such date, such country shall repay on demand the amount by which the repurchase price of its shares would have been reduced, if the losses had been taken into account when the book value of the shares, according to the books of the Bank, was determined. In additiori, the former member shall remain liable on any call pursuant to Article II, Section 4 (a) (ii), to the extent that it would have been required to respond if the impairment of capital had occurred and the call had been rnade at the time the repurchase price of its shares had been determined.

(e) In no event shall any amount due to a country for its shares under this section be paid until six months after date upon which the country cases to be a member. Tf within that period the Bank terminates operations all rights of such country shall be determined by the provisions of Article X, and such country shall be considered still a member of the Bank for the purposes of such article except that it shall have no voting rights.

ARTICLE X

SUSPENSION AND TERMINATION OF

OPERATIONS

Section 1.

Suspension of Operations

In an emergency the Board of Executive Directors may suspend operations in respect of new loans and guarantees until such time as the Board of Governors may have an opportunity to consider the situation and take pertinent measures.

Section 2.

Termination of Operations

The Bank may terminate its operatioris by a decision of the Board of Governors by a threefourths majority of the total voting power of the member countries, including a. two-thirds majority of the governors of regional members. After such termination of operations the Bank shall forthwith cease all activities, except those incident to the conservation, preservation, and realization of its assets and settlement of its obligations.

Section 3.

Liability of Members and Payment of Claims

(a) The liability of all members arising from the subscriptions to the capital stock of the Bank and in respect to the depreciation of their currencies shall continue until all direct and contingent obligations shall have been discharged.

(b) All creditors holding direct claims shall be paid out of the assets of the Bank and then out of payments to the Bank on unpaid or callable subscriptions. Before' making any payments to creditors holding direct claims, the Board of Executive Directors shall make such arrangements as are necessary, in its judgment, to ensure a pro rata distribution among holders of direct and contingent claims.

Section 4.

Distribution of Assets

(a) No distribution of assets shall be made to mQmbers on account of their subscriptions.to the capital stock of the Bank until all liabilities to creditors chargeable to such capital stock shall have been discharged or provided for. Moreover, such distribution must be approved by a decision of the Board of Governors by a three-fourths majority of the total voting power of the member countries, including a two-thirds majority of the governors of regional members,

(b) Any distribution of the a,ssets of the Bank to the members shall be in proportion to capital stock held by each member ~and shall be effected at such times and under such conditions, as the Bank shall deem fair and equitable. T'he shares of assets dištributed need not be uniform as to type off assets. No member, shall be entitled tp receive its share in such a distribution of assets until it has settled all of its obligations to the Bank.

(c) Any member reoeiving assets distributed puršuant to this article shall enjoy the same rights with respect to sucli assets as the Bank enjoyed prior to their distribution.

ARTICLE XI

STATUS, IMMUNITIES AND PRIVILEGES

Section 1.

Scope of Article

To enable the Bank to fulfill its purpose and the functions with which it is entrusted, the status, immunities, and privileges set forth in this article shall be accorded to the Bank in the territories of each member.

Section 2.

Legal Status

The Bank shall possess juridical personality and, in particular, full capacity:

(a) to contract;

(b) to acquire and dispose of immovable and movable property; andž

(c) to institute legal proceedings.

Section 3.

Judicial Proceedings

Actions may be brought against the Bank only in a court of competent jurisdiction in the territories of a member in which the Bank has an office, has appointed an agent for the purpoše of accepting service or notice of process, or has issued or guaranteed securities.

No action shall be brought against the Bank by members or persons acting for or deriving claims from members. However, member countries shall have recourse to such special procedures to settle controversies between the Bank and its members as may be prescribed in this Agreement, in the by-laws and regulations of the Bank or in contracts entered into with the Bank.

Property and assets of the Bank shall, wheresoever located and by whomsoever held, be immune from all forms of seizure, attachment or execution before the delivery of

- final judgment against the Bank.

Section 4.

Immunity of Assets

Property and assets of the Bank, wheresoever located and by whomsoever held; shall be considered public international property and shall be immune from search, requisition, confiscation, expropriation or any other form of taking or foreclosure by executive or legislative action.

Section 5.

Inviolability of Archives

The archives of the Bank shall be inviolable.

Section 6.

Freedom of Assets from Restrietions To the extent necessary to carry out the purpose and functions of the Bank and to conduct its operations in accordance with this Agreement, all property and other assets of the Bank shall be free from restrictions, regulations, controls and moratoria of any nature, except as may otherwise be provided in this Agreement.

Section 7.

Privilege for Communications

The official communications of the Bank shall be accorded by each member the same treatxrient that' it ac6ords to the official communications of otlier'rliemberš. `

Section 8.

Personal Immunities.and Privileges All governors, executive directors, alternates, officers,

and employees of the Bank shall have the following privileges and immunities:

(a) Immunity from legal process with respect to acts performed by them in their official capacity, except when the Bank waives this immunity.

(b) When not local nationals, the same immunities from immigration restrictions, alien registration requirements and national service obligations and the same facilities as regards exchange provisions a,s are accorded by members to the representatives, officials, and employees of comparable rank of other members.

(c) The same privileges in respect of traveling facilities as are accorded by members to representatives, officials, and enployees of comparable rank of other members.

Section 9.

Immunities from Taxation

(a) The Bank, its property, other assets, irrcome, and the operations and transactions it carries out pursuant to this Agreement, shall be immune from all taxation and from all customs duties. The Bank shall also be immune from any obligation relatlng to the payment, withholding or collection of any tax, or duty.

(b) Na tax shall be levied on or in respect of salaries and emoluments paid by the Bank to executive directors, alternates, officials or employees of the Bank who are not local citizens of other local nationals.

(c) No tax of any kind shall be levied on any obligation or security issued by the Bank, including any dividend or interest thereon, by whomsoever held:

(i) which discriminates against such obligation or security solely because it is issued by the Bank; or

(ii) if the sols juridictional basis for such taxation is the place or currency in which it is issued, made payable or paid, or the location of any office or place of business maintained by the Bank.

(d) No tax of any kind shall be levied on any obIigation or security -guaranteed by the Bank, including any dividend or interest theron, by whomsoever held:

(i) which discriminates against such obligation or security solely because it is guaranteed by the Bank; or

(ii) if the sole jurisdictional basis for such taxation is the location of any office or place of business maintained by the Bank.

Section 10.

Implementation

Each member, in accordance with its juridical system, shall take such action as is necessary to make efective in its own territories the principles set forth in this article,, and shall inform the Bank of the action which it has taken on the matter.

ARTICLE XII

AMENDMENTS

This Agreement may be amended only by decision of the Board of Governors by a majority of the total number of governors, including two thirds of the governors of regional members, representing not less than three fourths of the total voting power of the member countries, provided, however, that the voting majorities provided in Article II, Section 1 (b), may be amended only by the voting majorities stated therein.

(b) Notwithstanding the provisions of (a) above, the unanimous agreement of tlie Board of Governors shall be r~quired for the approval of any amendment modifying:

(i) the right to withdraw from the Barik as provided in Article IX, Section 1;

(ii) the right to purchase capital stock of the Bank and to contribute to the Funds as provided in Article II, Section 3 (b) and in Article IV, Section 3 (g), respectively; and

(iii) the limitation on liability as provided in Article II, Section 3 (d), and Article IV; Section 5.

(c) Any proposal to amend this Agreement, whether emanating from a member or the Board of'Executive Directors, shall, be communicated to the Ch~,irman of the Board of Governors, who shall bring the proposal before the Board of Governors. When an amendment has been adopted, the Bank shall so certify in an official communication addressed to all members. Amendments shall enter into force for all members three months after the date of the _official communication unless the Board of Governors shall specify a different period.

ARTICLE XIII

INTERPRETATION AND ARBITRATION

Section 1.

Interpretation

(a) Any question of' interpretation of the provisions of this Agreement arising between any member.and the Bank or between and members of the Bank shall be submitted to the Board of Executive Directors for decision.

Members especially affected by the question under consideration shall be entitled to direct representation before the Board of Executive Directqrs as provided in Article VIII, Section 3 (g).

(b) In any case where the Board of Executive Directors has given a decision under (a) above, any member may require that the question be submitted to the Board of Governors, whose decision shall be final. Pending the decision of the Board of Governors, the Bank may, so far as it deems it necessary, act on the basis of the deCision of the Board of Executive Directors.

Section 2.

Arbitration

If a disagreement should arise between the Bank and a country which has ceased to be a member; or between the Bank and any member after adoption of a decision to terminate the operation of the bank, such disagreement shall be submitted to arbitration by a tribunal of three arbitrators. One of the arbitrators shall be appointed by the Bank, another by the country concerned, and the third, unless the parties otherwise agree,by the Secretary General of the Organization of American States. If all efforts to reach a unanimous agreement fail, decisions shall be made by a majority vote of the three arbitrators.

The third arbitrator shall be empowered to settle all questions of procedure in any case where the parties are in disagreement with respect thereto.

ARTICLE XIV

GENERAL PROVISIONS

Section 1.

Principal Office

The principal office of the Bank shall be located in Washington,District of Columbia, United States of America.

Section 2. Relations with Other Organizations The Bank may enter into arrangements with other organizations with respect to the exchange of information or for other purposes consistent with this Agreement.

Section 3.

Channel of Communication

Each member shall designate an official entity for pu-poses of communication with the Bank on matters connected with this Agreement.

Section 4.

Depositories

Each member shall designate its central bank as a de-pository in which the Bank may keep its holdings of such member's currency and other assets of the Bank. If a member has no central bank, it shall, in agreement with the Bank, designate another institution for such purpose.

ARTICLE XV

FINAL PROVISI0NS

Section 1. Signature and Acceptance (a) This Agreement shall be deposited with the General Sećretariat of the Organization of American States, where it shall remain open until December 31, 1959, for signature by the representatives of the countries listed in Annex A. Each signatory country shall deposit with the General Secretariat of the Organization of American States an instrument setting forth that it has accepted or ratified this Agreement in accordance with its own laws and has taken the steps necessary to enable it to fulfill all of its obligations under this Agreement.

(b) The General Secretariat of the Organization of American States shall send certified copies of this Agreement to the members of the Organization and duly notify them of each signature and deposit of the instrument of acceptance or ratification made pursuant to the foregoing paragraph, as well as the date thereof.

(c) At the time the instrument of acceptanee or ratification is deposited on its behalf, each country shall deliver to the General Secretariat of the Organization of American States, for the purpose of meeting administrative expenses of the Bank, gold or United States dollars equivalent to one tenth of one per cente of the purchase price of the shares of the Bank subscribed by it and of its quota in the Fund. This payment shall be credited to the member on account of its subscription and quota prescribed pursuant to Articles II, Section 4 (a) (i), and IV, Section 3 (d) (i). At any time on or after the date on which its instrument of acceptance or ratification is deposited any mem~er may make additional payments` to be credited to the member on account of its subscription and quota prescribed pursuant to Articles II and IV. The General Secretariat of the Organization of American 8tates shall hold all funds pa,id under this paragraph in a special deposit account or accounts and.shall make such funds available to the Bank not later than the time of the first meeting of the Board of Governors hold pursuant to Section 3 of this article. If this Agreement has not come into force by December 31, 1959; the General Secretariat of the Organization of American States shall return such funds to the countries that delivered them.

(d) On or after the date on which the Bank commenees operations, the General Secretariat of the Organization of American States may receive the signature and ahe instrument of acceptance or ratification of this Agreement from any country whose membership has been approved in accordanće with Article II, Section 1 (b).

Section 2.

Entry into Force

(a) This Agreement shall enter into force when it has been signed and instruments of acceptance or ratification have been deposited, in accordance with Section 1 (,a) of this article, by representatives of countries whose subscriptions comprise not less than 85 per cent of the total subscriptions set forth in Annex A.

(b) Countries whose instruments of acceptance or ratification were deposited prior to the date on which the agreement entered into force shall become mernbers on that date. Other countries shall become members on the dates on which their instruments of acceptance or ratification are deposited.

Section 3.

Commencements of Operations

(a) The Secretary General of the Organization of American States shall call the first meeting of the Board of Governors as soon as this Agreement enters into forCe under Section 2 of this article.

(b) At the first meeting of the Board of Governors arrangements shall be made for the selection of the executive directors and their alternates in accordance with the provisions of Article VIII, Section 3, and for the determination of the date on which the Bank shall commence operations. Notwithstanding the provisions of Article VIII, Section 3, the governors, if they deem it desirable, may provide that the first term to be served by such directors may be less than three years.
